Resolution No. 97071 RESOLUTION NO. 9707 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF 4 VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN AMENDMENT NO. THREE TO.CONSULTING SERVICES 5 AGREEMENT BY AND BETWEEN THE CITY OF VERNON AND MELVYN GREEN AND ASSOCIATES, INC. 6 7 8 WHEREAS, on March 24, 1998, the City Council of the City of 9 Vernon adopted Resolution No. 7104 approving and authorizing the 10 execution of an Agreement for Consulting Services (the "Agreement") 11 with Melvyn Green and Associates, Inc. ("Melvyn Green") for plan 12 checking services; and 13 WHEREAS, on July 24, 2002, the City Council of the City of 14 Vernon adopted Resolution No. 8026, approving and authorizing the 15 execution of an Amendment No. One to the Agreement providing for an 16 increase in the hourly rate; and 17 WHEREAS, on September 7, 2005, the City Council of the City 18 of Vernon adopted Resolution No. 8847, approving and authorizing the 19 execution of an Amendment No. Two to the Agreement providing for an 20 increase in the hourly rate; and 21 WHEREAS, in accordance with Section 14.2 of the Agreement, 22 the City of Vernon and Melvyn Green desire to amend the Agreement to 23 increase the hourly rate for special consulting services; and 24 WHEREAS, the Director of Community Services & Water by memo 25 dated August 20, 2008, has recommended that an amendment to the 26 Agreement with Melvyn Green be approved and executed. 27 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 28 CITY OF VERNON AS FOLLOWS: 1 SECTION 1: The City Council of the City of Vernon hereby 2 finds and determines that the recitals contained hereinabove are true 3 and correct. 4 SECTION 2: The City Council of the City of Vernon hereby 5 approves the Amendment No. Three to Consulting Services Agreement with 6 Melvyn Green, a copy of which is attached hereto as Exhibit "A" and 7 made a part hereof. 8 SECTION 3: The City Council of the City of Vernon hereby 9 authorizes the Mayor or Mayor Pro-Tem to execute said Amendment for, 10 and on behalf of, the City of Vernon and the City Clerk is hereby 11 authorized to, attest thereto. 12 SECTION 4: The City Council of the City of Vernon hereby 13 directs the City Clerk, or her designee, to send a fully executed 14 Amendment to: 15 MELVYN GREEN AND ASSOCIATES, INC. City shall have the option 6 to extend the Agreement in one (1) year increments. 7 SECTION 2: Section 3 of the Agreement and Section 2 of Amendment No. Two entitled 8 "COMPENSATION" is hereby amended by deleting the text and replacing it as set forth below: 9 The City agrees to pay the Consultant for its services hereunder and the 10 Consultant agrees to work for 50% of the City charged plan check fee where the 11 fee exceeds $200.00 and 80% of the plan check fee where the fee is $200 or less. 12 The plan review fee will be 80% of the City charge when performing both 13 structural and non-structural plan review. Fee includes shipping plans from 14 Consultant to City. Wiener; Muro, Evangelina Subject: Extension of Agreement - Melvyn Green & Associates Hi Kevin: The agreement with Melvyn Green & Associates for consulting services for structural plan review and other services was originally entered into in 1998, and has been amended three times. I recommend you consider either putting this contract out for bid at its next renewal, or alternatively, propose a new agreement to Melvyn Green & Associates with updated terms and conditions. The current extension is set to expire on June 30, 2010. I took a look at the various amendments, and have concluded that the City has an option to extend this agreement for another year. The agreement does not specify the type of writing the City should use to extend it. We prefer not to use change orders to extend agreements even though the City and Melvyn Green & Associates have used that form before to extend the agreement on a prior occasion. Instead, we recommend a two step approach if you want to extend this agreement rather than entering into a new agreement at this time: 1. Place on the City Council consent calendar the following: Approval to extend for one year beginning July 1, 2010, the Agreement for Consulting Services (as amended) between the City of Vernon and Melvyn Green & Associates, Inc. for structural plan checking and special consulting services pursuant to Section 1 of Amendment No. 3 of the Agreement, with no change in compensation. Step 2: After the City Council approves, send a letter to Melvyn Green & Associates before June 30, 2010, informing them that: "Pursuant to Section 1 of Amendment No. 3 to the Agreement dated effective July 1, 2008, the City is electing to extend the Agreement for Consulting Services (as amended) for one more year effective July 1, 2010 and ending on June 30, 2011. There will be no change in compensation for services during this period per your attached letter dated May 19, 2010."
