Resolution No. 97351 2 3 4 672 6 7 8 9 10 11 12 13 14 15 16 17 18 19 palm 21 22 23 24 25 26 27 28 RESOLUTION NO. 9735 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON ACCEPTING THE BID OF LAKE CHEVROLET ON BID NO. 1457 FOR THE PURCHASE OF A 2009 CHEVROLET SUBURBAN FOR THE FIRE DEPARTMENT AND APPROVING AND AUTHORIZING THE EXECUTION OF A VEHICLE PURCHASE CONTRACT AND THE ISSUANCE OF A PURCHASE ORDER RESPECTING SAID BID WHEREAS, the Fire Department has requested the purchase of lone 2009 Chevrolet Suburban to replace their current Command Vehicle, a 12003 Ford Excursion Vehicle; and WHEREAS, pursuant to Resolution No. 9691 adopted by the City Council of the City of Vernon on August 18, 2008, the City Clerk was directed to give notice inviting sealed proposals or bids for the purchase of a 2009 Chevrolet Suburban, 4DR, 2WD 2500 Commercial SUV Vehicle ("Suburban") in accordance with a bid specification provided by the Fire Department; and WHEREAS, based upon the bid specification, the Purchase Department prepared Bid No. 1457 dated September 2, 2008, and proceeded to solicit bids for the purchase of the Suburban; and WHEREAS, sealed bids for Bid No. 1457 were opened on September 16, 2008, and reviewed by the Fire Department; and WHEREAS, the Fire Department found the bid of Rancho Motor Company to be the lowest bidder, but disqualified their bid upon finding that the bid failed to meet the requirements respecting,tire and paint upgrades; and WHEREAS, the Purchasing Agent has recommended that Bid No. 1457 be awarded to Lake Chevrolet ("Lake"), the second lowest responsible bidder meeting the requirements of Bid No. 1457. 1 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 2 CITY OF VERNON AS FOLLOWS: 3 SECTION 1: The City Council of the City of Vernon hereby 4 finds and determines that the recitals contained hereinabove are true 5 and correct. 6 SECTION 2: The City Council of the City of Vernon hereby 7 awards Bid No. 1457 to Lake and accepts and approves the Vehicle 8 Purchase Contract, a copy of which is attached hereto as Exhibit A and 9 incorporated herein by reference. 10 SECTION 3: The City Council of the City of Vernon hereby 11 authorizes the Mayor or Mayor Pro-Tem to execute said Contract for, 12 and on behalf of, the City of Vernon and the City Clerk or the Deputy 13 City Clerk is hereby authorized to attest thereto and authorizes the 14 issuance of a purchase order for.the purchase of the Suburban pursuant 15 to Bid No. 1457. 16 SECTION 4: The City Council of the City of Vernon hereby 17 authorizes the City Administrator, or his designee, to make whatever 18 nonsubstantive, administrative and/or text changes, upon advice of 19 counsel, to the Contract and to execute any and all documents 20 necessary to implement and carry out the purposes specified in the 21 Contract on behalf of the City of Vernon and to perform such 22 other actions deemed necessary or advisable. 23 SECTION 5: The City Council of the City of Vernon hereby 24 directs the City Clerk, or her designee, to send one fully executed 25 Contract to: 26 Lake Chevrolet Attn. NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET 1 FORTH HEREIN: 2 1. Purchase. Lake agrees to sell to the City one new 3 2009 Chevrolet Suburban 2WD, 4DR 2500 Commercial SUV Vehicle that 4 meets the specifications contained in City of Vernon Bid No. 1457 5 dated on or about September 2, 2008, and that is consistent with 6 Lake's Bid of September 9, 2008 (collectively referred to as the "Bid 7 Documents"). A copy of the Bid Documents are attached hereto as 8 Exhibit A and incorporated herein by reference. 9 2. Price. Consistent with its Bid, Lake agrees to sell 10 and deliver directly to the City Garage within'80 to 90 days, subject 11 to final inspection by the City, one new 2009 Chevrolet Suburban 12 Vehicle for the sum of Thirty -Four Thousand Eight Hundred One Dollars 13 and No Cents ($34,801.00), plus sales tax, document fees and tire fees and less any applicable discounts. 14 15 3. Payment Terms. The City agrees to pay Lake for the 16 Vehicle a total of Thirty -Four Thousand Eight Hundred One Dollars and No Cents ($34,801.00), plus sales tax, document fees and tire fees and 17 18 less any applicable discounts. Payment will be made within thirty (30) days net of receipt of the Vehicle. 19 20 4. Warranties. All manufacturers' warranties, the 21 warranties specified on the Bid Documents and any other warranties 22 made applicable by law, shall apply to the City's purchase of the above -referenced Vehicle. 23 5. General Provisions. 24 A. Governing Law. The laws of the State of 25 26 California shall govern the rights, obligations, duties and liabilities of the parties to this Contract and shall also govern the 27 interpretation of this Contract. 28 2 - 1 B. Notices. This Contract shall bind and 14 benefit the parties hereto, their heirs, successors, and permitted 15 assigns. 16 8. Forum. Any dispute related to this Contract shall be 17 adjudicated in a state court serving the County of Los Angeles, 18 California. 19 9. Arbitration. The parties agree that any and all 20 disputes arising out of or in relation to this Contract, including 21 without limitation any action in tort, shall be resolved exclusively, 22 finally and conclusively by arbitration in Los Angeles County, 23 California under the auspices of and pursuant to the rules of the 24 Judicial Arbitration &Mediation Services Inc. (JAMS). Each party 25 will select an arbitrator. Those two arbitrators will then select a 26 third. The three -member panel will make the final decision. All 27 decisions of the arbitrators shall be in writing, and the arbitrators 28 shall provide written reasons for their decision. Any and all contracts between Contractor and any subcontractor relating to this Agreement shall include the same arbitration clause. Box 4000 Lake Elsinore, CA 92531 RECITALS WHEREAS, the City's Fire Department has determined that it needs a new vehicle to, replace their current Command Vehicle, a 2003 Ford Excursion; and WHEREAS, City staff have determined that a 2009 Chevrolet Suburban, 4DR, 2WD 2500 Commercial SUV vehicle (the "Vehicle') would meet the needs and requirements of the Fire Department; and WHEREAS, on or about September 2, 2008, the City issued Bid No. 1457, which sets forth specifications for the new Vehicle required by the City; and WHEREAS, on September 9, 2008, Lake responded to Bid No. 1457; and WHEREAS,.the City has accepted Lake's bid and desires to purchase the new Vehicle from Lake. Lake agrees to sell to the City one new 2009 Chevrolet Suburban 2WD, 4DR 2500 Commercial SUV Vehicle that meets the specifications contained in City of Vernon Bid No. 1457 dated on or about September 2, 2008, and that is consistent with Lake's Bid of September 9, 2008 (collectively referred to as the "Bid Documents"). A copy of the Bid Documents are attached hereto as Exhibit A and incorporated herein by reference. 2. Price. Consistent with its Bid, Lake agrees to sell and deliver directly to the City Garage within 80 to 90 days, subject to final inspection by the City, one new 2009 Chevrolet Suburban Vehicle for,the sum of Thirty -Four Thousand Eight Hundred One Dollars and No Cents ($34,801.00), plus sales tax, document fees and tire fees and less any applicable discounts. 3. Payment Terms. The City agrees to pay Lake for the Vehicle a total of Thirty -Four Thousand Eight Hundred One Dollars and No Cents ($34,801.00), plus sales tax, document fees and tire fees and less any applicable discounts. Payment will be made within thirty (30) days net of receipt of the Vehicle. 4. Warranties. All manufacturers' warranties, the warranties specified on the Bid Documents and any other warranties made applicable by law, shall apply to the City's purchase of the above -referenced Vehicle. 5. General Provisions. A. Governing Law. The laws of the State of California shall govern the rights, obligations, duties and liabilities of the parties to this Contract and shall also govern the interpretation of this Contract. - 2 - 1 B.
