A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
VEHICLE PURCHASE CONTRACT BY AND BETWEEN THE CITY
OF VERNON AND CAMINO REAL CHEVROLET AND REPEALING
RESOLUTION NO., 9692
WHEREAS, the Police Department has requested the purchase of
a vehicle to be used by the Detective Bureau; and
WHEREAS, pursuant to Resolution No. 9692 adopted by the City
Council of the City of Vernon on August 18 2008, the City Clerk was
directed to give notice inviting sealed proposals or bids for the
purchase of a 2008 Chevrolet Tahoe (the "Vehicle") in accordance with
the bid specifications provided by the Chief of Police; and
WHEREAS, prior to bid notices being sent out, revised
specifications were prepared to correct the model being requested,
subject to ratification by the City Council of the City of Vernon; and
WHEREAS, based on the bid specification, the Purchasing
Department prepared Bid No. 1456, dated August 28, 2008, and proceeded
to solicit bids for the purchase of the Vehicle; and
WHEREAS, sealed bids for Bid No. 1456 were opened on
August 28, 2008, and reviewed by the Police Department; and
WHEREAS, two (2) bids were received and opened, one from
Wondries Fleet, which was disqualified because of incorrect model year,
and one from Camino Real, which was disqualified because it was
untimely; and
WHEREAS, the Purchasing Agent solicited an informal quote
from Camino Real Chevrolet ("Camino"), subject to ratification'by the
City Council; and

WHEREAS, the City Council of the City of Vernon desires to
ratify the actions taken by the Purchasing Agent in soliciting
informal bids for the purchase of the Vehicle and to repeal Bid No.
111456; and
WHEREAS, the City Council of the City of Vernon has
determined that, pursuant to the provisions of subsection (a) of
Section 2.27 of the Vernon City Code, it is in the public interest and
necessity to enter into an agreement with Camino for the purchase of
the Vehicle to enhance services provided to the Vernon community.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Vehicle Purchase Contract with Camino, in substantially
the same form as the copy which is attached hereto as Exhibit A and
incorporated by reference.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor or Mayor Pro-Tem to execute said Contract for,
and on behalf of, the City of Vernon, and the City Clerk or Deputy
City Clerk is hereby authorized to attest thereto.
SECTION 4: The City Council of the City hereby authorizes
the City Administrator, or his designee, to make whatever non -
substantive, administrative and/or text changes, upon advice of
counsel, to the Contract.
SECTION 5: The City Council of the City of Vernon hereby
authorizes the City Administrator, or his, designee, to execute any and

all documents necessary for the purpose of implementing and carrying
out ,the terms of the Contract and this Resolution on behalf of the
City of Vernon.
SECTION 6: The City Council of the City of Vernon hereby
directs the City Clerk, or her designee, to send a fully executed
Contract to:

14 RECITALS
15 WHEREAS, the City's Police Department has determined that it
16 needs a new vehicle to replace a 2000 Chevrolet Blazer that is no
17 longer reliable and is costly to maintain; and
18 WHEREAS, City staff have determined that a 2008 Chevrolet
19 Tahoe vehicle with a 1LT package that includes 20-inch wheels and
20 black exterior (the "Vehicle') would meet the needs and requirements
21 of the Police Department; and
22 WHEREAS, Camino has prepared a proposal dated October 2,
23 2008 (the "Proposal"), a copy of which is attached hereto as Exhibit A
24 and incorporated herein by reference; and
25 WHEREAS, the City has provided to Camino the Vernon Police
26 Department Detective Bureau Vehicle Specifications for the Vehicle, a
27_ copy of which is attached hereto as Exhibit B and incorporated herein
28 by reference (the "Specifications"); and
1 WHEREAS, Camino has advised that it can provide the City
2 with the Vehicle as provided for in the Proposal and the City's
3 Specifications; and
4 WHEREAS, City staff have determined that the new Vehicle
5 meets the needs and requirements of the Police Department; and
6 WHEREAS, the City desires to enter into an agreement with
7 Camino to provide for the purchase and delivery of the Vehicle on the
8 terms and conditions set forth below; and
9 WHEREAS, Camino represents that it is qualified and capable
10 of furnishing the labor, materials and expertise necessary to provide
11 the Vehicle that the City requires, as set forth in this Contract, and
12 is willing to do so on the terms and conditions set forth below.
13 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
14 FORTH HEREIN:
15 1. Purchase. Camino agrees to sell and deliver to the
16 City one new 2008 Chevrolet Tahoe Vehicle with 1LT package which
17 includes 20-inch wheels and black exterior, as set forth and described
18 in detail in the Proposal and the Specifications attached hereto.
19 2. Price. Camino agrees to sell and deliver directly to
20 the City Garage within ten (10) days, subject to final inspection by
21 the City, one new 2008 Chevrolet Tahoe Vehicle with 1LT package which
22 includes 20-inch wheels and black exterior, for the sum of Thirty
23 Thousand Dollars and No Cents ($30,000.00), plus sales tax, document
24 fees and tire fees and less any applicable discounts.
25 3. Payment Terms. The City agrees to pay Camino for the
26 Vehicle a total of Thirty Thousand Dollars and No Cents ($30,000.00),
27 plus sales tax, document fees and tire fees and less any applicable
28discounts. Payment will be made within thirty (30) days net of

Warranties. All manufacturers' warranties, the

warranties specified
on the Specifications and any other warranties

by law, shall apply to the City's purchase of the

7. Benefit of Agreement. This Contract shall bird and
benefit the parties hereto, their heirs, successors, and permitted
assigns.
8. Forum. Any dispute related to this Contract shall be
adjudicated in a state court serving the County of Los Angeles,
California.
9. Arbitration. The parties agree that any and all
disputes arising out of or in relation to this Contract, including
without limitation any action in tort, shall be resolved exclusively,
finally and conclusively by arbitration in Los Angeles County,
California under the auspices of and pursuant to the rules of the
Judicial Arbitration & Mediation Services Inc. (JAMS). Each party
will select an arbitrator. Those two arbitrators will then select a
third. The three -member panel will make the final decision. All
decisions of the arbitrators shall be in writing, and the arbitrators
shall provide written reasons for their decision. The arbitration
decision shall be final and binding on the parties. Notwithstanding
the foregoing, the parties shall be permitted to access the court
system to enforce any arbitration award or to obtain injunctive
relief. The exclusive jurisdiction and venue for any such action

shall be the Superior Court of California, Los Angeles County. Any
and all contracts between Contractor and any subcontractor relating to

DETECTIVE BUREAU VEHICLE
SPECIFICATIONS
GENERAL
The vehicle covered by this specification is for the -purchase of a 2008 Chevrolet Tahoe
LT1, 4 door, 5.3 Liter engine and shall be supplied as specified from the manufacturer's
new, unused and latest model complete with all necessary equipment and accessories.
The vehicle shall be delivered completely assembled and ready to operate. All equipment
normally furnished, as standard shall be included. All separate units or components shall
be new, unused, installed connected and delivered in good operating order.
The subject vehicle shall conform in -`all respects and be equipped to operate legally on
California State Highways as specified in the California Motor Vehicle Code. The
vehicle shall meet all California State and Federal safety and emissions standards when
delivered to the City of Vernon.
The successful bidder will submit in detail a final draft of all specifications for final
approval by the City of.Vemon and the Vernon Police Department prior to purchase.
All bids submitted shall include sufficient associated literature as required to fully
describe and detail the items under consideration. This should include photographs,
performance charts, components list, dimensional drawings, etc. The bidder shall clearly
state any changes, .exceptions or substitutions of equivalent equipment or materials to
these specifications.
The successful bidder will arrange to demonstrate a similarly equipped 2008 Chevrolet
Tahoe prior to purchase.
Whenever materials or equipment are specified or described in the specifications by using
the name of proprietary item or name of a particular manufacturer, fabricator, supplier or
distributor, the name of the item is intended to establish the type, function and quality
required. Unless the name is followed by words indicating that no substitution is
permitted, materials or equipment of other manufacturers, fabricators, suppliers or
distributors may be accepted by the City of Vernon if sufficient information is submitted
prior to the purchase by the contractor to allow the City of Vernon to determine that the
'material or equipment proposed is equivalent to the named. The term ."equivalent" as
used in this specification, means "authorized equivalent" and acceptance of the
"equivalent" is subject to the approval of the City of Vernon.
Warranties
The manufacturers warranties on.th� vehicle and any'added equipment shall be delivered
to the City of Vernon without waiver by the city of any recourse under California Law.
Three (3) year /,Thirty-six thousand (36,000) miles basic warranty.
Five (5) year./ One hundred thousand (100,000) miles on engine & power train.

No installation is needed on this bid.
Inspection:
The bidder shall arrange for pre -delivery inspection and right of refusal by the city of

Delivery Date
All bidders shall provide a date to deliver the vehicle, It is of utmost concern to the City
of Vernon that the quoted delivery date be met.
Any delay in the delivery shall be immediately reported in writing to the purchasing
agent with a copy to the Police Department representative, Lt. Zack. Any change in the -
original quoted delivery date is subject to the approval.** by the City of Vernon.
The City of Vernon reserves the right to cancel the purchase order for non-performance

18 WHEREAS, City staff have determined that a 2008 Chevrolet
19 Tahoe vehicle with a 1LT package that includes 20-inch wheels and
20 black exterior (the "Vehicle') would meet the needs and requirements
21 of the Police Department; and
22 WHEREAS, Camino has prepared a proposal dated October 2,
23 2008 (the "Proposal"), a copy of which is attached hereto as Exhibit A
24 and incorporated herein by reference; and
25 WHEREAS, the City has provided to Camino the Vernon Police
26 Department Detective Bureau Vehicle Specifications for the Vehicle, a
27 copy of which is attached hereto as Exhibit B and incorporated herein
28 by reference (the "Specifications"); and
1 WHEREAS, Camino has advised that it can provide the City
2 with the Vehicle as provided for in the Proposal and the City's
3 Specifications; and
4 WHEREAS, City staff have determined that the new Vehicle
5 meets the needs and requirements of the Police Department; and
6 WHEREAS, the City desires to enter into an agreement with
7 Camino to provide for the purchase and delivery of the Vehicle on the
8 terms and conditions set forth below; and
9 WHEREAS, Camino represents that it is qualified and capable
10 of furnishing the labor, materials and expertise necessary to provide
11 the Vehicle that the City requires, as set forth in this Contract, and
12 is willing to do so on the terms and conditions set forth below.
13 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
14 FORTH HEREIN:
15 1. Purchase. Camino agrees to sell and deliver to the
16 City one new 2008 Chevrolet Tahoe Vehicle with 1LT package which
17 includes 20-inch wheels and black exterior, as set forth and described
18 in detail in the Proposal and the Specifications attached hereto.
19 2. Price. Camino agrees to sell and deliver directly to
20 the City Garage within ten (10) days, subject to final inspection by
21 the City, one new 2008 Chevrolet Tahoe Vehicle with 1LT package which
22 includes 20-inch wheels and black exterior, for the sum of Thirty
23 Thousand Dollars and No Cents ($30,000.00), plus sales tax, document
24 fees and tire fees and less any applicable discounts.
25 3. Payment Terms. The City agrees to pay Camino for the
26 Vehicle a total of Thirty Thousand Dollars and No Cents ($30,000.00),
27 plus sales tax, document fees and tire fees and less any applicable
28 discounts. Payment will be made within thirty (30) days net of

1 receipt of the Vehicle.
2 4. Warranties. All manufacturers' warranties, the
3 warranties specified on the Specifications and any other warranties
4 made applicable by law, shall apply to the City's purchase of the
5 above -referenced Vehicle.
6 5. General Provisions.
7 A. Governing Law. The laws of the State of
8 California shall govern the rights, obligations, duties and
9 liabilities of the parties to this Contract and shall also govern the
10 interpretation of this Contract.
11 B. Notices. Notices to the parties, unless otherwise
12 requested in writing, shall be sent to:

1 7. Benefit of Agreement. This Contract shall bind and
2 benefit the parties hereto, their heirs, successors, and permitted

4 8. Forum. Any dispute related to this Contract shall be
5 adjudicated in a state court serving the County of Los Angeles,

7 9. Arbitration. The parties agree that any and all
8 disputes arising out of or in relation to this Contract, including
9 without limitation any action in tort, shall be resolved exclusively,
10 finally and conclusively by arbitration in Los Angeles County,
11 California under the auspices of and pursuant to the rules of the
12 Judicial Arbitration & Mediation Services Inc. (JAMS). Each party
13 will select an arbitrator. Those two arbitrators will then select a
14 third. The three -member panel will make the final decision. All
15 decisions of the arbitrators shall be in writing, and the arbitrators
16 shall provide written reasons for their decision. The arbitration
17 decision shall be final and binding on the parties. Notwithstanding
18 the foregoing, the parties shall be permitted to access the court
19 system to enforce any arbitration award or to obtain injunctive
20 relief. The exclusive jurisdiction and venue for any such action

The vehicle covered by this specification is for the -purchase of a 2008 Chevrolet Tahoe
LTI, 4 door, 5.3 Liter engine and shall be supplied as specified from the manufacturer's
new, unused and latest model complete with all necessary equipment and accessories.
The vehicle shall be delivered completely assembled and ready to operate. All equipment
normally furnished, as standard shall be included. All separate units or components shall
be new, unused, installed connected and delivered in good operating order.
The subject vehicle shall conform in'all respects and be equipped to operate legally on
California State Highways as specified in the California Motor Vehicle Code. The
vehicle shall meet all California State and Federal safety and emissions standards when
delivered to the City of Vernon.
The successful bidder will submit in detail a final draft of all specifications for final
approval by the City of Vernon and the Vernon Police Department prior to purchase.
All bids submitted shall include sufficient associated literature as required to fully
describe and detail the items under consideration. This should include photographs,
performance charts, components list, dimensional drawings, etc. The bidder shall clearly
state any changes, exceptions or substitutions of equivalent equipment or materials to
these specifications.
The successful bidder will arrange to demonstrate a similarly equipped 2008 Chevrolet
Tahoe prior to purchase.
Whenever materials or equipment are specified or, described in the specifications by using
the name of proprietary item or name of a particular manufacturer, fabricator, supplier or
distributor, the name of the item is intended to establish the type, function and quality
required. Unless the name is followed by words indicating that no substitution is

As per resolution # 9692, the Purchasing Department sought formal bids for the purchase of
(1) 2008 Chevrolet Tahoe for the Police Department. On August 28, 2008, 4 bids were sent
out. On September 08, 2008 one bid was received and opened from Wondries Chevrolet. The
bid was not valid since the vendor modified the year model from a 2008 to a 2009 vehicle.
Wondries Chevrolet was contacted to inquire why the year was changed. Purchasing was
informed that the 2008 models inventoried did not meet the specifications. In addition,
Camino Real Chevrolet submitted a bid for a 2008 vehicle that they do have on their lot which
meets all the specifications. However, Purchasing did not accept this bid due to the cut-off
time.
The Police Department did not request a 2009 year model due to the 60 to 90 days waiting
period. The current unit #69 is not being used due to its unreliability. The detectives are
sharing vehicles. This causes down time when an officer is waiting for an available unit to
come in. With a 2008 model the department can have the unit within a couple of weeks
based on the time for the approval process.
The Purchasing section was not able to retrieve any informal quotes for the specified vehicle
from the other dealers. Camino Real has submitted an informal quotation at a total cost of
$32,483.75.
The Police Department has reviewed the quote and finds it acceptable. The Purchasing
Section is requesting to rescind Bid #1456 and be given authorization to issue a purchase order
to Camino Real in the amount of $32,483.75 (sales tax and tire fee included).

Delivery Date
All bidders shall provide a date to deliver the vehicle. It is of utmost concern to the City
of Vernon that the quoted delivery date be met.
Any delay in the delivery shall be immediately reported in writing to the purchasing
agent with a copy to the Police Department representative, Lt. Zack. Any change in the-,
original quoted delivery date is subject to the approval by the City of Vernon.
The City of Vernon reserves the right to cancel the purchase order for non-performance
of delivery by the quoted date at no cost or obligation to the City of Vernon. .
Delivery
The vehicle shall be delivered to 4350 Santa Fe Avenue, Vernon, CA., 90058. The
vehicle shall be ready for immediate and safe operation, having had completed any
necessary vehicle registration documentation. The invoice, any necessary vehicle
registration documentation, warranty information and manuals must accompany delivery.
Delivery shall be Monday -Thursday from 0800-1400 and a forty-eight (48) hour notice
must be given to Lt. Zack.

As per resolution # 9692, the Purchasing Department sought formal bids for the purchase of
(1) 2008 Chevrolet Tahoe for the Police Department. On August 28, 2008, 4 bids were sent
out. On September 08, 2008 one bid was received and opened from Wondries Chevrolet. The
bid was not valid since the vendor modified the year model from a 2008 to a 2009 vehicle.
Wondries Chevrolet was contacted to inquire why the year was changed. Purchasing was
informed that the 2008 models stocked by Wondries stock did not meet up with all the
specifications however they could do a search with other dealers and possibly locate the
requested vehicle. Also, Camino Real Chevrolet` submitted a bid for a 2008 vehicle that they
do have on their lot which meets all the specifications. However, Purchasing did not accept
this bid due to the cut-off time.
The Police Department did not request a 2009 year model due to the 60 to 90 days waiting
period. The current unit #69 is not being used due to its unreliability. The detectives are
sharing vehicles. This causes down time when an officer is waiting for an available unit to
come in.
The Purchasing Section is requesting to rescind Bid 41456 and be given authorization to seek
informal quotes for a 2008 model.

Purchasing opened bid #1456 today, Sept. 18, 2008 at 2:00 p.m. Four
vendors were solicited; however only one bid was received from Wondries
Chevrolet. Wondries made a change on the specifications for the year model
from a 2008 to a 2009.. The bid is not acceptable since it does not meet the
department's specifications. I will recommend bid #1456 be rejected.
Wondries Chevrolet was contacted to inform the fleet manager of the
situation. I was informed that 2008 models meeting all the specifications were
hard to find off the lot and that is probably why the other vendors did not submit
bids.
Purchasing received a phone call from Ed Engel at Camino Real
Chevrolet after the deadline inquiring if he could still submit his bid. I informed
him that I could not accept it. He stated that he had a 2008 vehicle on his lot that
met all the specifications. I explained that I would need to talk to the department
before any decision is made on how the City would proceed with the purchase.
Since the department is in urgent need of this vehicle, I would
recommend that Purchasing request authorization from Finance and Council to
be allowed to seek informal quotes for a 2008 model, rather than go with 2009
model which would take 60 to 90 days for delivery.

SPECIFICATIONS
GENERAL
The vehicle covered by this specification is for the purchase of a 2008 Chevrolet Tahoe
LTI, 4 door, 5.3 Liter engine and shall be supplied as specified from the manufacturer's
new, unused and latest model complete with all necessary equipment and accessories.
The vehicle shall be delivered completely assembled and ready to operate. All equipment
normally. furnished, as standard shall be included. All separate units or components shall
be new, unused, installed connected and delivered in good operating order.
The subject vehicle shall conform in all respects and be equipped to operate legally on
California State Highways as specified in the California Motor Vehicle Code. The
vehicle -shall meet all California State and Federal safety and emissions standards when
delivered to the City of Vernon.
The successful bidder will submit in detail a final draft of all specifications for final
approval by the City of Vernon and the Vernon Police Department prior to purchase.
All bids submitted shall include sufficient associated literature as required to fully
describe and detail the items under consideration. This should include photographs,
performance charts, components list, dimensional drawings, etc. The bidder shall clearly
state any changes, exceptions or substitutions of equivalent equipment or materials to
these specifications.
The successful bidder will arrange to demonstrate a similarly equipped 2gerChevrolet
Tahoe prior,to purchase.
Whenever materials or equipment are specified or described in the specifications by using
the name of proprietary item or name of a particular manufacturer, fabricator, supplier or
distributors the name of the item is intended to establish the type, function and quality
required. Unless the name is followed by words indicating that no substitution is
permitted, materials or equipment of other manufacturers, fabricators, suppliers or
distributors may be accepted by the City of Vernon if sufficient information is submitted
prior to the purchase by the contractor to allow the City of Vernon to determine that the
material or equipment proposed is equivalent to the named. The term "equivalent" as
used in this specification, means "authorized equivalent" and acceptance of the
"equivalent" is subject to the approval of the City of Vernon.
Warranties
The manufacturers warranties on the vehicle and any added equipment shall be delivered
to the City of Vernon without waiver by the city of any recourse under California Law.
Three (3) year / Thirty-six thousand (36,000) miles basic warranty.
Five (5) year / One hundred thousand (100,000) miles on engine & power train.
Installation:
No installation is needed on this bid.
Inspection:
