RESOLUTION NO. 9792
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
VEHICLE PURCHASE CONTRACT BY AND BETWEEN THE CITY
OF VERNON AND SOPP FORD TRUCK CENTER AND REPEALING
RESOLUTION NO. 9741
WHEREAS, the Fire Department has requested the purchase of
two (2) vehicles to be used by the Fire Marshall and the Regional
ITraining Officer; and
WHEREAS, pursuant to Resolution No. 9741 adopted by the City
Council of the City of Vernon on October 20, 2008, the City Clerk was
directed to give notice inviting sealed proposals or bids for the
purchase of two (2) 2009 Ford Escape XLT 2WD Vehicles (the "Vehicles")
in accordance with the bid specifications provided by the Fire
Department; and
WHEREAS, based on the bid specification, the Purchasing
Department prepared Bid No. 1458, dated October 22, 2008, and proceeded
to solicit bids for the purchase of the Vehicles; and
WHEREAS, sealed bids for Bid No. 1458 were opened on
November 12, 2008, and reviewed by the Fire Department; and
WHEREAS, three (3) bids were received and opened, one from
Wondries Ford, one from Sopp Ford Truck Center and one from South Bay
Ford, Lincoln Mercury, all of which failed to provide the requested
color and were disqualified; and
WHEREAS, the Fire Department were able to locate the Vehicles
with the requested color and requested the Purchasing Agent to solicit
informal bids from prior bidders, Wondries Ford, Sopp Ford Truck Center
and South Bay Ford, Lincoln Mercury, subject to ratification by the

ICity Council; and
WHEREAS, informal responses were received by Sopp Ford Truck
Center and Truck Bay Ford, Lincoln Mercury with Wondries Ford
declining to bid and the Fire Department evaluated the responses and
recommended that the Vehicles be purchased from Sopp Ford Truck Center
("Sopp") based on the fact that they had the lowest bid meeting the
Department's requirements; and
WHEREAS, the City Council of the City of Vernon desires to
ratify the actions taken by the Fire Department and the Purchasing
Agent in soliciting informal bids for the purchase of the Vehicles and
to repeal Bid No. 1458; and
WHEREAS, the City Council of the City of Vernon has
determined that, pursuant to the provisions of subsection (a) of
Section 2.27 of the Vernon City Code, it is in the public interest and
necessity to enter into an agreement with Sopp for the purchase of the
Vehicles to enhance services provided to the Vernon community.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
Ifinds and determines that the recitals contained hereinabove are true
land correct.
SECTION 2: The City Council of the City of Vernon hereby
rejects the original bids received from Wondries Ford, Sopp Ford Truck
Center and South Bay Ford, Lincoln Mercury for the Vehicles and hereby
ratifies the actions taken by the Fire Department and Purchasing Agent
lin soliciting informal bids.

1 SECTION 3: The City Council of the City of Vernon hereby
2 approves the Vehicle Purchase Contract with Sopp, in substantially the
3 same form as the copy which is attached hereto as Exhibit A and
4 incorporated by reference.
5 SECTION 4: The City Council of the City of Vernon hereby
6 authorizes the Mayor or Mayor Pro-Tem to execute said Contract for,
7 and on behalf of, the City of Vernon, and the City Clerk or Deputy
8 City Clerk is hereby authorized to attest thereto.
9 SECTION 5: The City Council of the City hereby authorizes
10 the City Administrator, or his designee, to make whatever non-
11 substantive, administrative and/or text changes, upon advice of
12 counsel, to the Contract.
13 SECTION 6: The City Council of the City of Vernon hereby
14 authorizes the City Administrator, or his designee, to execute any and
15 all documents necessary for the purpose of implementing and carrying
16 out the terms of the Contract and this Resolution on behalf of the
17 City of Vernon.
18 SECTION 7: The City Council of the City of Vernon hereby
19 directs the City Clerk, or her designee, to send a fully executed
20 Contract to:

25 WHEREAS, Sopp has advised that it can provide the City with
26 the Vehicles as provided for in the Proposal and the City's
27 Specifications; and
28 WHEREAS, City staff have determined that the new Vehicles
1 meet the needs and requirements of the Fire Department; and
2 WHEREAS, the City desires to enter into an agreement with
3 Sopp to provide for the purchase and delivery of the Vehicles on the
4 terms and conditions set forth below; and
5 WHEREAS, Sopp represents that it is qualified and capable of
6 furnishing the labor, materials and expertise necessary to provide the
7 Vehicles that the City requires, as set forth in this Contract, and is
8 willing to do so on the terms and conditions set forth below.
9 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
10 FORTH HEREIN:
11 1. Purchase. Sopp agrees to sell and deliver to the
12 City two (2) new 2009 Ford Escape XLT FWD vehicles with 21R Cargo
13 Package which includes roof rack with crossbars and retractable cargo
14 cover, as set forth and described in detail in the Proposal attached
1'5 hereto.
16 2. Price. Sopp agrees to sell and deliver directly to
17 the City Garage within ten (10) days, subject to final inspection by
18 the City, two (2) new 2009 Ford Escape XLT FWD Vehicles with 21R Cargo
19 Package which includes roof rack with crossbars and retractable cargo
20 cover, for the sum of Nineteen Thousand Three Hundred Sixty -One
21 Dollars and No Cents ($19,361.00) each for a total amount of Thirty-
22 Eight Thousand Seven Hundred Twenty -Two Dollars and No Cents
23 ($38,722.00), plus sales tax, document fees and tire fees and less any
24 applicable discounts.
25 3. Payment Terms. The City agrees to pay Sopp for the
26 Vehicles a total of Thirty -Eight Thousand Seven Hundred Twenty -Two
27 Dollars and No Cents ($38,722.00), plus sales tax, document fees and
28 tire fees and less any applicable discounts. Payment will be made

within thirty (30) days net of receipt of the Vehicles.
4. Warranties. All manufacturers' warranties, and any
other warranties made applicable by law, shall apply to the City's
purchase of the above -referenced Vehicles.
S. General Provisions.
A. Governing Law. The laws of the State of
California shall govern the rights, obligations, duties and
liabilities of the parties to this Contract and shall also govern the
interpretation of this Contract.
B. Notices. Notices to the parties, unless otherwise
requested in writing, shall be sent to:

7. Benefit of Agreement. This Contract shall bind and
benefit the parties hereto, their heirs, successors, and permitted
assigns.
8. Forum. Any dispute related to this Contract shall be'
adjudicated in a state court serving the County of Los Angeles,
California.
9. Arbitration. The parties agree that any and all
disputes arising out of or in relation to this Contract, including
without limitation any action in tort, shall be resolved exclusively,
finally and conclusively by arbitration in Los Angeles County,
California under the auspices of and pursuant to the rules of the
Judicial Arbitration & Mediation Services Inc. (JAMS). Each party
will select an arbitrator. Those two arbitrators will then select a
third. The three -member panel will make the final decision. All
decisions of the arbitrators shall be in writing, and the arbitrators
shall provide written reasons for their decision. The arbitration
decision shall be final and binding on the parties. Notwithstanding
the foregoing, the parties shall be permitted to access the court
system to enforce any arbitration award or to obtain injunctive
relief. The exclusive jurisdiction and venue for any such action

shall be the Superior Court of California, Los Angeles County. Any
and all contracts between Contractor and any subcontractor relating to

The Purchasing Department sought formal bids for the purchase of (2) 2009 Ford
Escapes, XLT, 2WD vehicles for the Fire Department. On October 22, 2008 (6)
bids were mailed out. Bid opening was scheduled for November 12, 2008 at 2:00
p.m. and (3) bids were received. The problem is, the department's specifications
requested that the exterior vehicle color be "Torch red". Three days before the
bids: were due, Purchasing contacted the vendors regarding the pending deadline,
and were told by the three respondents that the external vehicle color would be
changed to "Sangria red". All three vendors advised that the requested color was
no longer being produced by Ford. The Fire Department was notified of the color
change, and the bids were accepted. The initial review, indicated that Wondries
Ford submitted the lowest bid, at a cost of $18,386.00/vehicle.
On November 22°a, Battalion Chief Dave Kimes advised Purchasing that he visited
Wondries Ford, to check on the Chief s pending Tahoe, and to discuss the
department's Escapes. While discussing the problem with the color selection, the
Fleet Manager was able to locate (15) Ford Escapes in the "Torch red" color. BC
Kimes requested that Purchasing move forward as quickly as possible to secure two
of these vehicles in this color.
Purchasing contacted Mike Ladner of Wondries Ford, on Monday November 241h, to
request more information regarding the "found" Torch red vehicles. I also
contacted Judy Lehr, to find out what the City's next move should be, in lieu of the
new information regarding the external color. Purchasing contacted the other two
dealerships, who responded to the bid, with the news regarding the "found" vehicles.
Judy needed to confer with Jeff Harrison, regarding the new revelations, but did
advise we could solicit informal bids, from the dealerships that initially responded to
Bid #1458. All three dealerships have advised that they can now provide
quotations for the vehicles, with the requested color "Torch Red".
December 2, 2008
As of this morning, Purchasing received two informal bids from Sopp Ford Truck
Center and South Bay Ford & Lincoln/Mercury. Purchasing spoke with Mr.
Ladner of Wondries Ford, and was advised that he will not submit a bid.
Purchasing contacted Battalion Chief Dave Kimes at home, to advise him of the
quoted pricing received. BC Kimes has requested that the vendor providing the
lowest bid be recommended to receive the approval for issuance of the Purchase
Order.
Therefore, Purchasing is requesting authorization to approve the informal bid
submitted by Sopp Ford Truck Center, for the (2) Ford Escape XLT, FWD vehicles
with the 2 1 R Cargo package. The cost for these vehicles is $19,361.00 (plus sales
taxes and license fees) per vehicle.

Over the weekend I visited Wondries Chevrolet and Wondries Ford to check, on vehicles. I spoke with
Mike Ladner about the Fire Chiefs Tahoe, it is still on order with no information on the build date. I also
spoke with the Fleet Manager at Wondries Ford who found 15 Ford Escapes in Torch Red within 150
miles. I asked Mike Ladner to look into this and he said he could get the vehicles we specified. The bid
on the Escapes should go to the low bidder which is Wondries Ford. If we can expedite the purchase,
Mike Ladner can trade the Escapes from other dealers. I don't know how the purchase works, but if you
can notify him ASAP to secure the vehicles from other dealers he can get the Torch Red. Thanks for

Two (2) 2009 Ford Escapes XLT 2WD
General
The vehicles covered by this specification is for the purchase of two (2) 2009 Ford
Escapes XLT 2WD and shall be supplied as specified from the manufacturer's new,
unused and latest model complete with all necessary equipment and accessories.
The vehicles shall be delivered completely assembled and ready to operate. All
equipment normally furnished, as a standard shall be included. All separate units or
components shall be new, unused, installed connected and delivered in good operating
order.
The subject vehicles shall conform in all respects and be equipped to operate legally on
California State Highways as specified in the California Motor Vehicle Code. The
vehicles shall meet all California State and Federal safety and emissions standards when
delivered to the City of Vernon Fire Department.
The successful bidder shall submit in detail a final draft of all specifications for final
approval by the City of Vernon and the City of Vernon Fire Department prior to
purchase.
All bids submitted shall include sufficient associated literature, as required to fully
describe and detail the items under consideration. This may include photographs,
performance charts, components list, dimensional drawings, etc. The bidder shall clearly
state any changes, exceptions or substitutions of equivalent equipment/materials to these
specifications.

Whenever materials or equipment are specified or described in the specifications by using
the name of proprietary item or the name of a particular manufacturer, fabricator, supplier
or distributor, the naming of the item intended to establish the type, function, and quality
required. Unless the name is followed, words indicating no substitution is permitted,
materials or equipment of other manufacturers, fabricators, suppliers or distributors may
be accepted by the City of Vernon if sufficient information is submitted by the contractor
to allow the City of Vernon to determine that the material or equipment proposed is
equivalent to the named. The term "equivalent" as used in this specification means
"authorized equivalent" and acceptance of the "equivalent" is subject to the approval of
the City of Vernon.
Warranties
The manufacturer's warranties on the vehicles and any added equipment shall be
delivered to the City of Vernon without waiver by the city of any recourse under
California law.

Inspection
The bidder shall arrange for a pre -delivery inspection by the City of Vernon Fire
Department.
Delivery Date
All bidders shall provide a date to deliver the vehicles. It is of utmost concern to the City
of Vernon that the quoted delivery date be met. Any delay in delivery shall be
immediately reported in writing to the purchasing agent with a copy to the Fire
Department representative. Any change in the original quoted delivery date is subject to
approval by the City of Vernon.
The City of Vernon reserves the right to cancel the purchase order for non-performance
of delivery by the quoted date at no cost or obligation to the City of Vernon.
Delivery
The vehicles shall be delivered to 4305 Santa Fe Ave, Vernon, CA 90058. The vehicles
shall be ready for immediate and safe operation, having had a complete pre -delivery
service and inspection. The invoice, any necessary vehicle registration documentation,
warranty information and manuals must accompany delivery.
Description
The vehicles will be used as Staff Vehicles.
Manuals

26 2. Price. Consistent with its Bid, CONTRACTOR agrees to sell and deliver,

9 5. General Provisions.
10 A. Governing Law. The laws of the State of California shall govern the
11 rights, obligations, duties and liability of the parties to this Contract and shall also govern the
12 interpretation of this Contract.
13 B. Notices. Notices to the parties, unless otherwise requested in writing,

and their heirs, successors, and permitted assigns.

8. Forum. Any dispute related to this Contract shall be adjudicated in a state

9. Arbitration. The parties agree that any and all disputes arising out of or in

relation to this Contract, including without limitation any action in tort, shall be resolved exclusively,
finally and conclusively by arbitration in Los Angeles County, California under the auspices of and
pursuant to the rules of the Judicial Arbitration & Mediation Services Inc. (JAMS). Each party will
select an arbitrator. Those two arbitrators will then select a third. The three -member panel will make
the final decision. All decisions of the arbitrators shall be in writing, and the arbitrators shall provide
written reasons for their decision. The arbitration decision shall be final and binding on the parties.
Notwithstanding the foregoing, the parties shall be permitted to access the court system to enforce any
arbitration award or to obtain injunctive relief. The exclusive jurisdiction and venue for any such action
shall be the Superior Court of California, Los Angeles County. Any and all contracts between
Contractor and any subcontractor relating to this Agreement shall include the same arbitration clause.

15 specifications for the vehicle required by the City; and
16 WHEREAS, on , 20 , CONTRACTOR responded to Bid No. ; and
17 WHEREAS, the City has accepted the bid of CONTRACTOR which is attached hereto as
18 Exhibit "A" and incorporated herein by reference and desires to purchase the from
19 CONTRACTOR.
20 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
21 FORTH HEREIN:
22 1. Purchase. CONTRACTOR agrees to sell to the City a
23 Vehicle, which meets the specifications contained in City of Vernon Bid No. , dated ,
24 20_, and which is consistent with CONTRACTOR's Bid of (collectively, the "Bid
25 Documents"), which is attached hereto as Exhibit "A."
26 2. Price. Consistent with its Bid, CONTRACTOR agrees to sell and deliver,
27 subject to final inspection by the City, Vehicle for the total sum of
28 Dollars and Cents ($ ), including tax
1 and final inspection.
2 3. Payment Terns. The City agrees to pay CONTRACTOR a total of
3 Dollars and Cents ($ ), including tax, for the

5 4. Warranties. CONTRACTOR shall provide, at a minimum, a three (3) year
6 factory bumper -to -bumper warranty covering parts and labor to begin upon acceptance of the
7 by the City. All manufacturers' warranties, and any other warranties made applicable
8 by law, shall apply to the City's purchase of the above -referenced Vehicle.
9 5. General Provisions.
10 A. Governing Law. The laws of the State of California shall govern the
11 rights, obligations, duties and liability of the parties to this Contract and shall also govern the
12 interpretation of this Contract.
13 B. Notices. Notices to the parties, unless otherwise requested in writing,
14 shall be sent to:

6. Entire Agreement. This Contract is the entire agreement of the parties,

CONTRACTOR represents that in entering into this Contract, it has not relied on any previous
22
representations or understandings of any kind or nature.

7. Benefit of Agreement. This Contract shall bind and benefit the parties hereto
24
and their heirs, successors, and permitted assigns.
25
8. Forum. Any dispute related to this Contract shall be adjudicated in a state
26
court serving the County of Los Angeles, California.

9. Arbitration. The parties agree that any and all disputes arising out of or in

relation to this Contract, including without limitation any action in tort, shall be resolved exclusively,
finally and conclusively by arbitration in Los Angeles County, California under the auspices of and
pursuant to the rules of the Judicial Arbitration & Mediation Services Inc. (JAMS). Each party will
select an arbitrator. Those two arbitrators will then select a third. The three -member panel will make
the final decision. All decisions of the arbitrators shall be in writing, and the arbitrators shall provide
written reasons for their decision. The arbitration decision shall be final and binding on the parties.
Notwithstanding the foregoing, the parties shall be permitted to access the court system to enforce any
arbitration award or to obtain injunctive relief. The exclusive jurisdiction and venue for any such action
shall be the Superior Court of California, Los Angeles County. Any and all contracts between
Contractor and any subcontractor relating to this Agreement shall include the same arbitration clause.
