RESOLUTION NO. 9822
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON DISSOLVING, CANCELLING AND TERMINATING ALL
AGREEMENTS WITH REVERE & WALLACE, MORGAN, LEWIS &
BOCKIUS LLP AND KIRKPATRICK & LOCKHART PRESTON
GATES ELLIS LLP AND REPEALING ALL RESOLUTIONS OR
PARTS OF RESOLUTIONS IN CONFLICT THEREWITH
WHEREAS, on August 4, 2004, the City Council of the City of
Vernon adopted Resolution No. 8509 approving an Attorney -Client
Contract, as amended on October 18, 2006 by Resolution No. 9153 and on
December 15, 2004 by Resolution No. 8624 (collectively, the "Revere
Agreement") with Revere & Wallace ("Revere"); and
WHEREAS, on April 10, 2006, the City Council of the City of
Vernon adopted Resolution No. 9015 approving a Retainer Agreement (the
"Morgan Agreement") with Morgan, Lewis & Bockius LLP ("Mor`gan"); and
WHEREAS, on May 7, 2007, the City Council of the City of
Vernon adopted Resolution No. 9310 approving a Consent and Waiver of
Conflict Letter (the "Kirkpatrick Agreement") with Kirkpatrick &
Lockhart Preston Gates Ellis LLP ("Kirkpatrick"); and
WHEREAS, in furtherance of the City's-organizational
restructuring objectives in the midst of these financial market times,
the City desires to dissolve, cancel and terminate all agreements with
Revere, Morgan and Kirkpatrick effective immediately.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.

SECTION 2: The City Council of the City of Vernon hereby
dissolves, cancels and terminates all agreements with Revere,
Kirkpatrick and Morgan, effective immediately.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the City Attorney to provide a notice of termination to
Revere, Kirkpatrick and Morgan and to instruct Revere, Kirkpatrick and
Morgan to cease providing any services as of the date of the notice,
to turn over all client files to the City Attorney and to incur no
further expenses.
SECTION 4: All outside counsel employed by the City shall
be approved and managed by the City's Special Counsel, or his
authorized designee.
SECTION 5: The City Council of the City of Vernon hereby
authorizes the City to pay Revere, Morgan and Kirkpatrick for their
services pursuant to their respective agreements.
SECTION 6: The City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and
thereafter the same shall be in full force and effect.
