RESOLUTION NO. 9886
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPOINTING ERIC T—FRESCH TO SERVE AS THE
SPECIAL COUNSEL OF THE CITY OF VERNON
WHEREAS, by Ordinance No. 1153 adopted on December 15, 2008
and effective on January 16, 2009, the City Council of the City of
Vernon created the Office of Special Counsel and the position of
Special Counsel to administer said department and report directly to
the City Council; and
WHEREAS, Ordinance No. 1153 indicated that the City Council
shall appoint, establish tenure and prescribe the powers and duties of

the Special Counsel by resolution; and
WHEREAS, the City Council of the City of Vernon desires to
appoint Eric T. Fresch ("Fresch") to serve as the Special Counsel and
to ratify all actions taken by Fresch as Special Counsel from
January 15, 2009.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
appoints Eric T. Fresch to serve as the Special Counsel until such
time as the City Council approves his removal or appoints another
person to said positions and hereby ratifies all actions taken by
Fresch as Special Counsel prior to the adoption of this Resolution.
There shall be no additional compensation.
1 SECTION 3: The duties of the Special Counsel are as
2 follows:
3 a. The Special Counsel shall report directly to the City
4 Council and advise that body on all matters that affect the City,
5 including, but not limited to:
6 (1) All matters concerning the City's financial
7 position;
8 (2) All current issues in the United States economy
9 which may affect the City's financial health;
10 (3) All capital and real estate development projects;
11 (4) Intended uses of the City's funds;
12 (5) Administrative, organizational and management
13 affairs;
14 (6) Legal matters;
15 (7) Political affairs;
16 (8) Personnel matters;
17 (9) Issues and matters affecting public health and
18 safety;
19 (10) The current status of the City's enterprise
20 departments, including the Light &-Power Department, the Gas
21 Department, the Water Department and the Fiber Optic Division of the
22 Light & Power Department; and
23 (11) Such powers and duties provided for under the laws
24 of the State of California, the Government Code of the State of
25 California and such other powers and duties as prescribed by the City
26 Council from time to time by resolutions or ordinances or minute
27 orders.

SECTION 4: The Special Counsel shall receive from each
Department Head forward information on matters which affect his or her
department in the near and long-term time period. The Special Counsel
shall report to and advise the City Council on such matters in
sufficient advice time before the City Council needs to deliberate and
act on said matters.
SECTION 5: The Special Counsel's duties described herein
shall not abrogate each Department Head's obligation to communicate,
inform and advise the City Council on matters affecting his or her
department.
SECTION 6: The City Clerk of the City of Vernon shall
ce,rtify to the passage of this resolution', and thereupon and
thereafter the same shall be in full force and effect.
