RESOLUTION NO. 9898
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF
AN AGREEMENT BY AND BETWEEN THE CITY OF VERNON AND
SPECTRUM BUILDING SERVICES FOR FIRE ADMINISTRATION
TRAILER JANITORIAL SERVICES
WHEREAS, the Fire Department needs the services of a firm to
provide janitorial service at the Fire Administration Trailer located
at 3375 Fruitland Avenue in the City of Vernon; and
WHEREAS, the Fire Chief has recommended that Spectrum
Building Services ( "Spectrum ") provide the necessary janitorial
services at the Fire Administration Trailer on a month -to -month basis
for fee of $250.00 per month; and
WHEREAS, the City Council of the City of Vernon has
determined that, pursuant to the provisions of subsection (a) of
Section 2.27 of the Vernon City Code, it is in the public interest and
necessity to approve an agreement with Spectrum for janitorial
services at the Fire Administration Trailer.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Agreement with Spectrum, in substantially the same
form as the copy which is attached hereto as Exhibit A and
incorporated by reference.
SECTION 3: The City Council of the City of Vernon hereby

authorizes the Mayor or Mayor Pro -Tem to execute said Agreement for,
and on behalf of, the City of Vernon and the City Clerk or Deputy City
Clerk is hereby authorized to attest thereto.
SECTION 4: The City Council of the City of Vernon hereby
authorizes the City Administrator, or his designee, to make whatever
nonsubstantive, administrative and /or text changes, upon advice of
counsel, to the Agreement.
SECTION 5: The City Council of the City of Vernon hereby
directs the City Clerk, or her designee, to send one fully executed
Agreement to:

SECTION 6: The City Council of the City of Vernon hereby
authorizes the City Administrator, or his designee, to take any and
all actions deemed necessary and to execute any and all documents as

of said Agreement approved herein.
SECTION 7: The City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and
thereafter the same shall be in full force and effect.

Spectrum Building Services will provide janitorial services in a reliable manner for $250 per month.
Term of Service
The cleaning service shall be on a month -to- month basis, and will commence upon request. Either party may
terminate this Agreement, upon payment in full of all amounts outstanding and upon 30 days written notice.
Terms of Payment
Spectrum Building Services will invoice for the services each month. All invoices are due within 30 days of the
date of the invoice. A service charge of 1 % % per month will be added to the outstanding balance on accounts
over thirty 30 days past due. After 60 days, you will be liable for any collection charges or attorney fees incurred
by Spectrum Building Services in collecting delinquent accounts.
Relationship of Parties
The relationship between Spectrum Building Services and you is that of agent - principal, and no other relationship
shall be deemed to be created or implied between the parties.
Governing Law
This Agreement shall be governed by the laws of the State of California. It constitutes the entire agreement
between the parties regarding its subject matter. This Agreement may not be modified except in a writing signed
by both parties. Neither party may assign any rights or delegate any duties under this Agreement without prior
written consent of the other. If any provision in this agreement is held by any court to be invalid, void, or
unenforceable, the remaining provisions shall nevertheless continue in full force.
Acceptance of Agreement
The prices, specifications, and conditions of this Agreement are satisfactory and are hereby accepted. Spectrum
Building Services is hereby authorized to do the work as specified. Payment shall be made as outlined above.

Monthly Fees for Janitorial
Spectrum Building Services, LLC will provide janitorial services in a reliable manner for $275.00 per month.
Term of Service
The cleaning service shall be on a month -to -month basis, and will commence upon request. Either party may
terminate this Agreement, upon payment in full of all amounts outstanding and upon 30 days written notice.
Terms of Payment
Spectrum Building Services, LLC will invoice for the services each month. All invoices are due upon receipt. A
service charge of 5% will be added to the outstanding balance on accounts after 15 days past due,10% on
accounts over 30 days past due. After 60 days, you will be liable for any collection charges or attorney fees
incurred by Spectrum Building Services, LLC in collecting delinquent accounts.
Method of Payment
As part of our efforts to be efficient and environmentally friendly all invoicing and payment processing will be done
electronically via ACH debit /credit or by credit card. All invoices will be sent electronically one week prior to its due
date. To better serve you Spectrum Building Services, LLC will allow you to select the date for payment
processing.
Relationship of Parties
The relationship between Spectrum Building Services, LLC and you is that of agent - principal, and no other
relationship shall be deemed to be created or implied between the parties.
Governing Law
This Agreement shall be governed by the laws of the State of California. It constitutes the entire agreement
between the parties regarding its subject matter. This Agreement may not be modified except in a writing signed
by both parties. Neither party may assign any rights or delegate any duties under this Agreement without prior
written consent of the other. If any provision in this agreement is held by any court to be invalid, void, or
unenforceable, the remaining provisions shall nevertheless continue in full force.
Acceptance of Agreement
The prices, specifications, and conditions of this Agreement, and the accompanying Addendum are satisfactory
and are hereby accepted. Spectrum Building Services, LLC is hereby authorized to do the work as specified.
Payment shall be made as outlined above.

review, Purchasing forwarded the attached Proposal from Spectrum
Building Services dated June 23, 2011 to our Interim City Attorney for
review.
The documents were reviewed, and approved as to form by the Interim
City Attorney. Purchasing was advised that an Amendment to the
previously approved Agreement would not be necessary for the renewal.
At the request of Mr. Montgomery, Purchasing has requested that
Spectrum Building Services provide a fully executed signature page, for
the attached proposal. Upon receipt, two copies of this document will
be forwarded to Legal for inclusion with the final paperwork.

Purchasing recently received the above mentioned Contract FD -0066 for
the renewal of the janitorial service for the Fire Administration Trailer
located at Fire Station #1. Spectrum Building Services, LLC has
provided janitorial service since 2009.
On March 23, 2009, the City-Council authorized the execution of an
Agreement by and between the City of Vernon and Spectrum Building
Services, approved by Resolution No. 9898 (see attached). At that time,
the costs for the janitorial service totaled $250.00 per month.
Purchasing recently contacted the vendor, to obtain a proposal for the
new fiscal year services, and noted that the monthly costs increased to
$275.00. - -dire Department was contacted, regarding the revised cost,
and was advised that there was money available to cover the new costs.
Purchasing is requesting that an amendment to the original Service
Agreement, is drafted to cover the new monthly costs. Once an
amendment is created, Purchasing will submit a Staff Report to the -Mayor
and City Council, approving the amendment to the original Service
Agreement.

Purpose
The purpose of this Staff Report is to request an Amendment to the
Agreement approved by Resolution No. 9898 (see attached). The
Resolution in question approved on March 23, 2009, authorized the
execution of an Agreement by and between the City of Vernon and
Spectrum Building Services, for janitorial services for the Fire
Administration trailer located at Fire Station #1.
Background
Spectrum Building Services has provided janitorial services at the Fire
Station #1 trailer since 2009. Purchasing recently contacted the vendor,
to obtain a price quotation for the 2011 — 2012 fiscal year monthly. The
original Service Agreement indicated a monthly cost of $250.00. While
reviewing the quotation, it was noted that the monthly service cost
increased from $250.00 per month, to $275.00 per month.
Recommendation
It is our recommendation that an amendment is drafted to the original
Agreement, approving the new monthly cost of $275.00. We are
requesting that this request is added to the Finance Agenda for the
Council Meeting scheduled for July 19, 2011.
Fiscal Impact
The total cost for the janitorial maintenance is $3,300.00. Initially,
$3,000.00 was specifically budgeted for this service. The department has
advised that there is adequate funding in the budget to cover the
additional costs for service.
