Resolution No. 09901 , 1 RESOLUTION NO. 9901 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A 4 VEHICLE .PURCHASE CONTRACT BY AND BETWEEN THE CITY OF VERNON AND SOPP FORD TRUCK CENTER . 5 6 WHEREAS, the Fire Department is requesting to purchase anew 7 vehicle to replace vehicle number F402/C131 which is a 2001 Ford Crown 8 Victoria being used by the Administrative Captain; and 9 WHEREAS, the Fire Department has determined that a -2009 Ford 10 Escape XLT FWD (the "Vehicle") with Cargo Package and Sun Sync Value 11 Package is the best vehicle to meet its need-; and 12 WHEREAS, Sopp Ford Truck Center ("Sopp") has advised-the City 13 that it can provide the City with the Vehicle meeting the 14 specifications of the Fire Department; and 15 WHEREAS, the Purchasing Agent has recommended that the 16 Vehicle be purchased-from Sopp; and 17 WHEREAS, the City Council of the City. of Vernon has 18 determined that, pursuant to the provisions of subsection (a) of 19 Section 2.27 of the Vernon City Code, it is in the public interest and 20 necessity to enter into an agreement with Sopp for the purchase of the 21 Vehicle to enhance .services provided to the Vernon community. 22 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 23 -CITY OF VERNON AS FOLLOWS: 24 SECTION 1 The City Council of the-City of Vernon hereby 25 finds and determines that the recitals contained hereinabove are-true 26 and correct. 27 SECTION 2: The City Council of the City of Vernon hereby 28 approves the Vehicle Purchase Contract with Sopp Ford Truck Center, 1 in substantially the same form as the copy which is attached hereto as 2 Exhibit A and .incorporated by reference. 3 SECTION 3: The City Council of the City of Vernon. hereby 4 authorizes the Mayor or Mayor Pro-Tem to execute said Contract for; 5 and on behalf of, the City of Vernon, and the City Clerk or Deputy 6 City Clerk is .hereby authorized to attest. thereto. 7 SECTION 4: The City Council of the City of Vernon 8 authorizes the City Administrator, or his designee, to make whatever 9 non-substantive,. administrative and/or text changes, upon advice of 10 counsel, to the Contract. 11 SECTION 5: The City Council of the City of Vernon hereby 12 authorizes the City Administrator, or his designee, to execute any and 13 all documents necessary for the purpose of implementing and carrying 14 out the terms of the Contract and this Resolution on behalf of the 15 City of Vernon. 16 SECTION 6: The City Council of the City of Vernon hereby 17 directs the City Clerk, or her designee, to send a fully executed 18 Contract to: 19 Attn: Jeff Spittel, Commercial Account Manager Sopp Ford Truck Center 20 5925 South Alameda Street 21 Los Angeles, CA 90001- 22 / / / 23 / / / 24 / / / 25 / / / 26 / / / 27 / / / 28 / / / - 2 - 1 SECTION 7: The City Clerk of the City of Vernon-shall 2 certify to the passage of this resolution,. and thereupon and 3 thereafter the same shall be in full force and effect. 4 APPROVED AND. Purchase. Sopp agrees to sell and deliver to the 12 -City one (1) new 2009 Ford Escape XLT FWD Vehicle with Cargo Package 13 and Sun & Sync Value Package which includes roof rack with crossbars 14 and-retractable cargo cover, as set forth and described in detail in 15 the Proposal attached hereto. 16 2. Price.. Sopp agrees to sell and deliver directly to 17 the City Garage within ten (10) days, subject to final inspection by 18 the City, .one (1) new 2009 Ford Escape, XLT FWD Vehicle with Cargo 19 Package and Sun & Sync Value Package which includes roof rack .with 20 crossbars .and retractable cargo cover, for the sum of Nineteen 21 Thousand Six Hundred Fifty-Two Dollars and No Cents ($19,652.00),-.plus 22 sales tax, document fees and tire fees. The aforementioned price of 23 the Vehicle. incorporates the cost of the;Sun & Sync Value Package for 24 the sum. of Three Hundred Fifteen Dollars and One Cent ($315.01). 25 3. Payment Terms. The City agrees to pay Sopp for the 26 Vehicle a total of Nineteen Thousand Six Hundred Fifty-Two. Dollars and 2~ No-Cents ($19,652.00), plus sales tax, document fees and tire fees. 2g Payment will be made within thirty (30) days net of receipt of-the - 2 - 1 Vehicle. 2 4. Warranties. All manufacturers' warranties, and any 3 other warranties made applicable by law, shall apply to the City's 4 purchase of the above-referenced Vehicle. 5 5. General Provisions. 6 A. Governing Law. The laws of the State of 7 California shall govern the rights, obligations, duties and. g liabilities of the par ies to this Contract and shall also govern the g interpretation of this Contract. 10 B. Entire Agreement. This Contract is the entire 19 agreement of the parties. Benefit of Agreement. This Contract shall bind and' 2 benefit the parties hereto, their heirs, successors, and permitted 3 assigns. 4 8. Arbitration. The parties agree that any and all 5 disputes arising out of or in relation to this Contract, including 6 without limitation any action in tort, shall be .resolved exclusively, 7 finally and conclusively by arbitration in Los Angeles County, g California under the auspices~of and pursuant to the rules of the g Judicial Arbitration. & Mediation Services Inc. (JAMS). Each party 10 will select an arbitrator. Those two arbitrators will then select a '11 third. The three-member panel-will make the final decision. The 12 agreement of two of the three Arbitrators as to the resolution of the 13 ,dispute shall be a conclusive resolution. A11 decisions of the 14 arbitrators shall be in writing, and the arbitrators-shall provide 15 written reasons-.for-their decision. The arbitration decision shall be 16 final and binding on the parties. Notwithstanding the foregoing, the 17 parties shall be permitted to access the court system to enforce any 18 arbitration award or to obtain injunctive relief.
