3 A RESOLUTION OF THE CITY COUNCIL OF-THE CITY OF
VERNON APPOINTING DONAL O'CALLAGHAN TO THE POSITION
4 OF CITY ADMINISTRATOR AND REPEALING ALL RESOLUTIONS
5 OR PARTS OF RESOLUTIONS IN CONFLICT. HEREWITH
6
- 7 WHEREAS, pursuant to the Charter of the City of Vernon,.
g approved by the electorate of the City of Vernon at the General
g .Municipal Election held April 12, 1988,- the City Council shall
10 appoint, by majority vote, a City Administrator, who shall be the
11 Chief Administrative Officer of the City of Vernon and be responsible
12 to the City-Council for the proper and efficient management of all the
13 affairs of the City; and
14 WHEREAS, by Ordinance Nos. 883, 992, 994, 1035, 1107, 1121,
15 112.6 and 1131, adopted by City Council-previously, the City
16 ,Administrator shall be the administrative head of the government of
17 the City, with the powers and duties of supervision and enforcement of
18 all regulations and policies established by the City Council over all
19 City officers, .Department Heads, and employees, which City Officers
20 shall cooperate with, and assist the City Administrator in
21 administering the affairs of the City most efficiently,. economically,
22 and harmoniously; and -
23 WHEREAS, by Ordinance No. 1154, adopted by City Council
24 previously, and without limiting the general powers and duties of the
25 City Administrator set forth in Section 2.6-6 ,of the Vernon City Code.,
26 1959, the Finance Director of the Finance Department, the Director of
27 Environmental Health of the Health & Environmental Control Department,
28 the Director of Human Resources of the Human Resources Department, and
1 the City Attorney of the Office of the City Attorney/Public Prosecutor,
2 shall, as to issues concerning their respective departments, report
3 such issues directly to the City Council; and
4 WHEREAS, the City Council of the City of Vernon desires to
5 appoint Donal O'Callaghan ("O'Callaghan") to-serve as the City
6 Administrator of the City of Vernon; and
7 WHEREAS, on March 16,,2009, the City Council of the City of
8 Vernon adopted Resolution No. 9889 appointing O'Callaghan to serve as
9 the Director of Utilities & Government Infrastructure and the City
10 Council desires to repeal said resolution effective May 15, 2009.
11 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
12 CITY OF VERNON AS FOLLOWS:
13 SECTION 1: The City Council of the City of Vernon hereby
14 finds and determines that the recitals contained hereinabove are true
15 and correct.
16 SECTION 2: The City Council of the City of Vernon hereby
17 appoints Donal O'Callaghan to serve as the City Administrator upon the
18 Effective Date of the Employment Agreement, May 15, 2009, in addition
19 to his current duties as the Director of Light & Power and the
20 Director of the Gas Department and compensation for said services
21 shall be paid pursuant to the Employment Agreement dated May 15, 2009,
22 as amended, until such time as the City Council approves his removal
23 or appoints another person to said positions and hereby ratifies all
24 actions. taken by O'Callaghan as the Gity Administrator prior to the
25 adoption of this Resolution.
26 SECTION 3: The duties of the City Administrator are as
27 follows:
28 a. The City Administrator shall report directly to the

1 City Council and advise them on all matters that affect the City,
2 including, but not limited to:
3 (1) Management and oversight of all of the affairs of
4 the City; and '
5 (2) Such other powers and duties as prescribed by
6 resolutions or ordinances or minutes orders adopted by the City
7 Council.
8 SECTION 4: All resolutions, or-parts of resolutions, not
9 consistent with or in conflict with this Resolution, including
10 specifically Resolution-Nos. 9313 and 9889, are hereby repealed.
11 'SECTION 5: The City Clerk of the City of Vernon shall
12 certify to the passage of this resolution, and thereupon and
13 thereafter the same shall be in full force and effect.
14 APPROVED AND ADOPTED this 11th day of May, 2009.

RE: Appointment of New City Administrator
I have been your City Administrator for a little over two years. In that time we have
proposed fo you and you have adopted various ordinances that reorganized the City's
.administrative structure.
Your Department. Heads now have the authority and responsibility to manage their
respective departments. Various positions have been created to better manage the
City's needs and facilitate efficient communications with other governmental agencies,
capital markets, the City's lenders, and Wall Street.
The City's credit rating has. been increased two levels to the "A-3" category. We have
structured the optimal use of our Light & Power resources,, culminating in the City
receiving nearly $4OO million in proceeds from that asset restructuring. The City has
paid off all of its nearly $300 million in project debt. And finally, the City. has
successfully restructured its natural gas supply to low interest long term debt..
Ironically, I worked with the team representing the City accomplishing these objectives
as an attorney. Today,. I am recommending to you to appoint Donal O' Callaghan,-
- effective May 15th, 2009, as the administrative head of the City's government in the role
of City Administrator:, He can devote his entire time to the duties and interests of the
City ira his new role, as well as serving as the City's Director of Light & Power.
I make these recommendations to the City at no additional economic cost for Donal's
services. My own contract hourly rates for legal services also remain the-same and as
always the amount of hours I work are subject to the City's request and approval.
