COUNCIL OF THE CITY OF VERNON_ACCEPTING THE BID OF WONDRIES`FLEET-GROUP ON 4 BID NO. 1460 FOR THE PURCHASE OF A 2009 CHEVROLET TAHOE FOR THE POLICE DEPARTMENT, APPROVING AND 5 AUTHORIZING THE EXECUTION OF A VEHICLE-PURCHASE CONTRACT AND-THE ISSUANCE OF A PURCHASE ORDER 6 RESPECTING SAID BID 7 . g WHEREAS, the Police Department has requested .the purchase of g one 2009 Chevrolet Tahoe to replace-a vehicle; and 10 WHEREAS., pursuant to Resolution No. 9884 adopted by the City 11 Council of the City of Vernon on March 16, 2009,. the City Clerk was 12 directed to give notice inviting sealed-proposals or bids for the 13 purchase of a 2009 Chevrolet Tahoe LT1, 4-Door, 5.3 Liter Engine SUV 14 (the "2009 Chevrolet Tahoe"), in accordance with a bid specification. 15 provided by the Police Department; and 16 WHEREAS, based upon the bid specification, the Business 17 Services & Purchasing Department (the "Purchasing Department")_prepared 18 Bid No. 1460 dated March 19, 2009, and proceeded to solicit bids for 1g the purchase of the 2009 Chevrolet Tahoe; and 20 WHEREAS, sealed bids for Bid No. 1460 were opened on April 9, 21 2009, and reviewed by the Police Department; and 22 WHEREAS, the Purchasing Department disqualified the bid from 23 Camino-Real Chevrolet because it was received after the deadline and 24 deemed untimely; and 25 WHEREAS, the. Purchasing Department has recommended that Bid 26 No. 1460 be awarded to Wondries Chevrolet, the lowest responsible 27 bidder meeting the requirements of Bid No. 1460. 28 1 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 2 CLTY OF VERNON AS FOLLOWS: 3 SECTION 1: The City Council of the City of Vernon hereby 4 finds and determines that the .recitals contained hereinabove are true 5 -and correct. 6 SECTION 2: The City Council of the City of Vernon hereby 7 awards Bid No.-1460 to Wondries. Fleet Group and accepts and approves 8 the Vehicle Purchase Contract, in substantially the same form as the 9 copy which is attached hereto as Exhibit A and incorporated by 10 reference. 11 SECTION 3: The City Council. of the City of Vernon hereby 12 authorizes the Mayor or Mayor Pro-Tem to .execute said Contract for, 13 and on behalf of, the City of Vernon and the City Clerk or the Deputy 14 City_Clerk is hereby authorized to attest thereto and authorizes the 15 issuance of a purchase. order for the purchase of the 2009 Chevrolet 16 Tahoe pursuant to Bid No. 1460.. 17 SECTION 4: The City Council of the City of Vernon hereby 18 authorizes the City-Administrator, or his designee, to make whatever 19 nonsubstan'tive, administrative and/or text changes, upon advice of 20 counsel, to the Contract and to execute any and all documents 21 necessary to implement and carry out the purposes specified in the 22 Contract on behalf of the City of Vernon and to perform such 23 other actions deemed necessary or advisable. 24 SECTION 5: The City Council of the-City of Vernon hereby 25 directs the City Clerk, or her designee, to send .one fully executed 26 Contract to: 27 Wondries Fleet Group Attn. Payment Terms. Payment will be made 17 within thirty (30) days net of receipt of the Vehicle. 18 4. Warranties. All manufacturers' warranties, the 19 warranties specified on the Bid Documents .and any other warranties 20 made applicable by law, shall apply to the City's purchase of the 21 above-referenced Vehicle. 22 5. General Provisions. 23 A. Governing Law. The laws of the State of 24 California shall govern the rights, obligations, duties and 25 liabilities of the parties to this Contract and shall also govern the 26 interpretation of .this Contract. 27 B. Notices. Wondries represents that in entering into 10 this Contract, it has not relied on any previous :representations or 11 understandings of any kind or nature. 12 7. Benefit of Agreement. This Contract-shall bind and 13 benefit the parties hereto, their heirs, successors, and permitted 14 assigns. 15 8. Arbitration. The parties agree that any and all. 16 disputes arising out of or in relation to this Contract, including 17 without limitation any action in tort, shall be resolved exclusively, 18 finally and conclusively by arbitration in Los Angeles County, 19 California under the auspices of and pursuant to the rules of the 20 Judicial Arbitration & Mediation Services Inc.
