6 WHEREAS, the .City of Vernon is interested in obtaining
7 proposals from qualified dealers for the purchase of a 2009 Ford F-350
8 4 x 2 Truck equipped with Utility Body & Wachs Valve Operator which
9 will be used by the water production crew to facilitate the
10 maintenance of the. well-sites and booster motors;. and
11 .WHEREAS, the Director of Community Services & Water has
' 12 requested the issuance of a Request for Proposal for a 2009 Ford F-350
13 4 x 2 Truck equipped with Utility Body & Wachs Valve Operator (the
14 "RFP") pursuant to Section 2.29-2 of the Vernon City .Code.
15 NOW, THEREFORE, BE IT RESOLVED BY THE~CITY COUNCIL OF THE
16 CITY OF VERNON AS FOLLOWS:
17 SECTION. 1: The City Council of the City of Vernon hereby
18 finds and determines that the recitals contained hereinabove are true
19 and correct.
20 SECTION 2:. The City Council of the City of Vernon hereby
21 directs the Director of Community Services & Water, or his designee,
22 to issue the RFP, a copy of which is attached hereto and incorporated
23 by reference as Exhibit A, to one or more qualified dealers, and to
24 report to the City Council on the proposals received with a
25 recommendation for action.

INTENT
It is the intent of this specification to provide for the purchase of one new and unused 2009 Ford
F-350.4x2, with the bed box. deleted in order to .accommodate a utility body, to be purchased and
installed by the selected dealer, per specification. In addition, a Wach's ERV-750 Automated
Valve Operator .shall also be purchased and installed by the selected dealer, per specification.
The truck shall be equipped with a 6.4L Triton V-8 engine and 5-speed automatic transmission.
The. City of Vernonhas evaluated different types of :trucks -and has determined that this product
is best suited for the department's needs in safety, quality, performance, and standardization.
In comparing proposals,: consideration will not be confined to price only. The successful bidder
will be one whose product is judged shall best serve the interests of the City of Vernon when
price, product, safety, quality and delivery are considered. The City of Vernon reserves the right
to reject any or all bids or any part thereof, and to waive any minor technicalities. A contract
will be awarded to the bidder submitting the lowest responsible bid meeting the requirements of
this specification.
VEHICLE PURCHASE CONTRACT
A sample of the City's Vehicle Purchase Contract is attached hereto as Appendix "A"..Proposers
are strongly advised to review all the terms and conditions of the sample contract: If the Proposer
takes exception to any provision of the attached sample contract, the Proposer must specify each
exception and give a detailed statement of why he takes exception to each certain provision

stated in the sample contract. The extent to which the Proposer takes exception to the City's
contract will be considered and evaluated in the. contract.. award.. Submission of the proposing
firm's standard contract, as apart of the proposal will not be accepted. `
EQUIVALENT PRODUCT
Bids will be accepted for consideration on any make or model that is equal or superior to the
truck specified. Decisions of equivalency will be at the sole interpretation of the City. A blanket
statement that equipment proposed will meet all requirements will not be sufficient to .establish
equivalence.. Original manufacturer's brochures of the proposed .unit are to be submitted with
the proposal
All modifications -made to the standard production unit described in the manufacturer's
brochures must be certified by the manufacturer and submitted .with the bid, or the bid will be
deemed "non-responsive" and rejected without further review. The Proposer must be prepared to
demonstrate a unit similar to the one proposed, if requested.
INTERPRETATIONS
In order to be fair to all Proposers, no oral interpretations will be given. to any Proposer as to the
meaning of the. specification documents or any part thereof... Every request for such a
consideration shall be made in writing to the..-City of Vernon. Based upon such inquiry, the City
may choose to issue an Addendum.
GENERAL
The specification herein states the minimum requirements of the City. All bids must be regular
in every respect. Unauthorized. conditions,. limitations, or provisions shall be cause for rejection.
The. City of Vernon will consider as "irregular" or "non-responsive" any bid not prepared and
submitted in accordance with the. bid document and specification, or any bid lacking sufficient
technical literature to enable the Department to make a reasonable determination of compliance
to the specification.
It shall be the Proposers responsibility to carefully examine each item of the specification.
Failure to offer a completed bid or failure to respond to each section of the technical
specification will cause the proposal to be rejected without review as "non-responsive". All
variances, exceptions and/or deviations shall be fully described in the appropriate section:
Deceit in responding to the specification will be cause for rejection.

6. Entire Agreement. This Contract is the entire agreement of the parties,

and their heirs, successors, and permitted assigns.

8. Arbitration. The parties agree that any and all disputes arising out of or in

relation to this Contract, including. without limitation any action in tort, shall be resolved exclusively,

finally and conclusively by arbitration in Los Angeles County, California under the auspices of and

1 pursuant to .the rules of the Judicial Arbitration & Mediation Services Inc. (JAMS). Each party will
2 select an arbitrator. Those two arbitrators will then select a third. The three-member panel will make
3 the final decision. The agreement of two of the three Arbitrators as to the resolution of the dispute shall
4 be a conclusive resolution. All decisions of the arbitrators shall be in writing, and the arbitrators shall
5 provide written reasons for their decision. The arbitration decision shall be final and binding on the
6 parties. Notwithstanding the foregoing, the parties shall be permitted to access the court system to
~ enforce any arbitration award or to obtain injunctive relief. The exclusive jurisdiction and venue for any
8 such action shall be the Superior Court of California, Los Angeles County. Any and all contracts
9 between Contractor and any subcontractor relating to this Agreement-shall include the same arbitration
10 clause.

SUBJECT: Permission to Seek Request for Proposals for the Purchase of a 2009 Ford F-350

The Department of Community Services and Water is seeking permission to issue Request for
Proposals (RFP) to selected Ford dealerships to facilitate the purchase of a new 2009 Ford F-350 4 x 2 Pickup
Truck, with the bed box deleted in order to accommodate a utility body, to be purchased and installed by the
selected dealer. In addition, a Wach's ERV-750 automated valve fuming machine shall also be purchased and
installed by the selected dealer. The proposed truck will be used by the Water Production crew to facilitate the
maintenance of the well-sites and booster motors. Moreover, the Wach's automatic valve operator will assist the
above-mentioned crew with exercising the valves in the Water Production facilities as well as the water
distribution system at large. The proposed truck will replace Unit No. 103, a 1989 F-350, that has 86,000 miles
on it, and is nearly obsolete with many of the parts no longer manufactured.
The Department did spend considerable time looking at various brands and types of trucks, utility body
designs, and valve turning machines that would be compatible with the operational challenges encountered by
City water crews. The Ford F-350, utility body, and valve turning machine appear to meet the above-mentioned
criteria in terms of functionality and practicality.
A Staff Report has been attached recommending that the City Council approve the request to issue
RFP's for the purchase of a new 2009 Ford F-350 4 x 2 Truck, utility body, and valve turning machine at the
May 18, 2009 meeting.

RE: Ford F-350 -Request for Proposal
The Department of Community Services and Water (department) is seeking permission to issue
Request for Proposals (RFP) to selected Ford dealerships in order to purchase a new 2009 Ford F-350 4 x
2 Truck, with the bed box deleted in order to accommodate a utility body that will be purchased and
installed by the selected dealer, per specification. Moreover, a Wach's ERV-750 automated valve turning
machine will be also purchased and installed by the dealer, per specification. The Department evaluated a
variety of different trucks and determined that the F-350, utility body, and automated valve machine are
well suited for the Department's needs in terms of safety, operational compatibility, quality, performance,
and standardization. The F-350 will replace Unit No. 103, a 1989 F-350, that has in excess of 86,000
miles on it and in nearly obsolete with replacement parts no longer manufactured.
The F-350 will be used by the Water Production crews to perform preventative maintenance
functions at the well-sites and booster stations. In addition, the automated valve turning machine will
allow crewmembers to exercise mainline valves at the well and booster station sites. as well as the water
distribution system at large. This will extend the life of the mainline valves and save extensively on
replacement costs.
It is my recommendation that the City Council approve the request to issue RFP's for the
purchase of a new 2009 Ford F-350 4 x 2 Truck, utility body, and Wach's ERV-750 automated valve
turning machine at the May 18, 2009 meeting. Thank you.
