3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
4 VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
RECRUITMENT AGREEMENT BY AND BETWEEN THE CITY OF
5 VERNON AND EXPERT EXECUTIVE RECRUITERS
6
~ WHEREAS,-the City of Vernon needs. the services of a
g consultant to provide recruitment services for the position of
g Resource Planner in the Light &-Power Department and any other future
10 positions as requested by-the Personnel or Human Resources
11 Departments; and .
12 WHEREAS, by memo dated May 21, 2009, the Director of
13 Personnel has recommended that-the City enter into a Recruitment
14 Agreement with Expert Executive Recruiters ("EER") to provide said
15 recruitment services; and
16 WHEREAS, the City Council of the City of Vernon .has
17 determined that, pursuant to the provisions of subsection (a) of
18 Section 2.27 of the Vernon City Code, it is in the public interest and
19 necessity to enter into an agreement with EER.
20 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
21 CITY OF VERNON AS FOLLOWS:
22 SECTION 1: The City Council of the City of Vernon hereby
23 finds and determines that the recitals contained hereinabove are true
24 and correct.
25 SECTION 2: The City Council of the City of Vernon hereby
26 approves the Recruitment Agreement with EER, in .substantially the same
27 form as the copy which is attached hereto as Exhibit A and incorporated
28 by reference.
1 SECTION 3: The City Council of .the City of Vernon hereby
2 authorizes the Director of Human Resources,. or her designee, to execute
3 the Recruitment Agreement with EER for, and on behalf of, the City of
4 Vernon and the City Clerk or Deputy City Clerk is hereby authorized to
5 attest thereto.
6 SECTION 4: The City,Council of the City of Vernon hereby
7 authorizes the City Administrator, or his designee, to make whatever
8 nonsubstantive, administrative and/or text changes, upon advice of
9 counsel, to the Agreement.
10 SECTION 5: The City Council of the City of Vernon hereby
11 directs the City Clerk, or her designee, to give one fully executed
12 Agreement to EER.
13 SECTION 6: The City Clerk of the City of Vernon shall
14 certify to the passage of this resolution, and thereupon and
15 thereafter the same~~shall be in full force and effect.

Recruitment Agreement
Purpose of Agreement
This recruiting agreement is entered into and effective this date June 1, 2009 by
and between Expert Executive Recruiters ("EER") and City of Vernon
("Client") to find suitable candidates for the position(s) of
1. Resource Planner (Light & Power Department)
2. Anv other future positions that the Client will. ask EER to assist with
iJndertaking of Recruiter
EER agrees to use its best efforts find suitable candidates for the above named positions
and any other positions that will be required by the client in the future. EER' goal is to save
valuable Client time, assist in successful hiring processes, and provide Client access to top
.candidates. EER will actively source, recruit and screen candidates. EER's work normally
includes, but, is not limited to the following: 1) initial needs assessment with Client to
formulate criteria for candidate selection, corporate background, position salary, and
location specifics, 2) identification of potential candidates through resume database review,
networking calls, direct contacts with competitors, receipt of resumes through mail and fax,
advertising and leads, 3} candidate screening through resume reviews and direct telephone
interviews, 4) preparation of interview notes for presentation to Client, 5) referral of
screened and interviewed candidate resumes to Client, 6) coordination of candidate
interviews with Client, both telephone and in person, and, 7) assistance with the
coordination and acceptance of job offers.
Candidate Referrals
EER will provide screened and interviewed resumes directly to the hiring authority
identified within Client's organization. It is understood that Client will not disclose or share
any names or information which would identify candidates or cause candidates to be
referred to any third parties. All referred candidates are considered to be valid referrals
from EER to Client unless Client immediately notifies EER of recent and prior
employment conversations which Client has conducted with a specific candidate within the
90 days preceding EER's referral of candidate to Client. Referred candidates are considered
active EER candidates for a period of 3 (three) years from the date. of initial referral to
Client. Should Client hire or employ a referred candidate in any job during this period, the
fees as described below are considered to be due to EER
Fee Calculation and Payment Schedule
Client is not responsible to Expert Executive Recruiters for any reimbursements for
expenses incurred by Expert Executive Recruiters on behalf of Client, including hours
worked, long-distance telephone, travel, interviewing time, sourcing expenses, website
advertising, postage, fax, office support, photocopy or other ordinary recruiting expenses
required to conduct employee searches for Client.
Client understands that Expert Executive Recruiters incurs recruiting expenses on a risk
based contingency basis and will be remunerated through payment of a recruitment fee
upon successful hire of a referred candidate. Client agrees to pay a fee of 10% of the
candidate's total-first year total compensation which includes base salary, bonuses,
commission, sign-on bonus, etc. Payment is due within 7 days of candidate's start date.
Expert Executive Recruiters will guarantee the original placement of this position by searching
for a suitable replacement if the candidate is under performing or leaves for reasons other than
inappropriate, unreasonable or unacceptable circumstances at the job or the candidate leaves
within 90 days from the first date of employment providing the Invoice is paid on time.
Notification of termination is required within 5 calendar days in order to enact the replacement
guarantee.
This agreement may be terminated at any time by either party without cause upon written
notice. However, this agreement will continue to be binding beyond termination if a
referred candidate supplied by Expert Executive Recruiters is subsequently hired within
three (3) years of initial referral date.

RE: Recruitment Agreements
The Personnel Department has actively been trying to fill the position of Resource
Planner for the Light & Power Department for several months to no avail. Therefore, at
this time I am seeking your approval to use the services of recruiters to assist us with
the recruitment.
Attached are two original agreements for each of the recruitment companies:
1. Expert Executive Recruiters
`2. Synergy Executive Search
The agreements have been reviewed by the Director of Human Resources. Once the
agreements have been executed and received, the recruiters will actively begin their
search to find the best suitable candidate.
