Resolution No. 099841 2 3 4 5 6 7 8 9 10 11 12 13 14 15- 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 9984 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A THIRD SUPPLEMENTAL TO AGREEMENT NUMBER C-113101 OF CITY OF LOS ANGELES CONTRACT BY AND BETWEEN THE CITY OF VERNON AND THE CITY OF LOS ANGELES REGARDING THE USE OF 2006 URBAN AREAS SECURITY INITIATIVE GRANT FUNDS WHEREAS", on November 6, 2007, the City Council of the City Df Vernon adopted Resolution No. 9456 approving an Agreement with the pity of Los Angeles (Contract Number C-113101) (the."Agreement") for --he distribution of 2006 Urban Area Security Initiative ("2006 UASI") grant funds to the Fire Department for training of Haz Mat and USAR --eams in the sum of $257,580.00 effective August 28, 2006 through March 31, 2008; and WHEREAS, on July 21, 2008, the City Council of the City of Vernon adopted Resolution No. 9671 approving a First Supplemental to (Agreement Number C-113101 ("First Supplemental") with the City of Los Angeles to add funds in the amount of $213,902.00 that was omitted from the Agreement due to a technical error, thereby raising the total (grant funds to the sum of $471,482.00 and to extend the original time lof performance period term of certain items; and WHEREAS, on or about December 10, 2008, the California Governor's Office of Homeland Security extended the subgrantee performance period -for the UASI 2006 grant from March 31, 2008 to (September 30, 2009; and WHEREAS, the lawsuit initiated by All Star Fire Equipment against L.N. Curtis & Sons in Federal Court for the CBRN-Self lContained Breathing Apparatus was settled and once a second 1 2 3 4 5 6 7 8 9 10 11 12 13 14 _15 16 17 18 19 20. 21 22 23 24 25 26 27 28 supplemental agreement was executed the City could submit a request for reimbursement for the equipment purchase; and WHEREAS, on May 11, 2009, the City Council of the City of Vernon adopted Resolution No. 9953 approving a Second Supplemental to Agreement Number C-113101 ("Second Supplemental") with the City of Los Angeles to extend the time of performance of all budget line item 11projects to be completed to March 31, 2009; and WHEREAS, the City of Los Angeles and the City of Vernon seek to further amend or modify the Agreement, the First Supplemental and the Second Supplemental to extend the time of performance to September 30, 2009 and to make such other changes as are required in connection with the extended time of performance; and WHEREAS, the Fire Chief by memorandum dated June 1, 2009, has recommended that a Third Supplemental to Agreement Number C-113101 be approved and executed to take advantage of potential 2006 Contingency Funds, if available, in the amount of $125,399.00 for Haz Mat Training and $85,000.00 for a Portable Chemical Identifier. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true land correct. SECTION 2: The City Council of the City of Vernon hereby approves the Third Supplemental to Agreement Number C-113101 of City of Los Angeles Contract with the City of Los Angeles (the "Third Supplemental Agreement"), in substantially the same form as the copy which is attached hereto as Exhibit A and incorporated by reference. 1 2 3 4 5 6 7 E:A 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23' 24 25 26 27 28 SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor or Mayor Pro-Tem to execute said Third Supplemental Agreement for, and on behalf of, the City of Vernon and the City Clerk, or Deputy City Clerk, is hereby authorized to attest Ithereto. SECTION 4: The City Council of the City of Vernon hereby authorizes the City Administrator, or his designee, to make whatever nonsubstantive, administrative and/or text changes, upon advice of counsel, to the Third Supplemental Agreement. SECTION 5: The City Council of the City of Vernon hereby authorizes the City Administrator,.or his designee, to execute any and all documents necessary for the purpose of securing the additional grant funds and to take any action deemed necessary to implement and carry out the terms and conditions of the Third Supplemental Agreement and/or this Resolution.' SECTION 6: The City Council of the City of Vernon hereby directs the City Clerk, or her designee, to send two executed Third Supplemental Agreements to the City of Los Angeles. SECTION-7: The City Clerk of the City of Vernon shall certify to the passage of this resolution, and thereupon and thereafter the same shall be in full force and effect. To the extent that said services were performed in accordance with the terms and conditions of this Third Supplemental, those services are hereby ratified. 5.
