1 RESOLUTION NO. 9993- - 2 ti~°' . 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF 4 VERNON APPROVING AND AUTHORIZING THE EXECUTION OF CONTRACT CHANGE ORDER N0. 11 AND SCOPE OF SERVICES 5 TO AGREEMENT FOR PROFESSIONAL AND TECHNICAL SERVICES BY AND BETWEEN THE. CITY OF VERNON AND 6 COMMONWEALTH ASSOCIATES, INC. 7 g WHEREAS, on August 3, 2005, the City Council of the City of ~ , g Vernon adopted Resolution No. 8824, as amended by Resolution No. 9899 10 on March 23, 2009, approving an Agreement for Professional-and 11 Technical Services (the "Original Agreement") with Commonwealth 12 Associates, Inc. Examples include 5CE refusal to allow use of its idle 66 kV circuit or details of the' Laguna Be1166 kV bus not being aecessible to us. CEC Application for Certification Our estimate for this task is $20,000. This is based on the actual expenses for the work on the 2x1 plant. The estimate is below the cost of the previous work''because we will be able to use substantial portions of'the previous work on the 3xC and 2x1''proposals. Out current strategy will be to rewrite the application fora 69 kV interconnection. The primary work associated with updat{ng the CEC, application is to update section 5` for interconnection to the SCE 69 kV system, instead of the'CAIS4,grid. One of the requirementsfor CEC data adequacy is a completed system impact study... Fora 230 kV interconnection, we have preliminary, interconnection approval for both a 610 MW and 304 MW. Fora 69 kV request, =no system impact study exists..: The most likely way to meet the requirement is for Vernon to provide ita own system impact study. We are also presuming that - some review and input to the SCE ladies will be required. This is based on the actual expenses for- the work on the 2x 1 .plant. It shoutd be noted that our experience is that now options and questions are continually being .generated. We are concentrating on finding a 69 kV interconnection plan that meets standard. normal system operation criteria without exceeding standard fault duty capabilities. There are a dumber of items beyond Vernon's and Commonwealth's control that could upset our plalming. Examples :include ~ SCE refusal to allow use of its idle 66 tcV circuit or details of the Laguna $e1166 kV bus not being accessible to us. CEC Application for Certiticatian Our estimate for this task is $20,000. This is based: on the actual expenses for the work an tFle 2xl plant. The estimate is below the cost of the previous work because we will be able to use substantial portions of the previous work on the 3x1 and 2xt proposals. Our current strategy will be to rewrite he application fora 69 kV interconnection. The primary work associated with updating the CEC application.. is to update section S for interconnection to the SCE 69 kV system, instead of the CAISO grid. One of the requirements for' CEC data adequacy is a completed system impact study. Fora 230 kV interconnection, we have preliminary interconnection approval for both a 610 MW and 304 MW. Fora 69 kV request, no system impact study exists. The most likely way to meet the requitement is for Vernon to provide its ' own system impact study. Our study results can be put into a form that will meet this requirement. However, it is our understanding that Vernon is not a Transmission Owner (TO} or Transmission- engineers ~ consultants • const?:uction managers T. Abraham Alemu April 22, 2009 t Page 2 1'-09-080 Operator under NERC or FERC rules. Consequently, an application under SCE's WDAT tariff may be necessary. Generation Interconnection Support Ow- estimate for this task is $20,000. Provided the choice is a 69 kV interconnection, the bulk of this effort will be associated with working with SCE, either as an "affected system" if the primary interconnection request is presumed to be to Vernon or through the WDAT if the application has to be to SCE, If anything, we expect this estimate to be low because of the issues associated with ~ f replacing all the b6 kV breakers at Laguna Bell and because of the unknown details associated with ~ i making an interconnection request to "Vernon" or under the WDAT. We are also presuming that some review and input to the SCE studies will be required. However, if the SCE shrdy requires major work, we will need to add to our scope. Rates and Schedule We estimate $60,000 for these services. Our costs do not include out-of=pocket costs for travel that might become necessary. Our budget includes one trip to California. If multiple trips are necessary, 'i we will provide you with estimates, as discussed below. Our 2009 rate sheets are attached. The schedule is dictated by the nature and urgency of the request, but CAI will respond in a timely manner to avoid impacts to the project schedule. ("Vernon"), and NextEra Energy Resources, LLC, a Delaware limited liability company ("NextEra"), referred. to collectively as "Parties" and individually as "Party." RECITALS A. The Parties desire to exchange certain proprietary or confidential information for the purpose of discussing and evaluating a possible transaction (the "Transaction") with respect to property owned by Vernon in the Tehachapi Wind Resource Area of Kern County, California (the "Vernon PropertX"). B. Without undertaking any obligation to consummate a transaction with each other, the Parties enter into this Agreement to preserve the confidentiality of the information they exchange. NOW, THEREFORE, the Parties do hereby, mutually agree as follows: 1. Definitions. a. "Confidential Information" means any and all confidential or proprietary written, recorded, electronic or oral information or data (including without limitation research, developmental, engineering, manufacturing, technical, marketing, sales, financial, operating, performance, cost, business and process information or data, trade secrets, discoveries, ideas, designs, data, source code, object code, processes, computer programs, developments, flow diagrams, know-how, and software techniques) furnished (whether such confidentiality or proprietary status is indicated orally or in writing, whether or not the specific words "confidential" or "proprietary" are used) to a Party (the "Receiving Party") by the other Party (the "Disclosing PartX") in the exchange of such information or data and in the course of negotiation between-the Parties. All information received from the Disclosing Party shall be considered Confidential Information, unless it is specifically designated as non-proprietary and non-confidential. For the avoidance of doubt, each Party's Confidential Information specifically includes data disclosed by or through such Party, its affiliates (including in the case of NextEra, FPL Group, Inc.), or their respective owners, officers, employees, members, or Representatives. The Receiving Party shall cause all its Representatives to observe the terms of this Agreement and shall be responsible for any breach of the terms of this Agreement by it or its Representatives; d. The Receiving Party shall return or, at its option, destroy all written Confidential Information (including all copies thereof) within 30 days of receipt of a written request from the Disclosing Party; provided, however, that Confidential Information may be retained. by the Receiving Party to the extent that retention of such Confidential Information is necessary do comply with the Receiving Party's internal document retention policies aimed at legal, corporate governance or regulatory compliance and any such retained Confidential Information shall remain subject to the disclosure and use restrictions set forth herein, notwithstanding any termination of this Agreement; the Receiving Party shall, upon written request of the Disclosing Party, cause one of its duly authorized officers to certify in writing to the Disclosing Party that the requirements of the preceding sentence have been satisfied. in full; the Receiving Party shall not be deemed to have retained or failed to return or destroy any Confidential Information if Confidential Information received or stored in digital format is deleted from local hard drives so long as no attempt is made to recover such Confidential. Exceptions to the Confidentiality and. Non-Use Obli atm. The obligations imposed by Section 2 hereof shall not apply, or shall. cease to apply, to any Confidential Information if or when, but only to the extent that, such Confidential Information: ' a. Was known to, or in the possession of, the Receiving Party prior to the receipt of the Confidential Information; or b. Was, or becomes through no breach of the Receiving Party's obligations hereunder, known to the public; ox c. Becomes known to the Receiving Party from sources other than the Disclosing Party under circumstances not involving any breach of any legal, contractual or fiduciary obligation to the Disclosing Party; or d. Is independently developed by the Receiving Party, as evidenced by the written records thereof. It shall not be a breach of the confidentiality obligations hereof for a Receiving Party to disclose Confidential Information where, but only to the extent that, such disclosure is required by legal or regulatory authority or applicable legal process, provided in such case the Receiving Party shall give prompt written notice to the Disclosing Party of the demand for disclosure if permitted by law to do so. At its own, sole expense, including the costs of attorneys and other litigation expenses, the Disclosing Party may bring such legal action or proceeding as it may deem necessary to prevent the disclosure of its Confidential Information or otherwise to seek a protective order. In the event that a protective order or other remedy is not obtained, the Receiving Party agrees to furnish only that portion of the Confidential Information that it reasonably determines, in consultation with its counsel, is consistent with the scope of the subpoena or demand, and to exercise reasonable efforts to obtain assurance that confidential treatment will be accorded such Confidential Information. The, Receiving Party will provide reasonable cooperation to Disclosing Party and its legal counsel with respect to performance of the covenants undertaken pursuant to this paragraph. The Disclosing Party 3 LA\2017412.5 shall indemnify, defend, and hold the Receiving Party harmless from any liability for. attorney fees or-other litigation expenses that-may arise from any such legal action or proceeding. 4. No License. The furnishing of any Confidential Information hereunder shalLnot be construed as the granting of a license under any patent, patent application,. copyright, copyright registration, trademarks, trade secretor other proprietary right by the Disclosing Party to any person or entity. or as implying any obligation other than. is specifically stated herein. Nothing herein shall be deemed to grant a license, whether directly or by implications, estoppel or otherwise, of any rights with respect to any Confidential Information disclosed pursuant to this Agreement. 5. No Restrictions on a Party's Use of its Property. Notwithstanding the restrictions on use of Confidential Information or any other provision of this Agreement: (a) each Party agrees that nothing in this Agreement shall restrict what the other Party may do with its property or require such other Party to account to the other for how it or another developer develops its property; and (b) each Party acknowledges its delivery to the other Party of any Confidential Information shall not give it any right (such as by claiming ownership of a design concept or a business plan) to restrict the other Party or another developer from implementing any project (including pursuant. to concepts that are the same. or similar to those developed. by such Party). 6. Restricted Communications. a. From the date hereof until the earlier of (a) the termination of this Agreement;. or (b) the date a definitive agreement with respect to the Transaction is executed and delivered by the Parties (or their affiliates, as applicable) (the "Restricted Period"), NextEra shall not initiate or carry-on communications with any third party regarding the development of renewable energy resources on the Vernon Property unless NextEra obtains Vernon's prior written consent to communicate vvith such third party. For purposes of clarity, this shall preclude NextEra from having separate communications on this topic with ReNu Resources or any. utilities regarding a purchase of all or portions of the Vernon Property or a :purchase of energy to be generated. on the Vernon Property. For clarity, however,. nothing in this Section 6 restricts either Party from communicating with SCE or any other transmission owner/operator in the area regarding transmission. and interconnection matters,.including any LGIA. b. During the Restricted Period, NextEra agrees that without Vernon's prior written consent or as already disclosed to Vernon, it shall not have any communications with Phillip Rudnick regarding the property 4 LA\2017412.5 he owns that is-land-locked by the Vernon Property. 7. Federal Applications. Nothing in this Agreement shall restrict either Party from making or pursuing any application to CAISO for transmission access or to the Federal Bureau of Land Management for rights to develop. renewable .energy resources on any property owned by the BLM located adjacent. to the Vernon Property. Nothing in this Agreement shall restrict Vernon from making or pursuing any application with the Federal Energy Regulatory Commission to seek any transmission related rights, including with respect to assets owned by NextEra's affiliates. 8. No Further Agreements Hereunder. Neither Parry shall be under any obligation to enter into or to negotiate (exclusively or otherwise) any further agreements with the other Party as a result of this Agreement. Any such. obligation shall arise, if ever, solely by means of an express written agreement between the Parties. Each harty reserves the right, in its sole discretion, to decline, revoke, retract, or reject at any time any proposal which has not yet become legally binding by execution of a written agreement between the Parties with respect thereto. 9. No Representations and Warranties. Each Party acknowledges that the Disclosing Party provides the Confidential Information on an "as is" basis and without warranty. of any kind. THE DISCLOSING PARTY EXPRESSLY DISCLAIMS ALL WARRANTIES PERTAINING TO THE CONFIDENTIAL INFORMATION, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.. This Agreement may not be assigned by either Party without the prior written consent of the other; however, upon written notice to Vernon, NextEra may assign this Agreement (including the right to enforce its terms) to a parent, affiliate or subsidiary at its sole discretion without consent. Any such assignment by NextEra and/or an assignment by either Party with prior written consent of the other shall be binding on, and inure to the benefit of, the respective successors of the Parties. 14. Governing Law; Disputes; Attorney Fees. This Agreement is made in, and shall be construed under the laws of, the State of California, -Each Party irrevocably consents to the jurisdiction of the Superior Court of Los 6 LA\2017412.5. ' Angeles for any actions, suits or proceedings arising out of or relating to this Agreement or the Confidential Information, and each Party irrevocably waives .its rights to jury trials with respect thereto. In the event of any litigation hereunder, the prevailing Party shall be entitled to costs and reasonable attorney's fees. 15. Remedies. It is understood and agreed that money damages for a breach or a threat to breach this Agreement are not sufficient and that the non- breach Party shall be entitled to specific performance without the need of - posting abond or proving damages. Such remedy shall not be deemed to be the exclusive remedy for breach of this Agreement and shall be in addition to any and all other remedies available. at law or in equity. Notwithstanding anything contained in this Agreement, the Receiving Party's liability to the Disclosing Party in connection with this Agreement and any activities undertaken in connection with the evaluation of the Transaction shall be limited to direct damages and shall exclude any other liability, including. without limitation liability for special, indirect, punitive or consequential damages in contract, tort, warranty, strict liability or otherwise. 16. Severability. If any covenant set forth in this Agreement is determined by any court of competent jurisdiction to be illegal, invalid or unenforceable by reason of its extending for. too great a period of time or by reason of its being too extensive in any other respect, such covenant shall be interpreted to extend only for the longest period of time and to otherwise have the broadest application as shall be enforceable. The. invalidity or unenforceability of any particular provision of this Agreement shall not affect the other provisions hereof, which shall continue in full force and effect. 17. Authorization and Binding Obli atg ions. Each Party represents to the other Party that the execution, delivery and performance of this Agreement have been duly authorized, and this Agreement has been duly executed and delivered by the signatory so authorized, and the obligations contained herein constitute the valid. and binding obligations of such Party. 18. Publicity. Neither Party shall make any public disclosures regarding the other Party, the. subject matter hereof, or the Transaction, including, without limitation, any advertisements, publications or documents, without the prior written approval of the other Party. 19. Counterparts. This Agreement may be executed in several counterparts, each of which. shall be deemed an original and all such counterparts together shall constitute but one and the same instrument. By executing and delivering this Agreement to Vernon, NextEra hereby irrevocably offers to enter into this Agreement until September 30, 2009, and NextEra acknowledges that Vernon will be providing Confidential Information to NextEra in reliance on NextEra's irrevocable offer. This irrevocable offer may be accepted by Vernon at any time on or before September 30, 2009 by delivery of an executed counterpart of this Agreement to NextEra. If this Agreement is executed and delivered to NextEra by Vernon, the provisions of this Agreement shall apply to information exchanged by the Parties -from and after the date NextEra executes and delivers this Agreement to Vernon.
