3 VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
SCOPE OF SERVICES RELATING TO THE CONSULTING
4 SERVICES AGREEMENT BY AND BETWEEN THE CITY OF
VERNON AND BLACK & VEATGH CORPORATION REGARDING-THE

7 WHEREAS, the City of Vernon ("City") is a chartered
8 municipal corporation of the State of California that owns and
9 operates a system for the generation, purchase, transmission,
10 distribution and sale of electric capacity and energy;-and.
11 WHEREAS, on January 12, 2009, the City Council of the City
12 of Vernon adopted Resolution No. 9812 approving and authorizing the
13 execution of a Consulting Services Agreement dated December 3, 2008,
14 (the "Original Agreement") with Black & Veatch Corporation ("B & V")
15 as a master agreement to approve written requests for services to be
16 signed by both parties and attached as Exhibit A to assist with the
17 development of renewable resources; and
18 WHEREAS, the City is requesting B & V to provide analytical
19 support in its due diligence and project development efforts related
20 to the Combined-Cycle 1X1 Project in the not to exceed sum of
21 $38,490.00; and
22 WHEREAS, the City and B & V desire to enter into a Scope of
23 Services to the Original Agreement setting forth the terms and
24 conditions under which B & V shall perform the work effective May. 1,
25 2009; and
26 WHEREAS, the City Council of the City of Vernon has
27 determined that, pursuant to the provisions of subsection (a) of
28 Section 2.27 of the Vernon City Code, it is in the best interest and
1 necessity to enter into an agreement with B & V for the services to be
2 performed.
3 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
4 CITY OF VERNON AS FOLLOWS: '
5 _ SECTION 1: The Cit. Council of the Cit of Vernon hereby
6 finds and determines that the recitals contained herein above are true
7 and correct.
8 SECTION 2: The City Council of the City of Vernon hereby
9 approves the Scope of Services to the Original Agreement with Black-
10 and Veatch Corporation, effective May 1, 2009, a copy of which is
11 attached hereto as Exhibit "A" and incorporated by reference.
12 SECTION 3; The City Council of the City of Vernon hereby
13 authorizes the Director of Light & Power to execute said Scope of
14 Services for, and on behalf of, the City of Vernon and the City Clerk,
15 or Deputy City Clerk, is hereby authorized to attest thereto.
16 SECTION 4: The City Council of the Vernon hereby directs
17 the City Clerk, or-her designee, to transmit one fully executed Scope
18 of Services to Black & Veatch Corporation.
19 SECTION 5: The City Council of the City of Vernon hereby
20 authorizes the City Administrator, or his designee, to take any action
21 deemed necessary to carry out or to perform such other acts and deeds
22 as may be convenient to effect the purposes of this Resolution and the
23 transactions herein authorized.

1 SECTION 6: The City Clerk of the City of .Vernon shall
2 certify to the passage of this resolution, and thereupon and
3 thereafter the same shall. be in full-force and effect.

Pursuant to the temrs and oond'ifi'ons of the Consulting Services Agreement executed and made effective as of the
3rd day of December, 2008, between City of Vemon, California ("Client' or °City of Vemon°} and Black ~ Veatch
Corporation ("Consultant" or "Black & Veat~'), Client hereby requests Consultant perform and. Consultant agrees. to
perform the following Services:
Effective Date: May 1, 2009
A. Requested Services:
Blank & Veatch will provide the City of Vemon with the following services. .
Task 3a; Dispatch Analysis of City of Vemon .Combined-Cycle Rawer Plant
Black 8 Veatch will prepare a dispatch analysis of the combinod-cycle power plant currently under development by
the City of Vemon. The dispabcit analysis will be completed using the zonal price forecast developed in Black
Veaich's Spring, 2009 Energy Market Perspective. Based on the dispabctt analysis, Black & Veatch will develop
detailed projections of generation, capacity factor, market reverwe (assuming merchant plant operations), fuel use,
variable operating and maintenance costs, and errtisswns of the corr~ined-cycle plant. Black & Veatch's initial
dispatch analysis will assume a 1x9 configuration for the plant, cansisterrt with operating characheristics recently
provided by the City of Vemon. Black ~ Veatch wtll revise the initial analyses to include other plant wnfigurations, as
appropriate and as directed by the City of Vemon.

Task 4b; Prepare Flnandal Pro Forma Projectlons for the CoMbined-Cycle plant
Under Task 4, Black & Veatcti will prepare a set of financial pro forrna.projedions to provide detailed Est and
revenue projections to be used in the project development and due clligence analysis forthecombined-cycle project.
Black & Veatch will work in conjunction with the City of Vemon's engineering consultant in developing pro forma
operating and capital cost projections for tire project. Black S~ Veatch will also work with other merrreets of the project
team in developing pro forma finandal projections that include merchant plant energy sates, and that reflect likely dr
negotiated power sales carrtract temts and revenue screams. Speclfic items included in-the pro forma financial
statements will include:
Monthly and annual salmi revenue for the project from energy market sales, capadty market sales, adjusted
as appropriate for arty applicable PPA contract terms
Monthty and annual projected operating and maint®nance coals for the project
• Monthly end annual financing costs, depreciation, taxes, capital expenditures, etc. Black & Veatch wiq work
with other members of the project team in coordinating and using engineering and finanaal cost estimates
forthe project
• Monthly and annual transmission costs
• Monthly aatd annual emissions offset costs
Administrative and general overhead cost estimates

Corporation ("Consultant" or "Black & Veatch"), Client hereby requests Consultant perform and Consultant agrees to
perform the following Services:

Undet Task 4, Black & Veatch will prepare a set of financial pro forma projections to provide detailed cost and
revenue projections to be used in the project development and due diligence analysis for the combined-cycle project.
Black & Veatch will work in conjunction with the City of Vernon's engineering consultant in developing pro forma
operaing and capital cost projections for the project. Black & Veatch will also work with other members of the project
team in developing pro forma financial projections that include merchant plant energy sales, and that reflect likely br
negotiated power sales contractterms and revenue streams. Specific items included in the pro forma financial
statements will include:
