WHEREAS, on August 21, 2002, the City Council of the City of Vernon adopted Resolution No. 8037 approving an Agreement for Tree Maintenance Services (the "Agreement") with West Coast Arborists, Inc. 1("West Coast"); and WHEREAS, on October 6, 2004, the City Council of the City of Vernon adopted Resolution No. 8557 approving an Amendment No. One to the Agreement extending the time of performance to September 1, 2006, expanding the scope of services, and increasing the compensation; and WHEREAS, the City and West Coast have entered into Contract Change Order Nos. 1-9 modifying the scope of work and compensation and extending the Agreement through September 1, 2009 (the "Change Orders," collectively with the Agreement and Amendment No. One, the "Amended Agreement"); and WHEREAS, the City and West Coast desire to extend the Agreement for an additional one-year period, September 1, 2008 through September 1, 2009, and set the compensation for the one-year period at a sum not -to exceed $50,199.00; and WHEREAS, by memo dated August 19, 2009, the Director of Community Services & Water has recommended that the Agreement with West'. Coast be extended for one-year. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby approves the Amendment No. 2 to the Amended Agreement with West Coast, in substantially the form attached hereto as Exhibit A and incorporated by reference. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor or Mayor Pro-Tem to execute Amendment No. 2 for, and on behalf of, the City of Vernon and the City Clerk or Deputy City Clerk is hereby authorized to attest thereto. SECTION 4: The City Council of the City of Vernon hereby authorizes the City Administrator, or his designee, to take whatever actions are deemed necessary or desirable for the purpose of implementing and carrying out the purposes of this. Resolution and the transactions herein approved or authorized. Paragraph 22 3 of the Agreement is hereby amended to read as follows: 23 "TIME OF PERFORMANCE. 24 A. The term of this Agreement shall commence as 25 of September 1, 2009 and continue through September 1, 26 2010 (the "Term"), with an option authorizing the. City 27 Administrator or his representative to.renew this 28 Agreement on a year to year basis on the same terms and 2 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 conditions set forth in this Agreement, subject to any change in the rate of compensation to be paid to West Coast as hereinafter provided in Paragraph 4. If City desires to exercise its renewal option, City shall inform West Coast of its intent to renew in writing no later than ninety (90) days,before expiration of the Term. In the event that City renews this Agreement, West Coast may submit a written proposal to increase its rates no later than sixty (60) days before expiration of the Term. Any increase in rates must be approved by City before such increase can take effect. If West Coast gives notice of any increases in rates, City may then rescind the exercise of this option, provided, however, written notice of such rescission is issued by City to West Coast no later than fifteen (15) days before expiration of the Term. B. The City, at its sole option and with West` Coast's concurrence, may renew this agreement for additional periods on the same terms and conditions as provided herein. This option may be exercised only if West Coast demonstrates superior performance in the provision of tree maintenance services during the Term." SECTION 2: Modification of Compensation. If City gives notice of its intention to 7 extend the Agreement as provided for above, West Coast 8 may adjust the Schedule of Rates by an amount not to 9 exceed the increase (or decrease) represented in the 10 United States Department of Labor, Bureau of Labor 11 Statistics Consumer Price Index for All Urban Consumers 12 for the Los Angeles -Anaheim -Riverside Standard 13 Metropolitan Statistical Area ("Index") for March of 14 the term then expiring from the index for March one 15 year prior thereto. 16 If changes and extra services are requested by 17 the City pursuant to Section 6 of this Agreement, then 18 the City shall -pay for those services on a time and 19 material basis as set forth in Exhibit C." 20 SECTION 3: Remainder of Agreement. Except as specifically 21 modified herein, all terms and conditions of the Agreement, as 22 Previously amended, are unmodified and remain in -full force and 23 effect, and are hereby ratified by the parties. 24 SECTION 4: Entire Agreement. The agreement has been extended since its inception due to West Coast's excellent work performance and quality of work. West Coast elected to seek a one-year agreement in 2008 due to volatility of fuel costs. The agreement was renewed for fiscal year 2008/2009. The City determined that it is in its best interest to continue to contract out the tree maintenance service. West Coast has a vast array of high tech machinery and a large staff to efficiently and effectively prune the City's urban forest. Additionally, it is far more cost effective to have West Coast perform this work with their abundant resources and highly qualified staff., West Coast is considered among the best organizations in the arborist industry in terms of their expertise and customer service. It is important that the City utilize a contractor whose reputation in the area of safety and expertise is held in high regard with the extensive public contact required to facilitate the pruning of the City's urban forest. West Coast has agreed to extend the terms of the agreement pertaining to fiscal year 2009/2010 for a period of one-year with no increase in price. The annual cost will be $50,199.09. It is my recommendation that Change Order No. 10 be executed extending this agreement by one-year based on the rate schedule provided by West Coast and be made effective September 1, 2009. Five vacant tree wells were identified. Crewmembers also identified eight dead trees that will be removed by City crews. West Coast Arborists' will plant the eight trees after crewmembers have completed their work. Moreover, it is recommended' that fourteen trees be removed and stump-grinded by West Coast at various locations throughout the City in order to make needed repairs to sidewalks damaged as a result of tree roots and to allow for proper separation of trees to reduce maintenance costs. The total cost for this work is $5,565.75. The terms of the Services Agreement allows the City at any time, by written change order executed by the City Adramistrator, to make changes to the work duration and total compensation of the Contractor's work.
