A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF
AMENDMENT NO, 1 TO THE SERVICES AGREEMENT FOR
EMERGENCY REPAIRS TO WATER PRODUCTION AND
DISTRIBUTION RELATED EQUIPMENT BY AND BETWEEN THE
CITY OF VERNON AND GENERAL PUMP COMPANY, INC.
WHEREAS, on April 27, 2005, the City Council of the City of
Vernon adopted"'Resolution No. 8729 approving a services agreement (the
"Agreement") with General Pump Company, Inc. ("General Pump") for
emergency repairs to the City's water production and distribution
related equipment including, but not limited to, the removal, repair
and reinstallation of the Cty'swell and booster motor pumps (the
"Services".); and
WHEREAS, the Agreement has been amended by Contract Change
Order Nos. 1-6, extending the term of the Agreement and increasing the
total amount of compensation for the Services provided by General Pump
under the Agreement; and
WHEREAS, by a memorandum dated October.15, 2009, the
Director of Community Services & Water has recommended that the City
extend the Agreement from July 1, 2009 to July 1, 2010 and increase
the rates.of compensation payable to General Pump for the Services
provided under the Agreement; and
WHEREAS, the City Council of the City of Vernon has
determined that, pursuant to the provisions of subsection (b)(1.) of
Section 2.27 of the Vernon City Code, it is in the public interest and
necessity to approve and authorize the execution of Amendment No. 1 to
the Agreement extending the term of the Agreement and modifying the

rates of compensation payable to General Pump to ensure that pump
repairs are facilitated in a timely fashion.
NOW,.THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1; The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and.correct.
SECTION 2: The City Council of the City of Vernon hereby
approves Amendment No. 1 to the Agreement, a copy of which is attached
hereto as Exhibit A and incorporated by reference.
SECTION 3: The City Council of the City.of Vernon hereby
authorizes the Mayor or Mayor Pro-Tem to execute said Agreement for,
and on behalf of, the City of Vernon and the City Clerk, or Deputy
City Clerk, is hereby authorized to attest thereto.
SECTION.4: The City Council of the City of Vernon hereby
authorizes the City Administrator, or his designee, to take whatever
actions are deemed necessary or desirable for the purpose of
implementing and carrying out the purposes of this Resolution and the
transactions herein approved or authorized.
SECTION 5: The City Council of the City of Vernon. hereby
directs the City Clerk, or her designee, to send a fully executed
Amendment No. 1 to:

GENERAL PUMP COMPANY, INC.
("Contractor")

WHEREAS, City and Contractor are parties to a written Agreement
for emergency repairs to City's water production and distribution
related equipment dated April 27, 2005-, under which the parties agreed
that Contractor would provide emergency repair services in accordance
with the terms and conditions described in the Agreement for the sums
set forth in Exhibit A of the Agreement, commencing May 1, 2005 and
continuing through May 1, 2006; and
WHEREAS, City and Contractor have entered into Contract Change
Order Nos. 1-6 amending the Agreement by extending the term of the
Agreement and increasing the total amount of compensation for services
provided by Contractor under. the Agreement; and
WHEREAS, City and Contractor desire to extend the Agreement for
one (1) year, July 1, 2009 through July 1, 2010, and increase the
rates of compensation payable to Contractor for services provided
under the Agreement.
NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET FORTH
HEREIN:
1. Modification of Term of Contract. Section 1 'of the Agreement is
hereby amended in its entirety to read as follows;
"Term and Time of Performance.
1.01. This Agreement shall become effective on September 1,
2009 and shall remain and continue in effect for one year,
unless sooner terminated pursuant to the provisions of this
Agreement. City may renew this Agreement on a year-to-year
basis at its discretion by providing written notice to
Contractor. in the event that City renews this Agreement,
Contractor may submit.a written -proposal to increase its
rates no later than thirty (30) days after receiving written
notice of City's intent to :renew. Any increase in rates
must be approved by City before such increase can take
effect. If City fails to approve the proposed increase

within thirty (30) days of receipt, Contractor may terminate
the renewal by giving thirty (30) days written notice."
2. Modification of Compensation. Paragraph 4.01 of the Agreement is
hereby amended sn its entirety to read as follows:
"Compensation.
4.01 City agrees to pay Contractor on a labor, -materials
and equipment basis, for the Services provided under this
Agreement in accordance with the payment rates and terms set
forth in. the Schedule of Rates and. Expenses, attached hereto
and incorporated herein as Exhibit C."
3. A new "Exhibit C" is hereby added to the Agreement, and is
attached hereto and incorporated herein by this reference.
4. Remainder of Agreement. Except as. specif ically modified herein,
all terms and conditions of the Agreement, as previously amended, are
unmodified and remain in full force and effect, and are hereby
ratified by the parties.
5. Entire Agreement. The provisions.of this Amendment No. 1 shall
constitute the entire agreement of the parties hereto with respect to
the subject matter included in this Amendment No. 1 and shall
supersede any other agreement, understanding or arrangement, whether
written or oral, between the parties with respect to the subject
matter of this Amendment No. 1.
6. This Amendment No. 1 may be .executed in duplicate originals each
of which is deemed to be an original for all purposes..
7. The person or persons executing this Amendment No. 1 on behalf of
Contractor warrants and represents that he or she has. the authority to
execute this Amendment No. 1 on behalf of Contractor and has the
authority to bind Contractor to the performance of its obligations
hereunder.
IN WITNESS WHEREOF, the parties.have signed this Amendment No. 1 as of
the date stated in the introductory clause.

General Pump Company, Inc. (GPC) is pleased submitting request for an annual rate increase on
material and labor rates for the next fiscal year 2009. The total rate adjustment for 2009 is 2.22%, and the
total adjusted rates proposed for 2009 are targeted at those materials that have dramatically increased
during late 2007 and through 2008. To compensate for these adjustments, GPC has not changed the line
items affected by labor for 2009. Due to the increase in material rates beyond the control of GPC,
material rate increases will be based on the current rate of those materials at the time of purchase and the
current rates provided are valid for 90-days excluding submersible cable which are valid for only 30-days.

RESOLVED, that the corporation approves the authority of William M. Tweed,
Michael G. Bodart and Geoffrey Bates as representatives of GENERAL PUMP COMPANY,
INC., to sign bids, bid bonds and contracts up to a maximum of two million dollars each
occurrence.
The President stated that the corporation needed to purchase two new pick-up trucks
for general business use.

3. A new "Exhibit C" is hereby added to the Agreement, and is
attached hereto and incorporated herein by this reference.
4. Remainder of Agreement. Except as specifically modified herein,
all terms and conditions of the Agreement, as previously amended, are
unmodified and remain in full force and effect, and are hereby
ratified by the parties.
5. Entire Agreement. The provisions of this Amendment No. 1 shall
constitute the entire agreement of the parties hereto with respect to
the subject matter included in this Amendment No. 1 and shall
supercede any other agreement, understanding or arrangement, whether
written or oral, between the parties with respect to the subject
matter of this Amendment No. 1.
6. This Amendment No. 1 may be executed in duplicate originals each
of which is deemed to be an original for all purposes.
7. The person or persons executing this Amendment No. 1 on behalf of
Contractor warrants and represents that he or she has the authority to
execute this Amendment No. 1 on behalf of Contractor and has the
authority to bind Contractor to the performance of its obligations
hereunder.

The City of Vernon entered into an agreement with General Pump Company (General Pump) in
2005 to provide emergency booster and well pump repairs. The agreement has been extended annually
since its inception, due in part due to their commendable customer service and in-house technical staff.
The above services are used mainly for emergency repairs that are beyond the capabilities of the City's
crewmembers; or used in the event that the City crews do not have the resources to facilitate a repair in a
timely fashion. It is important that the City have contractor available to eliminate the potential liability
associated with water distribution and production failures.
General Pump is one of few companies that provide emergency pump repair services and are
considered among the most competent companies according to water industry professionals. Therefore, it is in
the City's best interest to continue to use General Pump for emergency repairs due to their superior work and
excellent customer service. The costs have been structured in this agreement so that a set price is listed for all
labor, parts and materials associated with an emergency repair. This allows staff to systematically quantify the
costs associated with a given repair.
The City Attorney's Office has prepared Amendment No. 1 to the Services Agreement between the
City of Vernon and General Pump. The Agreement is slated to become effective September 1, 2009, and will
remain and continue in effect for one-year, unless terminated pursuant to the provisions of the Agreement.
It is my recommendation that Amendment No. 1 to the Services Agreement between the City of
Vernon and General Pump be approved at the October 26, 2009 City Council meeting and be made effective
September 1, 2009.

SUBJECT: Amendment No. 1 to the Services Agreement between the City of Vernon and
General Pump Company
As you may be aware, the City entered into a one-year Agreement with General Pump Company
(General Pump) to perform emergency booster and well pump repairs. The Agreement was approved by the
City Council and made effective on May 1, 2005. The City has renewed the Agreement annually since its
inception due to their excellent customer service and technical expertise. The above -mentioned services are used
primarily for emergency repairs that are beyond the expertise of the City's crewmembers; or used in the event
that the City crews do not have the resources to facilitate a repair in a timely fashion. It is important that the City
have General Pump available to eliminate the potential liability associated with water distribution and
production failures.
According to the terms of the Agreement if the City opts to extend the Agreement the Contractor's
rates shall not be increased or decreased by seventy -five -percent (75%) of the Consumer Price Index for the Los
Angeles -Riverside -Orange County area for the twelve (12) month period prior to the beginning of each
extension. The CPI for April of 2009 is listed at 0.1 percent per the Bureau of Labor Statistics. Based on the
terms of the Agreement the increase shall not exceed 0.075-percent. General Pump's proposal for 2009 reflects
an increase of 2.22-percent. The rate increases for 2009 are targeted at those materials that have seen significant
escalation in terms of market prices. In order to compensate for the increase in material costs, General Pump did
not increase the cost of the line items associated with labor costs.
General Pump is one of few companies that provide emergency pump repair services and are
considered among the most competent companies according to industry professionals. Although General
Pump's quote does not meet the terms of the agreement, materials cost have risen dramatically according to
suppliers in the region. Therefore, it is in the City's best interest to continue to use General Pump for emergency
repairs due to their superior work and excellent customer service.

Dear Mr. Bates:
The City of Vernon (City) would like to inform General Pump Company (General Pump) of its
intent to extend the Services ;Agreement for Emergency Repairs to the City's Water Production and
Distribution Pump Equipment for a period of one-year with a 1.98% rate increase for fiscal year 2010-
2011 per attached schedule of costs. Please be advised that the existing Agreement between the City and
General Pump notes that the subject Agreement may be renewed on a year-to-year basis at the City's
discretion by providing written notice to the Contractor. This letter herein has been written to fulfillthe
City's contractual obligation. The termination provisions of the Agreement continue to be applicable.

RE: Request to Extend the Services Agreement between the City of Vernon and
General Pump Company, Inc.
The City of Vernon entered into an agreement with General Pump Company (General Pump) in
2005 to provide emergency booster and well pump repairs. The agreement has been extended annually
since its inception, due in part due to their commendable customer service and in-house technical staff.
The above services are used mainly for emergency repairs that are beyond the capabilities of the City's
crewmembers; or used in the event that the City crews do not have the resources to facilitate a repair in a
timely fashion. It is important that the City have contractor available to eliminate the potential liability
associated with water distribution and production failures.
General Pump is one of few companies that provide emergency pump repair services and are
considered among" the most competent companies according to water industry professionals. Therefore, it is in
the City's best interest to continue to use General Pump for emergency repairs due to their superior work and
excellent customer service. The costs have been structured in this agreement so that a set price is listed for all
labor, parts and materials associated with an emergency repair. This allows staff to systematically quantify the
costs associated with a given repair.
For 2009 the City renewed the subject agreement by way of a 1st Amendment to the Services
Agreement as opposed to generating a change order to renew the agreement. The City Attorney reviewed
the language in Amendment No. 1 to the General Pump Services Agreement and concluded that the
subject Agreement can be extended by having the City Council authorize the Director of Community
Services and Water to send a letter to General Pump, extending the Agreement for one-year and
approving the 1.98-percent rate increase. Herein attached is a copy of the letter to General Pump
Company. It is my recommendation that the City Council approve the issuance of the subject letter to
General Pump Company at the next Council meeting and that the Agreement extension be made effective
September 1, 2010.

material and labor rates for the next fiscal year 2010. The total rate adjustment for 2010 i 1.98° , and the

for fiscal Year 2011-2012

The letter is to inform you that the Vernon City Council approved the extension of the
Emergency Booster and Well Pump Repair Agreement (Agreement) for one year between the City of
Vernon and General Pump Company, Inc., at the August 2, 2011 City Council meeting. The Agreement
will be effective September 1, 2011. The terms of the extension are in accordance with Amendment No.1
of the subject Agreement.
