RESOLUTION NO. 10,104 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN AGREEMENT WITH ADVANCED ELECTRONICS, INC. FOR THE MAINTENANCE OF RADIO EQUIPMENT WHEREAS, the Vernon Fire, Police, Light & Power, and Community Services Departments (the "Departments") use portable and mobile radio equipment (the "Equipment") in the performance of their duties; and WHEREAS, these Departments provide essential services to the City and its inhabitants; and WHEREAS, the City of Vernon requires a vendor to perform maintenance and repair services on an as -needed basis to ensure the continued operation of the Equipment; and WHEREAS, Advanced Electronics, Inc. ("Advanced Electronics") has provided preventative maintenance and repair services on the Equipment in the past and is familiar with the Equipment used by the City; and WHEREAS, Advanced Electronics has provided renewal rates that would allow the maintenance and repair of the Equipment on an as -needed basis for the fiscal year 2009-2010 at a cost not to exceed Seventeen Thousand Three Hundred Thirteen Dollars and Eighty -Four Cents ($17,313.84); and WHEREAS, the City Council of the City of Vernon has determined that, pursuant to the provisions of Subsection (b)(1) of Section 2.27 of the Vernon City Code, it is in the public interest and necessity to enter into an agreement with Advanced Electronics for maintenance and repair services on the Equipment on an as -needed basis. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby approves the Maintenance Agreement with Advanced Electronics, a copy of which is attached hereto as Exhibit A and incorporated by reference. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor or Mayor Pro-Tem to execute the Agreement for, and on behalf of, the City of Vernon and the City Clerk is hereby authorized to attest thereto. SECTION 4: The City Council of the City of Vernon hereby authorizes the City Administrator, or his designee, to take whatever actions are deemed necessary or desirable for the purpose of implementing and carrying out the purposes of this Resolution and the transactions herein approved or authorized. SECTION 5: The City Council of the City of Vernon hereby directs the City Clerk, or the City Clerk's designee, to send one fully executed Agreement to: Advanced Electronics, Inc. (SEAL) MANUELA GIRO Ci„y Clerk M SERVICES AGREEMENT BETWEEN THE CITY OF VERNON AND ADVANCED ELECTRONICS THIS AGREEMENT is made and effective as of (the "Effective Date") between the City of Vernon (the "City") and Advanced Electronics, Inc. ("Contractor"). In consideration of the mutual covenants and conditions set forth herein, the parties agree as follows: 1. TERM AND TIME OF PERFORMANCE. This Agreement shall commence upon the Execution Date, and shall remain and continue in effect for one year; unless sooner terminated pursuant to the provisions of this Agreement. The City may renew this Agreement on a year to year basis at its discretion. Any Services performed prior to the Execution Date shall for all purposes be deemed to have been performed pursuant to this Agreement, subject to the terms and conditions hereof. 1.1 Renewal of Agreement. In the event that City renews this Agreement, Contractor may submit a written proposal to increase its rates no later than thirty (30) days after receiving notice of City's intent to renew. Any increase in rates must be approved by the City before such increase can take effect. If the City fails to approve the proposed rate increase within thirty (30) days of receipt, Contractor may terminate the renewal by giving thirty (30) days written notice. 2. SCOPE OF SERVICES Contractor shall perform the services and tasks described and set forth in the Scope of Services Document, attached hereto and incorporated herein as Exhibit A (the "Services"). 3. PERFORMANCE Contractor shall at all times faithfully, competently and to the best of its ability, experience, and talent, perform all services described herein. Contractor shall employ, at minimum, generally accepted standards and practices utilized by persons engaged in providing similar services as are required of Contractor hereunder in meeting its obligations under this Agreement. 4. COMPENSATION The City of Vernon agrees to pay Contractor the monthly fees referenced in Exhibits B 1, B2, 133, and B4 for the maintenance work described in Exhibits Al, A2, A3, and A4. Any maintenance services performed by Contractor on equipment owned by the City that is not listed in Exhibits C1, C2, C3, or C4, will be paid on a time and materials basis in accordance with the Rate/Expense Schedule attached hereto and incorporated herein by this reference as Exhibit D. 5. METHOD OF PAYMENT 5.1 Invoices. Contractor shall submit invoices monthly for actual services performed. Invoices shall include the month for which Services were provided, the dates of such Services, and a description of the Services provided for that billing period. Each invoice shall include copies of timesheets and other supporting documents as the City may require. 5.2 Payments by the City. Payments of each invoice shall be made within thirty (30) days following receipt of each invoice as to all non -disputed fees. If the City disputes any of Contractor's fees, it shall give written notice to Contractor within thirty (30) days of receipt of the disputed invoice. Any amounts in dispute shall be withheld until resolution. 6. PERSONNEL. All persons performing the Services shall have all the necessary technical expertise, permits, professional licenses, certificates, training, and other qualifications required by this Agreement or any applicable laws. Contractor shall provide the City with said permits, licenses, and certificates at the request of the City. At any time, and for any reason or for no reason, the City may request that Contractor replace any of Contractor's personnel. 6.1 Access. Contractor shall comply with all reasonable access and other restrictions that the City may impose. No access to City property for performance of the Services will be permitted prior to delivery to the City of proof of insurance paid and maintained by Contractor. 7, CONTRACTOR'S DUTIES AND REPRESENTATIONS. Contractor represents, covenants and agrees as follows: 7.1 There are no obligations, commitments, or impediments of any kind that will limit or prevent performance of the Services. 7.2 The Services performed hereunder shall be of the standard and quality which prevail among companies or entities who provide similar services throughout the United States under the same or similar circumstances. 7.3 There is no litigation pending against Contractor and Contractor is not the subject of any criminal investigation or proceeding, and neither Contractor nor its personnel, to its actual knowledge, have been convicted of a felony. 8. TERNIlNATION 8.1 Termination Right. The City may at any time, for any reason, with or without cause, suspend or terminate this Agreement, or any portion hereof, by serving upon Contractor at least thirty (30) days prior written notice. ,Upon receipt of such notice, Contractor shall immediately cease all work under this Agreement, unless the notice provides otherwise. If the City suspends or terminates a portion of this Agreement, such suspension or termination shall not make void or invalidate the remainder of this Agreement. 8.2 Payment Upon Termination. In the event this Agreement is terminated without cause pursuant to this Section, the City shall pay Contractor the actual value to N City of work performed up to the time of termination, Upon termination of the Agreement pursuant to this Section, Contractor shall submit an invoice to the City pursuant to Section 5. 8.3 Actions Subsequent to Termination. In the event of termination or suspension of this Agreement, Contractor shall deliver all City Data, as defined in Section 9. below, to the City within three (3) days after the termination or suspension of this Agreement. Contractor shall also take all such other action as the City reasonably requires and shall cooperate with the City to effectuate an orderly and systematic termination of Contractor's duties and activities hereunder. 9. CONFIDENTIAL STATUS; DISCLOSURE OF INFORMATION. All data, floor plans, designs, maps, surveys, drawings, models, reports, logs, documents, materials or other information developed or created by Contractor, received by Contractor, or provided to Contractor for the performance of this Agreement ("City Data") are deemed confidential and shall not be disclosed by Contractor without the City's prior written consent, The City shall grant such consent if disclosure is legally required, All City Data shall be returned to the City upon the termination of this Agreement. Contractor's covenant under this Section shall survive the termination of this Agreement. City may disclose to third parties any City Data at its sole discretion. 10. EFAULT. Contractor's failure to comply with the provisions of this Agreement shall constitute a default. In the event that Contractor is in default under the terms of this Agreement, the City shall have no obligation or duty to continue compensating Contractor for any work performed after the date of default and can terminate this Agreement immediately by written notice to Contractor. If such failure by Contractor to perform the Services set forth herein arises out of causes beyond Contractor's control, and without fault or negligence of Contractor, it shall not be considered a default. 11. INDEMNIFICATION. Contractor agrees to defend, indemnify, protect and hold harmless the City, its officers, officials, employees, agents, and volunteers from and against any and all claims, demands, losses, defensive costs or expenses, including without limitation, attorney fees and expert witness fees, or liability of any kind or nature which the City, its officers, officials, employees, agents, or volunteers may sustain or incur or which may be imposed upon them for injury to or death of persons, or damage to property arising out of the intentional, reckless, negligent, or otherwise wrongful acts or omissions of Contractor, or Contractor's officers, employees, or agents arising out of or in any way related to the performance or non-performance of this Agreement, excepting only liability arising out of the sole negligence of the City. 12. INDEPENDENT Contractor. 12.1 Contractor is and shall at all times remain as to the City a wholly independent contractor. The personnel performing the services under this Agreement on 3 behalf of Contractor shall at all times be under Contractor's exclusive direction and control. Neither City nor any of its officers, officials, employees, agents, or volunteers shall have control over the conduct of Contractor or any of. Contractor's officers, employees, or agents except as set forth in this Agreement. Contractor shall not at any time or in any manner represent that it or any of its officers, employees, or agents are in any manner officers, officials; employees, agents or volunteers of the City. Contractor shall not incur or have the power to incur any debt, obligation or liability whatsoever against City, or bind City in any manner. 12.2 No employee benefits shall be available to Contractor or its officers, employees, or agents in connection with the performance of this Agreement. Except for the fees paid to Contractor as provided in the Agreement, City shall not pay salaries, wages, or other compensation to Contractor for performing services hereunder for the City. City shall not be liable for compensation or indemnification to Contractor or its officers, employees, or agents for injury or sickness arising out of performing services hereunder. 13. INSURANCE 13.1 Contractor shall at all times during the term of this Agreement carry, maintain, and keep in full force and effect, a policy or policies of Comprehensive General Liability Insurance, with minimum limits of Two Million Dollars ($2,000,000) for each occurrence, combined single limit, against any personal injury, death, loss or damage resulting from the wrongful or negligent acts by Contractor or Contractor's officers, employees, or agents. 13.2 Contractor shall at all times during the term of this Agreement carry, maintain, and keep in full force and effect, a policy or policies of Comprehensive Vehicle Liability insurance covering personal injury and property damage, with minimum limits of One Million Dollars ($1,000,000) per occurrence, combined single limit, covering any vehicle utilized by Contractor in performing the services required by this Agreement. 13.3 Contractor shall at all times during the term of this Agreement carry, maintain, and keep in full force and effect, a blanket fidelity bond or a policy or policies of Crime Insurance, with minimum limits of One Million Dollars ($1,000,000) per occurrence, combined single limit, to protect City from any losses sustained through any fraudulent or dishonest act or acts committed by Contractor or Contractor's officers, employees, or agents. 13.4 Contractor agrees to maintain in force at all times during the performance of work under this Agreement workers compensation as required by law. 13.5 The policy or policies required by this Agreement shall be issued by an insurer admitted in the State of California and with a rating of at least a B+; VII in the latest edition of Best's Insurance Guide. 4 13.6 Contractor agrees that if it does not keep the aforesaid insurance in full force and effect City may either immediately terminate this Agreement or, if insurance is available at a reasonable cost, City may take out the necessary insurance and pay, at Contractor's expense, the premium thereon. 13.7 At all times during the term of this Agreement, Contractor shall maintain on file with the Risk Manager a certificate or certificates of insurance, satisfactory to the City Attorney and Risk Manager, showing that the aforesaid policies are in effect in the required amounts. Contractor shall, prior to commencement of work under this Agreement, file with the Risk Manager such certificate or certificates. The policies of insurance required by this Agreement shall contain an endorsement naming the City as an additional insured. All of the policies required under this Agreement shall contain an endorsement providing that the policies cannot be canceled or reduced except on thirty (30) days prior written notice to City, and specifically stating that the coverage contained in the policies affords insurance pursuant to the terms and conditions as set forth in this Agreement. 13.8 The insurance provided by Contractor shall be primary to any coverage available to City, and any insurance or self-insurance maintained by City, its officers, officials, employees, agents or volunteers shall be excess of Contractor's insurance and shall not contribute with it. The policies of insurance required by this Agreement shall include provisions for waiver of subrogation. Contractor hereby waives all rights of subrogation against City. 13.9 Any deductibles or self -insured retentions must be declared to and approved by City. At the option of City, Contractor shall either reduce or eliminate the deductibles or self -insured retentions with respect to City, or Contractor shall procure a bond guaranteeing payment of losses and expenses. 14. LEGAL RESPONSIBILITIES Contractor shall keep itself informed of all local, State and Federal ordinances, laws and regulations which in any manner affect those employed by it or in any way affect the performance of its Services pursuant to this Agreement. Contractor shall at all times observe and comply with all such ordinances, laws and regulations. The City, and its officers, officials, employees, agents or volunteers shall not be liable at law or in equity occasioned by failure of Contractor to comply with this Section. 15. NOTICE. Any notices which either party may desire to give to the other party under this Agreement must be in writing and may be given either by (i) personal service, (ii) delivery by a reputable document delivery service, such as but not limited to, Federal Express, that provides a receipt showing date and time of delivery, or (iii) mailing in the United States Mail, certified mail, postage prepaid, return receipt requested, addressed to the address of the party as set forth below or at any other address as that party may later designate by Notice. ASSIGNMENT. Contractor shall not assign the performance of this Agreement, nor any part thereof, nor any monies due hereunder, without prior written consent of the City. 17. SEVERABILITY. Wherever possible, each provision of this Agreement shall be interpreted in such a manner as to be valid under applicable law. If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, void or unenforceable, the remaining provisions shall nevertheless continue in full force and effect. 18., GOVERNING LAW The City and Contractor understand and agree that the laws of the State of California shall govern the rights, obligations, duties and liabilities of the parties to this Agreement and also govern the interpretation of this Agreement. Any litigation concerning this Agreement shall take place in the municipal, superior, or federal district court with geographic jurisdiction over the City of Vernon. In the event such litigation is filed by one party against the other to enforce its rights under this Agreement, the prevailing party, as determined by the Court's judgment, shall be entitled to reasonable attorney fees and litigation expenses for the relief granted. 19. ENTIRE AGREEMENT This Agreement contains the entire understanding between the parties relating to the obligations of the parties described in this Agreement. All prior or contemporaneous agreements, understandings, representations and statements, oral or written, are merged into this Agreement and shall be of no further force or effect. 20. INTERESTS OF CONTRACTOR Contractor affirms that it presently has no interest and shall not have any interest, direct or indirect, which would conflict in any manner with the performance of the Scope of Work contemplated by this Agreement. No person having any such interest shall be employed by or be associated with Contractor. 21. EXMITS 0 All documents referenced as exhibits in this Agreement are hereby incorporated in this Agreement. In the event of any material discrepancy between the express provisions of this Agreement and the provisions of any document incorporated herein by reference, the provisions of this Agreement shall prevail. 22. AUTHORITY TO EXECUTE IMS AGREE ONT The person or persons executing this Agreement on behalf of Contractor warrants and represents that he or she has the authority to execute this Agreement on behalf of Contractor and has the authority to bind Contractor to the performance of its obligations hereunder. Infrastructure Preventative Maintenance Inspection (PMI): Advanced Electronics, Inc. will provide Annual and/or Semi-annual Infrastructure Preventative Maintenance Inspections (PMI) services to customer, depending on the Customer Service Support Plan agreed to. Infrastructure Preventative Maintenance Inspections will provide operational test and alignment, on the customer's equipment (infrastructure or fixed network equipment only) to ensure the equipment meets original manufacturer's specifications, all of which are hereby incorporated by this reference. Infrastructure Preventative Maintenance Inspections will be performed during standard business days, 8:00 A.M. to 5:00 P.M., excluding legal holidays. If a mobile radio can not be repaired in the field, Advanced Electronics, Inc. remove the radio and reinstall a FRU (Field Replacement Unit) if provided by the customer. Advanced Electronics, Inc. will then take' the radio to its facility to perform the repair, return and reinstall the radio, then give the FRU back to the customer. Both 24 hour x 365 Day and 8:00 A.M. to 5:00 P.M., Monday — Friday, excluding legal holidays require the customer to call Advanced Electronics, Inc. for service. Advanced Electronics, Inc, will respond to the service request on the same day or the next business day morning. Mobile Radio Antenna Replacement: Advanced Electronics, Inc. will provide to the customer at no cost, all mobile radio antenna replacements. Replacements will be new direct from the manufacturer and will meet all manufacturer and FCC requirements. Antenna replacement includes re -tuning the new antenna. One new antenna replacement per radio on maintenance agreement, per year. Remote Control Head for Mobiles: Remote Control Head Option for Mobiles provides for the Restoration of additional remote control heads, extended control heads, and Direct Entry Keypad (DEK) Plus that have become defective through normal wear and usage. Due to the nature of this Option, Customer's entire inventory of mobiles must be covered by this Option. This Option covers Equipment that is specifically named in the applicable Agreement to which this Statement of Work is attached. PORTABLE RADIOS: Portable radio repair provides for Advanced Electronics, Inc. to provide the labor and replacement parts to repair customer's portable radio. All portable radio repair work and PMI's will be done at an Advanced Electronics, Inc. facility and not at the customer location. 1. Portable Radio Maintenance: 1.1 8:00 A.M. to 5:00 P.M., Monday — Friday, excluding legal holidays; at an Advanced Electronics, Inc. facility. Customer brings equipment to Advanced Electronics, Inc. 1.2 Battery replacement, including disposal of spent battery. One battery per year, per radio, when accompanied with radio 1.3 Belt clip replacement, one belt clipper radio when accompanied with radio 1.4 Portable antenna replacement, one antenna per year, per radio when accompanied with radio 2. Local Radio Support (Mobile and/or Portable radios) Local Radio Support provides an operational check of equipment by an Advanced Electronics, Inc. technician. An operational check is an analysis of the equipment to identify external or internal defects. If the equipment has an external defect, or can be restored without opening the radio case, the equipment will be restored and returned to customer. Response will be on the same day if possible, or the next business day, as the trouble call is received by Advanced Electronics, Inc. If a mobile radio can not be repaired in the field, Advanced Electronics, Inc. remove the radio and reinstall a FRU (Field Replacement Unit) if provided by the customer. Advanced Electronics, Inc. will then take the radio to its facility to perform the repair, return and reinstall the radio, then give the FRU back to the customer. Both 24 hour x 365 Day and 8:00 A.M. to 5:00 P.M., Monday — Friday, excluding legal holidays require the customer to call Advanced Electronics, Inc. for service. Advanced Electronics, Inc. will respond to the service request on the same day or the next business day morning. Mobile Radio Antenna Replacement: Advanced Electronics, Inc. will provide to the customer at no cost, all mobile radio antenna replacements. Replacements will be new direct from the manufacturer and will meet all manufacturer and FCC requirements. Antenna replacement includes re -tuning the new antenna. One new antenna replacement per radio on maintenance agreement, per year. Remote Control Head for Mobiles: Remote Control Head Option for Mobiles provides for the Restoration of additional remote control heads, extended control heads, and Direct Entry Keypad (DEK) Plus that have become defective through normal wear and usage. Due to the nature of this Option, Customer's entire inventory of mobiles must be covered by this Option. Kevin Wilson Purchasing Department Resolution No. 10,104 Agreement File No. 09-138 SERVICES AGREEMENT BETWEEN THE CITY OF VERNON AND ADVANCED ELECTRONICS THIS AGREEMENT is made and effective as of A (the "Effective Date") between the City of Vernon (the "City") and Advanced Electronics, Inc. ("Contractor"), In consideration of the mutual covenants and conditions set forth herein, the parties agree as follows: TERM AND TIME OF PERFORMANCE. This Agreement shall commence upon the Execution Date, and shall remain and continue in effect for one year., unless sooner terminated pursuant to the provisions of this Agreement. The City may renew this Agreement on a year to year basis at its discretion. Any Services performed prior to the Execution Date shall for all purposes be deemed to have been performed pursuant to this Agreement, subject to the terms and conditions hereof, 1.1 Renewal of Agreement. In the event that City renews this Agreement, Contractor may submit a written proposal to increase its rates no later than thirty (30) days after receiving notice of City's intent to renew. Any increase in rates must be approved by the City before such increase can take effect. If the City fails to approve the proposed rate increase within thirty (30) days of receipt, Contractor may terminate the renewal by giving thirty (30) days written notice. 2. SCOPE OF SERVICES. Contractor shall perform the services and tasks described and set forth in the Scope of Services Document, attached hereto and incorporated herein as Exhibit A (the "Services"). 3. PERFORMANCE Contractor shall at all times faithfully, competently and to the best of its ability, experience, and talent, perform all services described herein. Contractor shall employ, at minimum, generally accepted standards and practices utilized by persons engaged in providing similar services as are required of Contractor hereunder in meeting its obligations under this Agreement. 4. COMPENSATION. The City of Vernon agrees to pay Contractor the monthly fees referenced in Exhibits B 1, B2, B3, and B4 for the maintenance work described in Exhibits Al, A2, A3, and A4. Any maintenance services performed by Contractor on equipment owned by the City that is not listed in Exhibits C1, C2, C3, or C4, will be paid on a time and materials basis in accordance with the Rate/Expense Schedule attached hereto and incorporated herein by this reference as Exhibit D. 5. METHOD OF PAYMENT 5.1 Invoices. Contractor shall submit invoices monthly for actual services performed. Invoices shall include the month for which Services were provided, the dates of such Services, and a description of the Services provided for that billing period. Each invoice shall include copies of timesheets and other supporting documents as the City may require. 5.2 Payments by the City. Payments. of each invoice shall be made within thirty (30) days following receipt of each invoice as to all non -disputed fees. If the City disputes any of Contractor's fees, it shall give written notice to Contractor within thirty (30) days of receipt of the disputed invoice. Any amounts in dispute shall be withheld until resolution. 6. PERSONNEL. All persons performing the Services shall have all the necessary technical expertise, permits, professional licenses, certificates, training, and other qualifications required by this Agreement or any applicable laws. Contractor shall provide the City with said permits, licenses, and certificates at the request of the City. At any time, and for any reason or for no reason, the City may request that Contractor replace any of Contractor's personnel. 6.1 Access. Contractor shall comply with all reasonable access and other restrictions that the City may impose. No access to City property for performance of the Services will be permitted prior to delivery to the City of proof of insurance paid and maintained by Contractor. 7. CONTRACTOR'S DUTIES AND REPRESENTATIONS. Contractor represents, covenants and agrees as follows: 7.1 There are no obligations, commitments, or impediments of any kind that will limit or prevent performance of the Services. 7.2 The Services performed hereunder shall be of the standard and quality which prevail among companies or entities who provide similar services throughout the United States under the same or similar circumstances. 7.3 There is no litigation pending against Contractor and Contractor is not the subject of any criminal investigation or proceeding, and neither Contractor nor its personnel, to its actual knowledge, have been convicted of a felony. TERMINATION. 8.1 Termination Right, The City may at any time, for any reason, with or without cause, suspend or terminate this Agreement, or any portion hereof, by serving upon Contractor at least thirty (30) days prior written notice. ,Upon receipt of such notice, Contractor shall immediately cease all work under this Agreement, unless the notice provides otherwise. If the City suspends or terminates a portion of this Agreement, such suspension or termination shall not make void or invalidate the remainder of this Agreement. 8..2 Payment Upon Termination. In the event this Agreement is terminated without cause pursuant to this Section, the City shall pay Contractor the actual value to City of work performed up to the time of termination. Upon termination of the Agreement pursuant to this Section, Contractor shall submit an invoice to the City pursuant to Section 5. 8.3 Actions Subsequent to Termination. In the event of termination or suspension of this Agreement, Contractor shall deliver all City Data, as defined in Section 9, below, to the City within three (3) days after the termination or suspension of this Agreement. Contractor shall also take all such other action as the City reasonably requires and shall cooperate with the City to effectuate an orderly and systematic termination of Contractor's duties and activities hereunder. 9. CONFIDENTIAL STATUS.• DISCLOSURE OF INFORMATION. All data, floor plans, designs, maps, surveys; drawings, models, reports, logs, documents, materials or other information developed or created by Contractor, received by Contractor, or provided to Contractor for the performance of this Agreement ("City Data") are deemed confidential and shall not be disclosed by Contractor without the City's prior written consent. The City shall grant such consent if disclosure is legally required. All City Data shall be returned to the City upon the termination of this Agreement. Contractor's covenant under this Section shall survive the termination of this Agreement, City may disclose to third parties any City Data at its sole discretion. 10. DEFAULT. Contractor's failure to comply with the provisions of this Agreement shall constitute a default. In the event that Contractor is in default under the terms of this Agreement, the City shall have no obligation or duty to continue compensating Contractor for any work performed after the date of default and can terminate this Agreement immediately by written notice to Contractor. If such failure by Contractor to perform the Services set forth herein arises out of causes beyond Contractor's control, and without fault or negligence of Contractor, it shall not be considered a default. 11. INDEMNIFICATION Contractor agrees to defend, indemnify, protect and hold harmless the City, its officers, officials, employees, agents, and volunteers from and against any and all claims, demands, losses, defensive costs or expenses, including without limitation, attorney fees and expert witness fees, or liability of any kind or nature which the City, its officers, officials, employees, agents, or volunteers may sustain or incur or which may be imposed upon them for injury to or death of persons, or damage to property arising out of the intentional, reckless, negligent, or otherwise wrongful acts or omissions of Contractor, or Contractor's officers, employees, or agents arising out of or in any way related to the performance or non-performance of this Agreement, excepting only liability arising out of the sole negligence of the City. 12. INDEPENDENT Contractor. 12.1 Contractor is and'shall at all times remain as to the City a wholly independent contractor. The personnel performing the services under this Agreement on behalf of Contractor shall at all times be under Contractor's exclusive direction and control. Neither City nor any of its officers, officials, employees, agents, or volunteers shall have control over the conduct of Contractor or any of Contractor's officers, employees, or agents except as set forth in this Agreement. Contractor shall not at any time or in any manner represent that it or any of its officers, employees, or agents are in any manner officers, officials, employees, agents or volunteers of the City. Contractor shall not incur or have the power to incur any debt, obligation or liability whatsoever against City, or bind City in any manner. 12.2 No employee benefits shall be available to Contractor or its officers, employees, or agents in connection with the performance of this Agreement. Except for the fees paid to Contractor as provided in the Agreement, City shall not pay salaries, wages, or other compensation to Contractor for performing services hereunder for the City. City shall not be liable for compensation or indemnification to Contractor or its officers, employees, or agents for injury or sickness arising out of performing services hereunder. 13. INSURANCE. 13.1 Contractor shall at all times during the term of this Agreement carry, maintain, and keep in full force and effect, a policy or policies of Comprehensive General Liability Insurance, with minimum limits of Two Million Dollars ($2,000,000) for each occurrence, combined single limit, against any personal injury, death, loss or damage resulting from the wrongful or negligent acts by Contractor or Contractor's officers, employees, or agents. 13.2 Contractor shall at all times during the term of this Agreement carry, maintain, and keep in full force and effect, a policy or policies of Comprehensive Vehicle Liability insurance covering personal injury and property damage, with minimum limits of One Million Dollars ($1,000,000) per occurrence, combined single limit, covering any vehicle utilized by Contractor in performing the services required by this Agreement. 13.3 Contractor shall at all times during the term of this Agreement carry, maintain, and keep in full force and effect, a blanket fidelity bond or a policy or policies of Crime Insurance, with minimum limits of One Million Dollars ($1,000,000) per occurrence, combined single limit, to protect City from any losses sustained through any fraudulent or dishonest act or acts committed by Contractor or Contractor's officers, employees, or agents. 13.4 Contractor agrees to maintain in force at all times during the performance of work under this Agreement workers compensation as required by law. 13.5 The policy or policies required by this Agreement shall be issued by an insurer admitted in the State of California and with a rating of at least a B+; VII in the latest edition of Best's Insurance Guide. 4 13.6 Contractor agrees that if it does not keep the aforesaid insurance in full force and effect City may either immediately terminate this Agreement or, if insurance is available at a reasonable cost, City may take out the necessary insurance and pay, at Contractor's expense, the premium thereon. 13.7 At all times during the term of this Agreement, Contractor shall maintain on file with the Risk .Manager a certificate or certificates of insurance, satisfactory to the City Attorney and Risk Manager, showing that the aforesaid policies are in effect in the required amounts. Contractor shall, prior to commencement of work under this Agreement, file with the Risk Manager such certificate or certificates. The policies of insurance required by this Agreement shall contain an endorsement naming the City as an additional insured. All of the policies required under this Agreement shall contain an endorsement providing that the policies cannot be canceled or reduced except on thirty (30) days prior written notice to City, and specifically stating that the coverage contained in the policies affords insurance pursuant to the terms and conditions as set forth in this Agreement. 13.8 The insurance provided by Contractor shall be primary to any coverage available to City, and any insurance or self-insurance maintained by City, its officers, officials, employees, agents or volunteers shall be excess of Contractor's insurance and shall not contribute with it. The policies of insurance required by this Agreement shall include provisions for waiver of subrogation. Contractor hereby waives all rights of subrogation against City. 13.9 Any deductibles or self -insured retentions must be declared to and approved by City. At the option of City, Contractor shall either reduce or eliminate the deductibles or self -insured retentions with respect to City, or Contractor shall procure a bond guaranteeing payment of losses and expenses. 14. LEGAL RESPONSIBILITIES Contractor shall keep itself informed of all local, State and Federal ordinances, laws and regulations which in any manner affect those employed by it or in any way affect the performance of its Services pursuant to this Agreement. Contractor shall at all times observe and comply with all such ordinances, laws and regulations. The City, and its officers, officials, employees, agents or volunteers shall not be liable at law or in equity occasioned by failure of Contractor to comply with this Section. 15. NOTICE. Any notices which either party may desire to give to the other party under this Agreement must be in writing and may be given either by (i) personal service, (ii) delivery by a reputable document delivery service, such as but not limited to, Federal Express, that provides a receipt showing date and time of delivery, or (iii) mailing in the United States Mail, certified mail, postage prepaid, return receipt requested, addressed to the address of the party as set forth below or at any other address as that party may later designate by Notice. Notice shall be effective upon delivery to the addresses specified below or on the third business day following deposit with the United States Mail as provided above. ASSIGNMENT. Contractor shall not assign the performance of this Agreement, nor any part thereof, nor any monies due hereunder, without prior written consent of the City. 17. SEVERABILITY. Wherever possible, each provision of this Agreement shall be interpreted in such a manner as to be valid under applicable law. If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, void or unenforceable, the remaining provisions shall nevertheless continue in full force and effect. 18. GOVERNING LAW. The City and Contractor understand and agree that the laws of the State of California shall govern the rights, obligations, duties and liabilities of the parties to this Agreement and also govern the interpretation of this Agreement. Any litigation concerning this Agreement shall take place in the municipal, superior, or federal district court with geographic jurisdiction over the City of Vernon. In the event such litigation is filed by one party against the other to enforce its rights under this Agreement, the prevailing party, as determined by the Court's judgment, shall be entitled to reasonable attorney fees and litigation expenses for the relief granted. 19, ENTIRE AGREEMENT, This Agreement contains the entire understanding between the parties relating to the obligations of the parties described in this Agreement. All prior or contemporaneous agreements, understandings, representations and statements, oral or written, are merged into this Agreement and shal I be of no further force or effect. 20. INTERESTS OF CONTRACTOR. Contractor affirms that it presently has no interest and shall not have any interest, direct or indirect, which would conflict in any manner with the performance of the Scope of Work contemplated by this Agreement. No person having any such interest shall be employed by or be associated with Contractor. 21, EXHIBITS 6 All documents referenced as exhibits in this Agreement are hereby incorporated in this Agreement. In the event of any material discrepancy between the express provisions of this Agreement and the provisions of any document incorporated herein by reference, the provisions of this Agreement shall prevail, 22. AUTHORITY TO EXECUTE THIS AGREEMENT The person or persons executing this Agreement on behalf of Contractor warrants and represents that he or she has the authority to execute this Agreement on behalf of Contractor and has the authority to bind Contractor to the performance of its obligations hereunder. Advanced Electronics, Inc. will not dispatch technicians or tower climbers during inclement weather conditions, when notified of potential or threatening fire hazard or poor road conditions. Response will be on the same day if possible, or the next business day, as the trouble call is received by Advanced Electronics, Inc. If a mobile radio can not be repaired in the field, Advanced Electronics, Inc. remove the radio and reinstall a FRU (Field Replacement Unit) if provided by the customer. Advanced Electronics, Inc. will then take the radio to its facility to perform the repair, return and reinstall the radio, then give the FRU back to the customer. Both 24 hour x 365 Day and 8:00 A.M. to 5:00 P.M., Monday — Friday, excluding legal holidays require the customer to call Advanced Electronics, Inc. for service. Advanced Electronics, Inc. will respond to the service request on the same day or the next business day morning. Mobile Radio Antenna Replacement: Advanced Electronics, Inc. will provide to the customer at no cost, all mobile radio antenna replacements. Replacements will be new direct from the manufacturer and will meet all manufacturer and FCC requirements. Antenna replacement includes re -tuning the new antenna. One new antenna replacement per radio on maintenance agreement, per year. Remote Control Head for Mobiles: Remote Control Head Option for Mobiles provides for the Restoration of additional remote control heads, extended control heads, and Direct Entry Keypad (DEK) Plus that have become defective through normal wear and usage. Due to the nature of this Option, Customer's entire inventory of mobiles must be covered by this Option. This Option covers Equipment that is specifically named in the applicable Agreement to which this Statement of Work is attached. Advanced Electronics, Inc. has the following responsibilities: Restore remote control heads, extended control heads, and/or Direct Entry Keypad (DEK) Plus as needed. Customer has no additional responsibilities. 12 D. PORTABLE RADIOS: Portable radio repair provides for Advanced Electronics, Inc. to provide the labor and replacement parts to repair customer's portable radio. All portable radio repair work and PMI's will be done at an Advanced Electronics, Inc. facility and not at the customer location. 1. Portable Radio Maintenance: 1.1 8:00 A.M. to 5:00 P.M., Monday — Friday, excluding legal holidays; at an Advanced Electronics, Inc. facility. Customer brings equipment to Advanced Electronics, Inc. 1.2 Battery replacement, including disposal of spent battery. One battery per year, per radio, when accompanied with radio 1.3 Belt clip replacement, one belt clip per radio when accompanied with radio 1.4 Portable antenna replacement, one antenna per year, per radio when accompanied with radio 2. Local Radio Support (Mobile and/or Portable radios) Local Radio Support provides an operational check of equipment by an Advanced Electronics, Inc. technician. An operational check is an analysis of the equipment to identify external or internal defects. If the equipment has an external defect, or can be restored without opening the radio case, the equipment will be restored and returned to customer. If the equipment has an internal defect, or is not serviceable without opening the radio case, then the equipment will require additional shop or Motorola depot service provided by Advanced Electronics, Inc. 13 The following services are excluded from Local Radio Support service unless they are purchased for an additional fee: 1. Advanced Electronics, Inc. will provide Local Radio Support services to the customer for equipment that is specifically named in the applicable Agreement to which this Statement of Work is attached. Advanced Electronics, Inc. reserves the right to alter, amend or change the scope of work with 30-days written notice to customer. All terms and/or attachments to the Customer Maintenance Service Plan will remain in full force and effect during the term and any subsequent terms of this SOW. 3, Advanced Electronics, Inc. has the following responsibilities: 3.1 Add the following customer information to the Advanced Electronics, Inc. MAS 200 tracking system. 3.1.1. Customer name, contact and address. 3.1.2. System type and equipment descriptions. 3.1.3. Site identification (site names, site ids, addresses and zip codes) 3.1.4. Provide equipment list including type and quantity, when available. 3.2 Provide an operational check of equipment to determine the nature of the problem. 3.3 Restore equipment with external defects that can be restored without opening the radio case. 3.4 Remove/reinstall mobile or data equipment from vehicles as needed for servicing. 3.5 Service shall be performed at the Advanced Electronics, Inc. facility during standard business days. 3.6 Generate service ticket in MAS 200. 14 1) SIP - Local Subscriber Repair. If Motorola does not manufacture the equipment, it may be returned to the original equipment manufacturer or third party vendor for repair. Advanced Electronics, Inc. will coordinate and track third - party equipment sent to the original equipment manufacturer or third party vendor for service. Once the equipment is received from the manufacturer, Advanced Electronics, Inc. will contact the customer to pick up the equipment or utilize the pick up and delivery option provided that the customer has pick up and delivery as part of its SOW. 15 E. If a mobile radio can not be repaired in the field, Advanced Electronics, Inc. remove the radio and reinstall a FRU (Field Replacement Unit) if provided by the customer. Advanced Electronics, Inc. will then take the radio to its facility to perform the repair, return and reinstall the radio, then give the FRU back to the customer. Both 24 hour x 365 Day and 8:00 A.M. to 5:00 P.M., Monday — Friday, excluding legal holidays require the customer to call Advanced Electronics, Inc. for service. Advanced Electronics, Inc. will respond to the service request on the same day or the next business day morning. Mobile Radio Antenna Replacement: Advanced Electronics, Inc. will provide to the customer at no cost, all mobile radio antenna replacements. Replacements will be new direct from the manufacturer and will meet all manufacturer and FCC requirements. Antenna replacement includes re -tuning the new antenna. One new antenna replacement per radio on maintenance agreement, per year. Remote Control Head for Mobiles: Remote Control Head Option for Mobiles provides for the Restoration of additional remote control heads, extended control heads, and Direct Entry Keypad (DEK) Plus that have become defective through normal wear and usage.
