A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF
AN AMENDMENT NO. 1 TO ACCESS AGREEMENT WITH AON
ESOLUTIONS, INC. TO PROVIDE ACCESS TO ONLINE SAFETY
MANAGEMENT TOOLS AND INFORMATION
WHEREAS, the Finance Committee of the City of Vernon by
Minute Order dated December 8, 2003, recommended that the City Council
approve the purchase of a service subscription to an online safety
management program from Safetylogic.Com, Inc., now known as Aon
eSolutions, Inc. ("Aon"), allowing departmental safety representatives
access to a website to assist.in the enforcement of safety procedures,
the evaluation of safety programs and the improvement of regulatory
_1 compliance processes; and
WHEREAS, the Finance Committee of the City of Vernon by
Minute Order dated November 17, 2004, recommended that the City
Council approve an amendment to the existing agreement with Aon to
renew the agreement through December 30, 2005 and to add 18 additional
users; and
WHEREAS, the Finance Committee Section of the City Council
of the City of Vernon by Minute Order dated December 13, 2005,
approved the renewal of the existing agreement with Aon through
December 31, 2006; and
WHEREAS, in accordance with the recommendation of the
Finance Committee on December 19, 2006, the City Council of the City
of Vernon by Minute Order dated January 3, 2007, ratified the
execution of an addendum to the Access Agreement renewing the existing
agreement with Aon through December 30, 2009; and
WHEREAS, by memo dated December 15, 2009, the Risk Manager
recommends the City amend the agreement with Aon to renew the
agreement through December 30, 2012 and to update the terms and
conditions under which the City will have access to Aon's website; and
WHEREAS, the City Council of the City of Vernon has
determined that, pursuant to the provisions of subsection (b)(1) of
Section 2.27 of the Vernon City Code, it is in the public interest and
necessity to enter into an amendment to the agreement with Aon to
provide the access required for the online safety management program.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon does
hereby find and determine that the recitals contained hereinabove are
true and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Amendment No. 1 to Access Agreement with Aon for access
to the online safety management program ("Amendment"), a copy of which
is attached hereto as Exhibit A and incorporated by reference.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor or Mayor Pro-Tem to execute the Amendment for,
and on behalf of, the City of Vernon and the City Clerk, or Deputy
City Clerk, is hereby authorized to attest thereto.
SECTION 4: The City Council of the City of Vernon hereby
authorizes the City Administrator, or his designee, to take whatever
action is deemed necessary or desirable for the purpose of,
implementing and carrying out the purposes of this Resolution and the
transactions herein approved or authorized.

SECTION 5: The City Council of the City of Vernon hereby
directs the City Clerk, or her designee, to send the fully executed
Amendment to Aon.
SECTION 6: The City Clerk of the City of Vernon shall
certify to the passage, approval and adoption of this resolution, and
the City Clerk of the City of Vernon shall cause this resolution and
the City Clerk's certification to be entered in the File of
Resolutions of the Council of this City.

EXHIBIT A
AMENDMENT NO. 1 TO ACCESS AGREEMENT BETWEEN THE CITY OF VERNON
AND AON ESOLUTIONS, INC.
This Amendment No. 1 ("Amendment") to that certain Access Agreement dated
December 1, 2003, as amended by that certain Access Agreement Addendum dated December 8,
2006 (collectively, the "Agreement"), is made as of 2009 ("Effective
Date"), by and between the City of Vernon, a California charter city and municipal corporation
(the "City"), and Aon eSolutions, Inc. (formerly known as "Safetylogic.com, Inc." and
hereinafter referred to as "Aon").
WHEREAS, the City and Aon are parties to the Agreement, under which Aon provides
the City access to online safety management tools and information; and
WHEREAS, Aon was formerly known as "Safetylogic.com, Inc." and is now known as
"Aon eSolutions, Inc."; and
WHEREAS, the website to which Aon provides the City with access under the
Agreement is referred to as the "SafetyLogic" website; and
WHEREAS, the City desires that Aon continue to provide such services;
NOW, THEREFORE, in consideration of the foregoing recitals and for other good and
valuable consideration, the adequacy of which is hereby acknowledged, the parties, hereby agree
to as follows:
1. Section 3 ("Terms and Termination") of the Agreement is hereby amended in its
entirety to read:
"3.1 Unless otherwise terminated in accordance with the provisions herein stated, this
Agreement shall remain in effect until December 30, 2012.
3.2 This Agreement may be voluntarily terminated by Aon: (i) in the event that the City fails
to comply with any material term or condition hereof and such failure is not remedied within
sixty (60) days after written notification of such failure has been given to the City; (ii) in the
event that the City becomes insolvent, makes an assignment for the benefit of creditors, suffers
or permits the appointment of a receiver or trustee in bankruptcy or similar officer for all parts of
its business or assets; or (iii) in the event that the City avails itself of or becomes subject to any
bankruptcy proceeding under Federal law or any statute of any state relating to insolvency or the
protection of rights of creditors.
3.3 Upon termination of this Agreement, for any reason, City information in the Aon systems
will be available for at least ninety (90) days after the termination date. All media will be
destroyed or returned to City as requested in writing. The confidentiality obligations imposed by
Section 10, any outstanding payment amounts that are not the subject of a dispute, and the
indemnity obligations imposed by Section 5, shall survive the termination of this Agreement.

2. Section 10.3 is hereby added to the Agreement to read:
"10.3 Notwithstanding the provisions of Section 10.2, the restrictions on disclosure of
Confidential Information imposed by Section 10 shall not apply to disclosure of Confidential
Information which the City, in its independent and absolute judgment, determines must be
disclosed pursuant to the California Public Records Act (the "CPRA"), the Ralph M. Brown Act,
the Freedom of Information Act, a subpoena, a discovery request, a court order, or any other
such requirement to produce the information pursuant to any legal process, administrative
process, law, regulation or legal duty ("Disclosure Requirement"). Aon acknowledges that some
or all of the Confidential Information provided by Aon may be disclosable pursuant to the
CPRA. In the event City determines it must disclose Confidential Information pursuant to any
Disclosure Requirement, City shall give Aon prompt written notice and sufficient opportunity to
seek judicial relief, provided, however, the City shall not be required to delay its compliance
beyond the deadlines imposed by law for compliance with such Disclosure Requirements."
3. Section 13 of the Agreement is hereby amended to change the name of the City's
representative and his email address to:
"Donal O'Callaghan, City Administrator" and "docallaghan@ci.vernon.ca.us".
4. Subsections (a) through (e) of Section I of the "Product Features" described in
Exhibit A are hereby amended to read as follows:
a. Safety Meeting Scheduling & Tracking: Access to Aon's written meeting
materials, and areas to record all safety meetings, action items, and meeting
notes. The system tracks resolution of action items, plus other reporting.
b. Resource Library: Access to the online library and documents (including Aon
written content, written programs, audits, safety meeting topics, and more).
Also includes areas for City to post their own safety materials. This area is
also customizable, and content can be profiled to individual locations on the
system.
C. Self -Assessment and Audit Tracking & Reporting: Robust tools include pre -
written self-assessments/audits written by Aon. System includes action item
generation, e-mail functionality, robust reporting, customization, and more.
The Aon system also includes access to Aon's "Mobile Audits/Self-
Assessment" feature, as the Aon system supports PDA's.
d. OSHA Recordkeeping: Work -related injury and illness tracking & reporting
including 05I-IA Recordkeeping forms and reports including OSHA 301,
300, 300A, plus roll -up) Summary and Totals reports.

e. Other Features: Action item resolution tracking & reporting, distributions,
bulletins, roll -up reporting, online company bulletin board, electronic
questionnaires, and more."
5. The "Note" in Exhibit A describing "Product Features" is amended in its entirety
to read:
"All features that are available currently on Aon's system are subject to change from time to
time. Aon may not reduce or disable the product features as described herein without the City's

annually, of help desk support is included in the subscription pricing. Additional support
hours, if needed, will be billed at $185 per hour.
• New users which are added during the term will be billed a pro -rated amount of the
yearly costs for each new user added. For adding employees/locations, Safetylogic
requires all employee setup information be forwarded in an electronic format.
• Aon will invoice the City on an annual basis. The City shall remit payment within 30
days of receipt of an acceptable invoice."
7. A new Section 14 ("Attorney's Fees") is hereby added to the Agreement to read:
"In the event a dispute, claim, arbitration or litigation arises regarding this Agreement, the
prevailing party shall be entitled to reimbursement for reasonable attorneys fees and actual costs,
which may be set by the arbitrators or the court in the same action or in a separate action brought
for that purpose, in addition to any other relief which is obtained."

A new Section 15 ("Modifications") is hereby added to this Agreement to read:
"This Agreement may be amended or modified only by a writing signed by both parties."
9. A new Section 16 ("Assignment") is hereby added to this Agreement to read:
"Neither party shall assign any right or obligation under this Agreement, without the prior
written consent of the other party. Any purported assignment without such consent shall be void
and without effect."
10. It is the express intent of the parties that wherever in the Agreement the term
"Client" appears, it shall have the same meaning as "City" in this Amendment.
11. It is the express intent of the parties that wherever in the Agreement the term
"Aon Safetylogic.com appears, it shall have the same meaning as "Aon" in this Amendment.
12. Except as expressly modified by this Amendment, all provisions of the
Agreement shall remain in full force and effect.
13. This Amendment is executed in duplicate originals, each of which is deemed to be
an original for all purposes.
14. The provisions of this Amendment shall constitute the entire agreement of the
parties with respect to the subject matter included in this Amendment and shall supercede any
other agreement, understanding, or arrangement, whether written or oral, between the parties
with respect to the subject matter of this Amendment.
15. The person or persons executing this Amendment on behalf of each of the parties
warrants and represents that he or she has the authority to execute this Amendment on behalf of
that party and has the authority to bind that party to the performance of its obligations hereunder.

RE: AON SafetyLogic
Risk Management is recommending the renewal of the existing agreement with AON
SafetyLogic, which expires December 30, 2009. The total renewal cost for the period of
December 31, 2009, through December 31, 2012, is $16,200.00 per year. There is no increase in
cost from the previous agreement.
The web based software sponsored by AON, provides departmental safety representatives access
to the SafetyLogic Website where representatives can document, enforce, and evaluate safety
programs. They can also improve regulatory compliance processes by conducting self -
assessment, and audit tracking & reporting. Risk Management currently used SafetyLogic to
complete its OSHA Recordkeeping for work -related injury and illness.
AON has submitted the attached Amendment No. 1 to the Access Agreement between the City
of Vernon and Aon eSolutions, Inc. incorporating the terms of the renewal. I have reviewed the
agreement and recommend that it be executed.

Inc. providing City staff with access to the Safety Logic website, and has approved it as to form.

RE: AON SafetyLogic
Risk Management is recommending the renewal of the existing agreement with AON
SafetyLogic, which expires December 30, 2009. The total renewal cost for the period of
December 31, 2009, through December 31, 2012, is $16,200.00 per year. There is no increase in
cost from the previous agreement.
The web based software sponsored by AON, provides departmental safety representatives access
to the SafetyLogic Website where representatives can document, enforce, and evaluate safety
programs. They can also improve regulatory compliance processes by conducting self -
assessment, and audit tracking & reporting. Risk Management currently used SafetyLogic to
complete its OSHA Recordkeeping for work -related injury and illness.
AON has submitted the attached Amendment No. 1 to the Access Agreement between the City
of Vernon and Aon eSolutions, Inc. incorporating the terms of the renewal. I have reviewed the
agreement and recommend that it be executed.
