RESOLUTION NO. 2010-17 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN AMENDMENT NO. 5 TO TRAFFIC SIGNAL MAINTENANCE CONTRACT BY AND BETWEEN THE CITY OF VERNON AND REPUBLIC INTELLIGENT TRANSPORTATION SERVICES, INC. FOR MAINTENANCE OF THE CITY'S EXISTING TRAFFIC SIGNALS AND ANY NEW SIGNALS INSTALLED BY THE CITY DURING THE CONTRACT WHEREAS, on October 20, 2004, the City Council of the City of Vernon adopted Resolution No. 8576 approving a Traffic Signal Maintenance Contract (the "Contract") with Republic Intelligent Transportation Services, Inc. ("Republic ITS"), formerly known as Republic Electric, to maintain the City's existing traffic signals and any new signals installed by the City during the life of the Contract; and WHEREAS, the Contract has been amended by Amendment No. One dated February 16, 2005 approved by Resolution No. 8679, Amendment No. Two dated January 3, 2007 approved by Resolution No. 9206, Amendment No. Three dated January 22, 2008 approved by Resolution No. 9528, and Amendment No. Four dated January 26, 2009 approved by Resolution No. 9829 (the "Amended Contract"); and WHEREAS, by minute order dated January 18, 2006, the City Council of the City of Vernon approved extending the Agreement from January 25, 2006 to January 25, 2007; and WHEREAS, by memo dated January 19, 2010, as revised January 26, 2010, the Director of Community Services & Water has recommended that the City extend the Contract for an additional year with no increase in costs as Republic ITS is waiving the Consumer Price Index ("CPI") adjustment allowed under Section 24 of the Contract; and WHEREAS, the City Council of the Vernon has determined that, pursuant to the provisions of subsection (b)(1) of Section 2.27 of the Vernon City Code, it is in the best interest and necessity to enter into an amendment with Republic ITS to ensure the uninterrupted operation of the traffic signals and enhance the efficient operation of the City. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby approves the Amendment No. 5 to the Amended Contract with Republic ITS, a copy of which is attached hereto as Exhibit A and incorporated by reference. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor or Mayor Pro-Tem to execute said Amendment for, and on behalf of, the City of Vernon and the City Clerk or Deputy City Clerk is hereby authorized to attest thereto. SECTION 4: The City Council of the City of Vernon hereby authorizes the City Administrator, or his designee, to take whatever actions are deemed necessary or desirable for the purpose of implementing and carrying out the purposes of this Resolution and the transactions herein approved or authorized. - 2 - SECTION 5: The City Council of the Vernon hereby directs the City Clerk, or her designee, to transmit one fully executed Agreement to: Republic ITS Attention: James A. This Amendment No 5 to that certain Traffic Signal Maintenance Contract, originally dated January 25, 2005, is made as of 2010 ("Effective bate"), by and between the City of Vernon, a California charter city and municipal corporation ("the City") and Republic Intelligent Transportation Services, Inc., a California corporation ("Contractor"), formerly known as "Republic Electric " WHEREAS, the City and Contractor are parties to a Traffic Signal Maintenance Contract dated January 25, 2005, as amended by Amendment No 1 on February 16, 2005, Amendment No. 2 on January 3, 2007, Amendment No. 3 on January 22, 2008 and Amendment No. 4 on January 26, 2009 (collectively, the "Amended Contract") under which Contractor provides routine and extraordinary maintenance for the City's traffic signals, and WHEREAS, Section 24(a) of Article 4 ("Time for Completion") of the original Traffic Signal Maintenance Contract provides that the contract may be extended upon the written agreement of both parties, and WHEREAS, the City and Contractor desire to extend the term of the Amended Contract for the period January 25, 2010 through January 25, 2011, to amend Exhibit A to the Amended Contract ("Schedule of Fees") to establish the applicable fees for the period .January 25, 2010 through January 25, 2011, and to amend certain general provisions. NOW, THEREFORE, in consideration of the foregoing recitals and for other good and valuable consideration, the adequacy of which is hereby acknowledged, the parties hereby agree as follows. I The term of the Amended Contract is hereby extended for an additional year, January 25, 2010 through January 31, 201 1. 2. Exhibit A ("Schedule of Fees") of the Amended Contract is hereby replaced in its entirety with the revised Schedule of Fees, attached hereto and made a part hereof as Attachment A, which amends as of the Effective Date of this Amendment the monthly routine maintenance fee, and the labor and equipment rates to be used to calculate the cost of any extraordinary work authorized by the City in accordance with Section 30 of Exhibit E of the Amended Contract .3 Section 20 ("Indemnification") of the Amended Contract is hereby amended in its entirety to read. "To the fullest extent permitted by law, Contractor, agrees to defend, indemnify and hold harmless City and its elected officials, officers, agents, employees, and volunteers from any and all claims, suits, actions, demands, damages, liabilities, expenses, judgments, settlements, penalties, losses, fines, and all costs and expenses incurred in connection therewith, including 12720-0002\1199240v2 doe without limitation, interest, reasonable attorney's fees and all costs of defense, arising out of, resulting from, connected with or attributable to the intentional, reckless, negligent, or otherwise wrongful acts, errors, or omissions of Contractor or its employees or agents in the performance of this Contract. THE PROVISIONS OF THIS SECTION SHALL NOT TERMINATE OR EXPIRE, SHALL BE GIVEN THE BROADEST POSSIBLE INTERPRETATION, AND SHALL SURVIVE THE EXPIRATION OR EARLIER TERMINATION OF THIS CONTRACT The obligations in this Section are in addition to Contractor's duty to provide insurance and shall not be limited by any limitation on the amount or type of insurance coverage carried by Contractor." 4 Section 26 ("Public Convenience") of the Amended Contract is hereby amended in its entirety to read: "(a) Contractor shall conduct all work pursuant to this Contract in a manner that causes as little inconvenience as possible to abutting property owners and in such a manner- as to minimize both the disruption of traffic flow and public inconvenience. Unless otherwise authorized in writing, traffic shall be permitted to pass through the work area with an eleven foot (I 1 ft ) travel lane in each direction open to traffic at all times With the City's approval, Contractor may provide a detour Not more than one intersecting street shall be closed at any one time without the prior approval of the Director of Community Services or authorized representative (b) Safe, adequate, continuous and unobstructed pedestrian and vehicular access shall be maintained to water valves, residences, commercial and industrial establishments, churches, schools, parking lots, service stations, motels, and hospitals, unless other arrangements are made satisfactory to the owners thereof Contractor shall provide unobstructed access to all fire hydrants, and fire and police stations at all times. Vehicular access to residential driveways shall be maintained to the property line except when necessary construction precludes such access for reasonable periods of time (c) Grading operations, roadway excavation and embankment construction shall be conducted by the Contractor in a manner to provide a reasonably satisfactory surface for traffic. When rough grading is completed, the roadbed surface shall be brought to a smooth, even condition satisfactory for traffic (d) Conti -actor shall comply with all applicable State, County and City requirements for' closure of streets Contractor shall provide barriers, guards, lights, signs, temporary bridges, flagmen and watchmen advising the public of detours and construction hazards Contractor shall be responsible for compliance with additional public safety requirements which may arise during construction. Contractor- shall furnish and install and upon completion of the work, promptly remove all signs and warning devices. As needed, as required by law, and as directed by the City, Contractor- shall use and abide by the latest editions of Caltrans Standard Specifications and the Manual of Traffic Control Devices (MUTCD) with California Supplements Failure to provide adequate safety devices, as directed by the City, will cause the City to install safety devices as needed and the cost will be assessed to the Contractor at the City's actual cost City 12720-0002\1199240v2 doe shall be entitled to offset any costs incurred against Contractor's invoice and will be deducted from the monthly payment. (e) At least 48 hours in advance of closing or, partial closing or of reopening any street, alley, or other public thoroughfare Contractor shall notify the police, fire, traffic and engineering departments of jurisdictional agencies involved and comply with their requirements. (0 No material or equipment shall be stored where it will interfere with the free and safe passage of public traffic At the end of each day's work and at other times when maintenance operations are suspended for any reason, the Contractor shall remove all equipment and other obstructions from the roadway and open it for use by public traffic (g) At a minimum, the Contractor shall provide protection for any excavation three feet or more in depth, or any other excavation that by its nature may be considered hazardous, by either covering or erecting a five (5) foot chain link or woven wire fence. Such protection shall be provided at all times when the Contractor is not in attendance at the excavation Contractor, agrees to comply with any relevant local, state, and federal laws and regulations regarding excavations (h) All spillage and any excessive dirt or debris caused by hauling operations or moving equipment along or across any private or public property or public traveled way shall be removed immediately at the Contractor's expense. (i) All costs of traffic control shall be included in the various items of work stated in the Schedule of Fees, and no additional compensation will be allowed " 5. Section 42 ("Guarantees") of the Amended Contract is hereby amended in its entirety to read: "Section 42 Guarantees Contractor does hereby guarantee all work for the period of one ,year after the date of acceptance of the work by the City. Contractor shall repair and replace any and all such work, together with any other work which may be displaced in the course of such repairs, that may prove defective in material or workmanship within one ,year from the date of acceptance, without expense whatsoever to the City. Damage due to acts of God or from sabotage and/or vandalism are specifically excepted from the guarantee City shall provide Contractor with written notice and a request for repair- when defective material and/or workmanship are discovered. In the event that Contractor fails to repair such defects within five days of being notified by the City, the City is hereby authorized to proceed and have the defects repaired and replaced at the expense of the Contractor. Contractor hereby agrees to pay the actual cost and charges of all labor and materials required to repair all defects in materials or workmanship In emergencies demanding immediate attention, City shall have the right to repair all defects in material and/or workmanship, and charge the Contractor with the actual cost of all labor and material required therefor." 12720-0002\119924ov2 doe b. Section 18 ("Warranty Service") of the Exhibit E of the Amended Contract is hereby deleted in its entirety 7. Section 23A ("Continuing Obligation") is hereby added to Article 3 ("Insurance, Indemnification and Bonds") of the Amended Contract to read: "Section 23A. Continuing Obligation All bonds and insurance specified in this Contract shall be kept current. At least fifteen (1 S) days prior to the expiration of any insurance or bond required by this Contract, Contractor shall provide evidence that the bond or insurance has been renewed or extended." 8 Section 20 ("Traffic Control") of the Exhibit E of the Amended Contract is hereby deleted in its entirety 9. Except as expressly modified by this Amendment, all provisions of the Amended Contract shall remain in full force and effect 10. This Amendment is executed in duplicate originals, each of which is deemed to be an original for all purposes. 11 The provisions of this Amendment shall constitute the entire agreement of the parties with respect to the subject matter included in this Amendment and shall supercede any other agreement, understanding, or arrangement, whether written or oral, between the parties with respect to the subject matter of this Amendment 12 The person or persons executing this Amendment on behalf of each of the parties warrants and represents that he or she has the authority to execute this Amendment on behalf of that party and has the authority to bind that party to the performance of its obligations hereunder. Republic inspects and maintains 41 traffic signals in the City of Vernon and repairs/replaces damaged or non-functioning equipment at the traffic signals. The repairs include the replacement of failed components and the repair and replacement of damaged traffic signal equipment occurring on any date or at any time of day. All emergency calls to repair and restore a traffic signal to normal function are also completed by Republic. Republic maintains trained technicians on call 24 hours a day 7 days a week and the response time is one hour. During 2010, Republic has responded quickly and effectively to the emergency calls and has adequately maintained the traffic signals in the City of Vernon. Republic has requested an extension of their contract for another year. The contract allows for a rate adjustment of 75% of the Consumer Price Index (CPI) for the year. This year the CPI is -0.4% which equates to a cost of approximately $300 for the year. The contract is silent if the CPI is negative. Republic proposes to continue to provide traffic signal services for the same unit costs as in 2009. According to the original contract executed in 2004, the City of Vernon may extend the contract through a written agreement of both parties. It is recommended that the contract as amended be extended for an additionalyear effective February 1,' 2011 through January 31, 2012. Fiscal Impact: The costs for traffic signal maintenance of the traffic signals in the City of Vernon are budgeted in the Street Operations -Public Works portion of the budget. The approved budget for 2010-11 is $110,000.00 and was increased of a not to exceed amount of $40,000.00 for a total of $150,000.00. It is recommended that a new purchase order be issued for $110,000 to cover the contract period. Recommendation: It is recommended that the City Council approve the extension of Amendment No. 5 to the Traffic Signal Maintenance Contract with Republic Intelligent Transportation Services, Inc. to provide traffic signal maintenance services for the City of Vernon for a one year period commencing February 1, 2011.
