Resolution No. 2010-141RESOLUTION NO. 2010-141 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON ORDERING THE SUMMARY VACATION OF PUBLIC SERVICE EASEMENTS WITHIN THE CITY OF VERNON AND APPROVING AND AUTHORIZING THE. EXECUTION OF QUITCLAIM DEEDS TO MARS PETCARE US, INC. FOR SUCH EASEMENTS WHEREAS, Mars Petcare US, Inc. ("MARS") has requested the City of Vernon (the "City") to vacate.certain public service easements more particularly described in Exhibit A, attached hereto and incorporated herein by reference (the "Easements"), that are located within the City of Vernon; and WHEREAS, Section 8333 of the California Streets and Highways Code authorizes the City of Vernon to summarily vacate public service easements that have not been used for the purpose for which they were dedicated or acquired for five consecutive years immediately preceding the proposed vacation; and WHEREAS, the City reserved and excepted the Easements from the vacations authorized by Resolution Nos. 5511 and 8570, adopted on August 23, 1988 and November 17, 2004, respectively; and WHEREAS, the City has not used the Easements for the purposes for which they were reserved since 2004; and WHEREAS, by memorandum dated September 21, 2010, the Director of Community Services has recommended that the City vacate the Easements and execute quitclaim deeds in order to facilitate the transfer of the City's rights, title, interests and claims in the Easements to MARS (the "Deeds"). NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby orders the summary vacation of the Easements pursuant to Chapter 4, Article 1, Part 3, Division 9 of the California Streets and Highways Code (Section 8330 et seq.). SECTION 3: The City Council of the City of Vernon hereby approves the Deeds, copies of which are attached hereto as Exhibit B. SECTION 4: The City Council .of the City of Vernon hereby authorizes the.Mayor or Mayor Pro-Tem to execute the Deeds for, and on behalf of, the City of Vernon and the City Clerk or Deputy City Clerk are hereby authorized to attest thereto. SECTION 5: The City Council of the City of Vernon hereby authorizes the City Administrator, or his designee, to take whatever actions are deemed necessary or desirable for the purpose of implementing and carrying out the purposes of this Resolution and the actions herein approved or authorized. SECTION 6: The City Clerk of the City of Vernon shall cause a certified copy of this resolution, attested by the clerk under seal, to be recorded without acknowledgment, certificate of acknowledgment, or further proof in the Office of the Los Angeles County Recorder. Upon such recordation, the summary vacation of the Easements shall be complete. SECTION 7: The Easements shall no longer constitute public service easements from and after the date this resolution is recorded pursuant to Section 6. 2 SECTION 8: The City Clerk of the City of Vernon shall certify to the passage, approval and adoption of this resolution, and the City Clerk of the City of Vernon shall cause this resolution and the City Clerk's certification to be entered in the File of Resolutions of the Council of this City. The easements that were reserved in or by the proceedings leading to the vacation of that certain alley, shown and dedicated on the map of Tract 60.56, recorder in Book 74, Page 33 which lies northerly of and adjoins the northerly lines of Lots '74 through 79 and Lots 82 through 90, inclusive of said tract, as vacated by Board No. 22 of April 12, 1962 of the Board of Supervisors, dated April 12, 1962, a certified copy of which was recorded April 17, 1962, in Book M993, Page 631, as instrument No. 4522, of the Official Records of the County of Los Angeles, State of California. 2. The easements located within Packers Avenue and 45t' Street, in each case between Alcoa Avenue and the alley east of Lots 52, 53, and 110 of Tract No. 6056, recorded in Book 74, Page 33 of Maps in the Office of the County Recorder of Los Angeles, State of California (the "Official Records"), and as shown and described in that certain document entitled "Interlocutory and Final Order of Condemnation, No. 906'147" recorded November 22, 1967, as Instrument No. 3130 (the "Order"), of the Official Records, excepting and reserving therefrom the City's right, title, interest and claim in (a) the portion of such easements located east of the easterly lines of Lots 12, 52, 53 and 110 of Tract No. 6056 and (b) the portion of such easements located in the northerly half of 45th Street adjoining Lots 73 109 and 110 of Tract No. 6056. 3. The easements over certain real property which was reserved in Resolution No. 2698 recorded June 20, 1968, as Instrument No. 2020 of the Official Records of the County of Los Angeles, State of California (the "Official Records"), and partially vacated by Resolution No. 5048, recorded October 13, 1983, as Instrument No. 83-1209132, of the Official Records. 4. The easements over certain real property which was reserved in Resolution No. 5511 recorded October 19, 1988 as Instrument No. 88- 1677769, of the Official Records of the County of Los Angeles, State of California (i) reservations and easements for public utilities, installation and maintenance purposes only, over that certain portion of the real property (ii) the access easements for firefighting equipment and for fire protection purposes over that certain portion of the real property. 5. The easements over certain real property which was reserved in' Resolution No. 5511 recorded October 19, 1988 as Instrument No. 88- 1677769, of the Official Records of the County of Los Angeles, State of California, excepting and reserving therefrom (i) those certain easements for public utilities, installation, and maintenance purposes in Forty -forth Street, (ii) access easements for firefighting equipment and for fire -inspection purposes in Forty-fourth Street, and (iii) access easements for fire fighting equipment and for fire inspection purposes on that portion of Forty-fifth Street abutting the south property lines of Lots 73 through 79 of Tract No. 79 of Tract No. 6056 and abutting the north property lines of Lots 66 through 72 of Tract No. 6056, and the City of Vernon acknowledges that any and all fees owed to the City in.connection with the Agreement have been paid or otherwise fully satisfied. 6. The easements over certain real property was acquired by virtue of a Quitclaim Deed executed September 22, 1988 and recorded October 28, 1988, as Instrument No. 88-1742408, of the Official Records of the County of Los Angeles, State of California. 7. The easements over certain real property was acquired by virtue of a Quitclaim Deed dated November 22, 2004 and recorded, December 23, 2004 as Instrument No. 04-3329132, of the Official Records of the County of Los Angeles, State of California. 8. (MARS) owns the property generally bounded on the north by 44"' Street (vacated), the west by Alcoa Avenue, the east by Downey Road and the south by Packers Avenue. The City currently has rights to several easements that cross the Mars property. Mars is requesting that the City quitclaim the rights to certain portions of those easements to enhance the development potential of the property. These streets and alleys were originally dedicated for public use by the subdivision map of Tract No. 6056 in the County of Los Angeles dated July 30, 1923. Subsequently Mars (formerly Kai Kan Foods, Inc.) has obtained title to the majority of the property in this tract and requested that the City vacate the streets to the property to enhance development of the site. On April 12, 1962, by Board Order No. 22 the County of Los Angeles vacated certain alleys in the Mars property. On February 1, 1966 by Resolution No. 2813, the City annexed the Packers island which contains the Mars property. On October 6, 1983, the City Council by Resolution No. 5048 vacated public utility rights located in the Mars property, On August 23, 1988, by Resolution No. 5511, the City of Vernon vacated portions of 44`�' and 45`" Streets between Alcoa Avenue and Downey Road. On November 17, 2004, by Resolution No. 8570, the City vacated Packers Avenue between Alcoa Avenue and the alley 120 feet west of Downey Road. Within these streets and alleys the City continued to maintain easement rights for utility and fire access purposes. The City deeded all other property rights to Mars Petcare US, Inc. (MARS). Mars is now requesting that the City of Vernon quitclaim all it's easement rights to any alley within their property, fire access rights, on the portion of fonner 45"' Street east of the Los Angeles Department of Water and Power (LADWP) right of way to the alley 120 feet west of the west line of Downey Road and fire access rights in Packers Avenue fi-om Alcoa Avenue to the west line of the west line of the LADWP right of way and utility easement rights in 45"' Street and Packers Avenue fi-om Alcoa Avenue to the alley west of Downey Road. A review of engineering records and field verification by the City's Light and Power, Water, Gas, and . Community Service Department has been completed to verify that the City owned utilities in the subject area have been abandoned. In addition, the Fire Department has verified that the fire access road on 45"' Street from the LADWP to the east line of to the alley west of Downey Road and on Packers Avenue from Alcoa Avenue to the west line of the LADWP right of way are no longer necessary. It is therefore recommended that the City Quitclaim City Rights as follows: 1) Quitclaim utility rights in Packers Avenue. 2) Quitclaim utility rights in 45g' Street 3) Quitclaim fire access rights in 45"' Street from the east line of LADWP right of way to the west line of the alley west of Downey Road. 4) Quitclaim fire access rights in Packers Avenue from Alcoa Avenue to the west line of the LADWP right of way. 5) Quitclaim all rights in the vacated alleys of Tract No. 6065. 6) Quitclaim all electrical transmission and distribution lines easement rights in 45th Street and Packers Avenue gained from Southeast California Edison final Conservation Order November 2, 1967. Specifically it is recommended that: 1) Quitclaim deed, attached at Exhibit "1" and shown on Exhibit "2" be approved. This deed referred to as Exception 26, quitclaims the City's interests reserved in that certain alley, shown and dedicated on Tract No. 6056 recorded in Book 74 and 73 which lies northerly of lots 74 through 79 and 82 through 90 inclusive and the northerly half of lots southerly of lots 91 and 108. 2) Quitclaim Deed attached as Exhibit "3" and shown on Exhibit "4" be approved. This deed referred to as exception 30, quitclaims a portion of the City electrical transmission and distribution facilities rights gained :in final order of Condemnation No. 906 from Southern California Edison in Packers Avenue and 45"' Street between Alcoa Avenue and the alley east of lots 52, 53, and 116 of Tract No. 6065. 3) Quitclaim Deed attached as Exhibit "5" and shown on Exhibit "6" be approved.
