RESOLUTION NO. 2010-191 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON AUTHORIZING THE ISSUANCE OF A PURCHASE ORDER FOR THE UPGRADE AND MAINTENANCE OF THE E911 SYSTEM FOR THE POLICE DEPARTMENT WHEREAS, on October 20, 2004, the City Council of the City of Vernon adopted Resolution No. 8554 approving an Equipment Purchase and Professional Services Contract, in form, with Zetron, Inc. ("Zetron") for the purchase of three new Zetron E9-1-1 Systems with Computer Telephony Integration and Radio Dispatch workstations (collectively the "Equipment"); and WHEREAS, on February 2, 2005, the City Council of the City of Vernon adopted Resolution No. 8668 rescinding Resolution No. 8554 and authorizing the issuance of a purchase order for the Equipment under the terms and conditions of Contract No. DGS-0026-10; and WHEREAS, the State of California has provided a Sample Purchase Order for the upgrade and maintenance of the Equipment under Contract No. 5-06-58-19 (the "Contract"), a copy of which is attached hereto as Exhibit A; and WHEREAS, the City of Vernon has been given the opportunity to upgrade the Equipment under the Contract in accordance with Zetron's Quotation dated October 22, 2010, which includes a Statement of Work Schedule, a copy of which is attached hereto as Exhibit B; and WHEREAS, by memo dated November 29, 2010, the Interim Chief of Police has recommended that a purchase order be issued for the upgrade and maintenance of the Equipment; and WHEREAS, the City Council of the City of Vernon desires to approve the purchase of the Equipment from Zetron by the issuance of a purchase order for the sum of One Hundred Nineteen Thousand Fifty -Six Dollars and Ninety -Seven Cents ($119,056.97), which includes sales tax. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS:. SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby authorizes the Purchasing Agent, or his designee, to purchase the Equipment from Zetron under State of California Contract No. 5-06-58-19 by issuance of a purchase order and authorizes the Purchasing Agent, or his designee, to sign and deliver any and all documents necessary in connection therewith for, and on behalf of, the City of Vernon. SECTION 3: The City Clerk of the City of Vernon shall certify to the passage, approval and adoption of this Resolution, and the City Clerk of the City of Vernon shall cause this Resolution and the City Clerk's certification to be entered in the File of Resolutions of the Council of this City. This S.O.W. is delivered in conjunction with a system proposal prepared by Zetron. This document separates tasks to be performed by Zetron; by Hi -Desert Communications acting as SUBCONTRACTOR, and the CUSTOMER. This Statement of Work may reference other documents as part of a contract between CUSTOMER and Zetron. In all cases, the most recent Statement of Work (by date below) will be considered the "working" document for the construction of this communications system. Destination Change Order Procedure _T Formal Change Order See Statement of Work Pricing Validity 90 Days from the Proposal Due Date Project Management Project management is an ongoing activity required by all parties for successful integration of the proposed equipment. Zetron will assign a- primary Project Manager who will develop and manage the project plan. SUBCONTRACTOR will provide secondary, on -site project management under the direction of the Zetron ;PM. The CUSTOMER will be required to provide a single point of contact for the implementation of this contract. These project managers will be responsible for contract administration, --scheduling,and-monitorintheir-respective• - • - ----- g progress of -the assigned deliverables of organizations_- _-- Formal communications are to be channeled through the project managers with direction provided by the Zetron PM. SOW Dated: 7/7/2010 , (ZETRONJ Vernon Police Department Exhibit A - Statement of Work Project Kick -Off Meeting A project kick-off meeting will be scheduled before installation of the system begins. This meeting is a working session which uses the Zetron Statement of Work and price quotation, the Zetron Site Survey Form and other pertinent documents as the basis for fully developing the implementation plan. Contract clarification and amendment procedures will be reviewed and a formal process will be implemented for communicating any and all information which clarifies the contract. During the meeting, Zetron, its agents (SUBCONTRACTOR) and the CUSTOMER will finalize the implementation schedule. At the conclusion of the meeting, all tasks will have been clearly defined, with all parties understanding what is expected of them. Site Development / Installation Site Survey Form The SUBCONTRACTOR shall be responsible for outlining on the Site Survey Form provided, any site deficiencies or any impediments to system installation that must either be corrected at a cost, or corrected by the Customer. These modifications shall become action items in the Zetron Project 'lanagement Plan, .and could become pivotal elements in the Project Schedule. Building/Construction Permits and Licenses Zetron and its subcontractors will not be responsible for any permits, licenses, or applications for the same. Zetron will supply the CUSTOMER with information regarding this system that is required to complete the permit and license applications. No engineering or licensed_ professional engineering certifications are included with this proposal, and would be considered and dealt with as change orders to the original scope of work. This includes, but is not limited to: electrical, heating, ventilation, cooling, plumbing, structural, environmental, and seismic, etc. Zetron does not include or accept any responsibility for changes in the scope of work that might be required by any city, county, or state of California permit approval agency that would impact either the permit application process or the actual work to be completed as outlined. Any such changes or upgrades of pre-existing conditions identified as required to meet current city, county, state or other applicable codes will be considered as changes in the original Statement of Work and dealt with as a change order. Zetron's SUBCONTRACTOR is responsible for the required business and contractor's licenses in the state of California, and to ensure that employees handling electrical wires are properly licensed by the State for the specific task. SOW Dated: 7/7/2010 2 (ZETRONJ Vernon Police Department Exhibit A - Statement of Work Floor Layout It is the responsibility of the CUSTOMER to provide appropriate space to house the fixed console and telephone equipment. No work will proceed without CUSTOMER's written approval of equipment placement. The Site Survey form shall outline any obvious space deficiencies that must be corrected by the CUSTOMER prior to system installation. Electrical Wiring / Circuits All of the equipment in this system has been designed to operate on 120VAC/60Hz commercial power. It is the responsibility of the CUSTOMER to provide adequate, dedicated, AC power and surge suppression devices (if applicable) for each Console location, and the common control equipment. All outlets for the Zetron Equipment must be installed within six (6) feet of the proposed equipment installation locations. Outlets for the common control equipment are to be installed in the equipment cabinets, or directly above. A common point ground connection will be required for electrical bonding and lightning protection in the common control equipment room. This connection should be low impedance to ground (less than 5 Ohms), with #6 AWG conducting wire minimum, and few if any wire bends to a grounding rod or building ground grid. If overhead locking receptacles are used for equipment power, it will be the responsibility of Zetron's SUBCONTRACTOR to supply and install, UL approved locking plugs for the multiple outlet AC surge protector power cords. .Any deficiencies in the electrical requirements will be outlined as CUSTOMER responsibility in the Site Survey document as part of this Statement of Work. Telephone Line Levels Customer's dedicated telephone circuits must meet industry standards for signal-to-noise and line levels. The Customer is -responsible, through the services of a local telephone company to -deliver such circuits to the Zetron equipment within these tolerances. In the event circuit levels are found to be below acceptable specification, Zetron notify the Customer, and temporarily disconnect the equipment until such time as the deficiencies are corrected. Zetron may charge time and materials costs to work with the telephone company to correct such deficiencies as such efforts are outside the scope of this project. fresh Air -Ventilation Air -Conditioning Zetron does not take responsibility for building ventilation, heating, or air-conditioning at any equipment location. Adequate ventilation and temperature control must be provided. SOW Dated: 7/7/2010 3 (ZETRON ® Vernon Police Department Exhibit A - Statement of Work Equipment Delivery Zetron will arrange for delivery of all equipment to either the EQUIPMENT SUBCONTRACTOR'S maintenance location, or the CUSTOMER location, depending on established implementation plan. Equipment Inventory and Safety It will be the responsibility of Zetron's SUBCONTRACTOR, to inventory the equipment as it arrives, and compare items received with a list supplied by Zetron. Equipment errors or product damage will be reported immediately to Zetron. Zetron will expedite any late or missing equipment or software. Zetron's SUBCONTRACTOR will be responsible for the safety of the equipment, should it be stored at their facility. Equipment in transit to the customer's designated locations, or any other storage/service facility will be the responsibility of the party carrying the equipment. Equipment ownership responsibility transfers to the customer once it is delivered to the CUSTOMER. Modifications / Change Orders Once the contract, which includes this Statement of Work, is approved and signed by authorized representatives of both the CUSTOMER and Zetron, a formal change order procedure will become effective. Zetron's project manager will be the individual authorized within Zetron's team to implement the change order process, regardless of how small such changes may be. Of importance will be the appearance of the overall installation; neat and orderly cable runs, and where applicable, square, level, and plumb equipment. SUBCONTRACTOR Deliverables Equipment Installation Zetron's SUBCONTRACTOR, will be responsible for the following tasks as part of the installation process: On -Site Secondary Project Management/Track Equipment Inventory — As part of the responsibility as Secondary (On -Site) Project Manager, will make sure that all hardware and software is received on time to meet Installation time line. Expedite Late or Missing Equipment - Zetron will notify SUBCONTRACTOR of equipment delays as they occur. Zetron will expedite any late or missing equipment or software. Install Common Control Equipment — Install controller equipment. Install Console positions in customer provided furniture per standard cabling practices. Install telephone connections and punch down lines. Install cabling from common equipment room to console positions. Upon common control equipment installation, the equipment will be checked for proper operation, and measurements will be recorded for future reference. Provide all required test equipment. Racks, Cables and Labels — Customer racks will be used where available, otherwise Subcontractor will provide necessary racks. Station cables and other extraneous cables required (if necessary per site survey) must be supplied. All cables will be cut and -labeled with to/from information to clarify interconnection. Complete Connectorization of Sub -Systems - All equipment cables will be connectorized. Repair or Replace DOA's — SUBCONTRACTOR will coordinate the replacement of defective equipment. Load Application Parameters on all Equipment -Program the database on the pre -loaded application_ softwareandadjust system -operating parameters for -customer specific requirements. - - - -- Assign proper network addresses and test features and system functionality. Repair Response — Per the State of California 9-1-1 Equipment Contract DGS-0026, Major Failure: Remote/On-Site Response: A Factory trained technician must respond via on -site modem access within 1 hour of major failure report. Within that same 1 hour period, the repair technician must contact the PSAP via telephone, informing them of the nature of the failure and the estimated time of repair. In the event remote repair cannot be achieved, a factory trained technician must report on -site within three hours of the original repair call. Direct On -Site Response: A factory trained technician must respond on -site with the spare parts/software likely required, within 2 hours of notification in order to diagnose and commence repair. Within 2 hours, or less, the responding technician must notify the PSAP as to the nature of the problem and the estimated time for repair. Minor Failure: Any hardware, software, or circuitry failure that prevents normal operation of any feature in the system. Remote/On-Site Response: A factory trained technician must respond on -site via modem within 12 hours, and notify the PSAP within that same 12 hour period of the nature of the problem and approximate time for resolution. If remote repair is unachieved, a factory trained technician, or a technician with verbal access to a factory trained technician shall respond on -site within 24 hours with the hardware/software likely necessary to return the system to normal status. Project Schedule After the receipt of the system purchase order, Zetron will provide the CUSTOMER with a detailed project schedule. Spares Zetron shall provide critical spares as required by the State of California contract. Manuals Zetron will supply one (1) set of system manuals. User Training Training will include the following elements: • A (3) three hour Integrator 9-1-1 training classes for up to four people each (Max 2 per w/s). • A train -the -trainer class if requested by the CUSTOMER • A System administration component will be provided for necessary individuals after completion of the User Training classes. Zetron encourages a train -the -trainer approach; however, all individuals shall be trained regardless of the customer's approach. Operation training covers basic system operation and communication tasks using the system; a train -the -trainer session would provide an additional workshop -style session to ensure trainer -level understanding. After completing this course, attendees should have the skills necessary to use the features of the Integrator 9-1-1 software. If Zetron delivers a train- --the-trainer session as- well, -trainees-will -have sufficient knowledgelo be -able to explain the systems - - - --- features and functions to other operators / dispatchers. Zetron will provide materials in the form of standard product manuals and other handouts; in addition, we will provide electronic (Microsoft PowerPoint) files of slides used in class. Zetron only instructs on the operation of Zetron equipment; we will not train on standard industry dispatching or teaching practices. Equipment If the CUSTOMER provides PCs, they must meet or exceed the Zetron's minimum specifications. CUSTOMER will ship PC's to Zetron for configuration. Personnel Zetron requires CUSTOMER to make available one person to act as project manager during system -implementation. This person will act as the interface to Zetron and SUBCONTRACTOR project managers, and be responsible for decisions that will need to be made for CUSTOMER. The CUSTOMER's Project Manager will approve the training plan and assist with any Customer requirements associated with that training. The Project manager will also witness the field demonstration of the completed system, and provide for system sign -off on acceptance. Electrical It is the responsibility of CUSTOMER to provide adequate electrical power. The CUSTOMER will also provide an Uninterruptible Power Supply (UPS) source, if desired, and all surge protection devices as required. Installation space CUSTOMER will provide adequate rack floor space for equipment proposed by Zetron. Move and removal of old equipment CUSTOMER will be required to secure the support of their current vendor in moving the -existing equipment should it be necessary for the proper installation of the new Zetron hardware. Telephone Line CUSTOMER will provide a standard telephone line or dialable PBX extension -in -the vicinity of -the equipment rack to be used for installation purposes and remote diagnostics. Zetron's sub- contractor will be responsible for connection of the circuits from the telephone company's demarcation point to the Zetron equipment. Facilities and Access Keys or on -site access to the equipment rooms, cabling installation areas, are to be provided as required by Zetron and its subcontractors. The access hours are to be negotiated between CUSTOMER and SUBCONTRACTOR. Interface Requirements CUSTOMER is responsible for any costs incurred by the CAD manufacturer for modifications they may have to make to address the Zetron NENA-compliant CAD interface. Any unique interface requirements, not covered by the Site Survey Form, shall also be the responsibility of CUSTOMER. Headset Interface Requirements CUSTOMER is responsible for any'radio/telephone headset interface device required. The radio vendor generally provides such interface device which is compatible with their radio system. Zetron will provide the necessary voice path connections to such device. Database Configuration Files CUSTOMER is responsible' for obtaining all current configurations used in their existing communication system that may be utilized in the Zetron communications system. The information includes, but is not limited to: Alias dial lists, speed dial lists, paging tones and codes, Opensky talk - groups and ID's, site locations and frequencies and individual signaling databases (as applicable). Database Entry Requirements CUSTOMER is responsible for creating large database files. Customer will provide staff to input databases in excess ,of 100 entries per file. Zetron will participate in the instruction process required to allow the assigned' individual to properly, input these databases. The effort will include, -but is not limited to: Alias dial lists, speed dial lists, paging tones and codes, Opensky talk -groups and ID's, individual signaling databases (as applicable). SOW Dated:7/7/2010 12 (KET R 0 N System Acceptance Vernon Police Department Exhibit A - Statement of Work Upon completion of the system installation, a visual inspection/system test will be performed by SUBCONTRACTOR's project manager and witnessed by a representative of the CUSTOMER. The system test will serve as confirmation that the installation process is complete, and that Zetron has delivered a working system. Each portion of the acceptance test will be marked as either passed or failed. When a test point has passed, it will not be tested again. Failed test points will be corrected and then re -tested. The correction/re-testing process will take place until all points show as passed. On any portion of the test that cannot be completed due to circumstances not under the control of Zetron or its subcontractors, Zetron will allow a 1 week delay for that portion of the test. At the end of the 3 weeks, Zetron reserves the right to alter that portion of the test, or default to "passed". When the acceptance test is complete (all points passed), and the required 240 hour acceptance period has elapsed with no significant outage, the Customer agrees to complete the State Contract Form TD 284, the "9-1-1 Service and Equipment Acceptance and Authorization Form". The cost to upgrade the current Zetron equipment and extend the maintenance for the system is $119,056,97. The State of California Chief Information Officer Public Safety Communications Division (PSCD) has allotted the Police Department $240,000.00, to cover the cost for the E911 system upgrade and maintenance for the next five (5) years. BACKGROUND The State of California Chief Information Officer Public Safety Communications Division (PSCD) provides funding to public safety answering points (PSAPs) for the purchase of E911 equipment and related maintenance support in five year increments. In December 2005, the police department used the funding provided by PSCD to replace both the E911 and radio dispatch equipment with the Zetron E911 Computer Telephony Integration and Radio Dispatch workstations. The Zetron system has been in operation since the replacement in 2005 and is functioning well. ANALYSIS Since the State PSCD five year cycle for funding of replacement and/or upgrade of E911 equipment is scheduled to begin December 2010, we examined other E911 systems to determine whether other systems provided enhanced capabilities compared to our current Zetron system. We considered several of the vendors approved by the State PSCD providers of E911 systems. We examined E911 systems manufactured by Positron Power 911, PlantCML Patriot, Vesta Pallas, and the Zetron E911 system. After evaluating all E911 system capabilities / functionalities and comparing them with our current Zetron system, we found that most E911 systems offered similar capabilities provided by our current Zetron E911 system. Since Communications Center staff is proficient with the use of the Zetron E911 and radio dispatching system, including the Zetron Fire Station Alerting system, we believe it is best at this point to upgrade the current Zetron E911 system rather than switching to an entirely different system. The Zetron E911 system is functioning properly and meets the requirements for State mandated E911 systems. RECOMMENDATION Based on the available funding by the State PSCD, I recommend City Council approve the upgrade of the Zetron E911 system. The upgrade will not only enhance the E911 system but it will allow for continued maintenance and support of the system for the next five years with funding provided by PSCD. The current Zetron E911 system equipment has been in use for the last five years and is due for an upgrade and replacement of necessary equipment given the 24/7 use. In addition, since the proposed upgrade of the Zetron E911system and maintenance is less than the allotted amount, the State PSCD program allows for the use of any residual funds for the purpose of updating and/or upgrading certain (pre -approved) equipment within the E911 Communications Center. Once the E911 system upgrade is complete, we will evaluate the Communications Center equipment needs to determine whether residual funds can be used to replace any aging equipment. FISCAL IMPACT As previously mention the State PSCD has allotted the police department $240,000.00, for the E911 system upgrade. Since the police department selected a vendor from the State Master Purchasing Agreement (MPA) list, billing and payment for the E911 system upgrade will be conducted directly from the vendor to the State PSCD. For this purchase the City will not be required to front the funds as is the case with other reimbursable programs. This S.O.W. is delivered in conjunction with a system proposal prepared by Zetron. This document separates tasks to be performed by Zetron; by Hi -Desert Communications acting as SUBCONTRACTOR, and the CUSTOMER. This Statement of Work may reference other documents as part of a contract between CUSTOMER and Zetron. Zetron will assign a primary Project Manager who will develop and manage the project plan. SUBCONTRACTOR will provide secondary, on -site project management under the direction of the Zetron PM. The CUSTOMER will be required to provide a single point of contact for the implementation of this contract. These project managers will be responsible for contract administration, scheduling, and monitoring progress of the assigned deliverables of their respective organizations. Formal communications are to be channeled through the project managers with direction provided by the Zetron PM. SOW Dated: 7/7/2010 1 (ZETRON) Vernon Police Department Exhibit A - Statement of Work Project Kick -Off Meeting A project kick-off meeting will be scheduled before installation of the system begins. This meeting is a working session which uses the Zetron Statement of Work and price quotation, the Zetron Site Survey Form and other pertinent documents as the basis for fully developing the implementation plan. Contract clarification and amendment procedures will be reviewed and a formal process will be implemented for communicating any and all information which clarifies the contract. During the meeting, Zetron, its agents (SUBCONTRACTOR) and the CUSTOMER will finalize the implementation schedule. At the conclusion of the meeting, all tasks will have been clearly defined, with all parties understanding what is expected of them. - Site Development / Installation Site Survey Form The SUBCONTRACTOR shall be responsible for outlining on the Site Survey Form provided, any site deficiencies or any impediments to system installation that must either be corrected at a cost, or corrected by the Customer. These modifications shall become action items in the Zetron Project Management Plan, and could become pivotal elements in the Project Schedule. Building/Construction Permits and Licenses Zetron and its subcontractors will not be responsible for any permits, licenses, or applications for the same. Zetron will supply the CUSTOMER with information regarding this system that is required to complete the permit and license applications. No engineering or licensed professional engineering certifications are included with this proposal, and would be considered and dealt with as change orders to the original scope of work. This includes, but is not limited to: electrical, heating, ventilation, cooling, plumbing, structural, environmental, and seismic, etc. Zetron does not include or accept any responsibility for changes in the scope of work that might be required by any city, county, or state of California permit approval agency that would impact either the permit application processor the actual work to be completed as outlined. Any such changes or upgrades of pre-existing conditions identified as required to meet current city, county, state or other applicable codes will be considered as changes in the original Statement of Work and dealt with as a change order. Zetron's SUBCONTRACTOR is responsible for the required business and contractor's licenses in the state of California, and to ensure that employees handling electrical wires are properly licensed by the State for the specific task. SOW Dated: 7/7/2010 _ 2 CZETRON)� Vernon Police Department Exhibit A Statement of Work Floor Layout It is the responsibility of the CUSTOMER to provide appropriate space to house the fixed console and telephone equipment. No work will proceed without CUSTOMER's written approval of equipment placement. The Site Survey form shall outline any obvious space deficiencies that must be corrected by the CUSTOMER prior to system installation. Electrical Wiring / Circuits All of the equipment in this system has been designed to operate on 120VAC/60Hz commercial power. It is the responsibility of the CUSTOMER to provide adequate, dedicated, AC power and surge suppression devices (if applicable) for each Console location, and the common control equipment. All outlets for the Zetron Equipment must be installed within six (6) feet of the proposed equipment installation locations. Outlets for the common control equipment are to be installed in the equipment cabinets, or directly above. A common point ground connection will be required for electrical bonding and lightning protection in the common control equipment room. This connection should be low impedance to ground (less than 5 Ohms), with #6 AWG conducting wire minimum, and few if any wire bends to a grounding rod or building ground grid. If overhead locking receptacles are used for equipment power, it will be the responsibility of Zetron's SUBCONTRACTOR to supply and install, UL approved locking plugs for the multiple outlet AC surge protector power cords. Any deficiencies in the electrical requirements will be outlined as CUSTOMER responsibility in the Site Survey document as part of this Statement of Work. Telephone Line Levels Customer's dedicated telephone circuits must meet industry standards for signal-to-noise and line levels. The Customer is responsible, through the services of a local telephone company to deliver such circuits to the Zetron equipment within these tolerances. In the event circuit levels are found to be below acceptable specification, Zetron notify the Customer, and temporarily disconnect the equipment until such time as the deficiencies are corrected. Zetron may charge time and materials costs to work with the telephone company to correct such deficiencies as such efforts are outside the scope of this project. Fresh Air Ventilation, Heating, Air -Conditioning Zetron does not take responsibility for building ventilation, heating, or air-conditioning at any equipment location. Adequate ventilation and temperature control must be provided. Equipment Inventory and Safety It will be the responsibility of Zetron's SUBCONTRACTOR, to inventory the equipment as it arrives, and compare items received with a list supplied by Zetron. Equipment errors or product damage will be reported immediately to Zetron. Zetron will expedite any late or missing equipment or software. Zetron's SUBCONTRACTOR will be responsible for the safety of the equipment, should it be stored at their facility. Equipment in transit to the customer's designated locations, or any other storage/service facility will be the responsibility of the party carrying the equipment. Equipment ownership responsibility transfers to the customer once it is delivered to the CUSTOMER. SOW Dated: 7/7/2010 7 ZETRON Vernon Police Department Exhibit A - Statement of Work Installation Standards of Work All equipment provided for each site and the installation techniques used for that equipment will comply with industry Quality Standards. These standards are the measure by which Zetron defines a quality installation. SUBCONTRACTOR's project manager will be responsible for the compliance of these installation standards, and may request a change of any work not in accordance. Of importance will be the appearance of the overall installation; neat and orderly cable runs, and where applicable, square, level, and plumb equipment. SUBCONTRACTOR Deliverables Equipment Installation Zetron's SUBCONTRACTOR, will be responsible for the following tasks as part of the installation process: On -Site Secondary Project Management/Track Equipment Inventory — As part of the responsibility as Secondary (On -Site) Project Manager, will make sure that all hardware and software is received on time to meet Installation time line. Expedite Late or Missing Equipment — Zetron will notify SUBCONTRACTOR of equipment delays as they occur. Zetron will expedite any late or missing equipment or software. Install Common Control Equipment — Install controller equipment. Install Console positions in customer provided furniture per standard cabling practices. Install telephone connections and punch down lines. Install cabling from common equipment room to console positions. Upon' common control equipment installation, the equipment will be checked for proper operation, and measurements will be recorded for future reference. Provide all required test equipment. Racks, Cables and Labels Customer racks will be used where available, otherwise Subcontractor will provide necessary racks. Site Clean-up - All packing materials and construction debris will be removed from CUSTOMER property. Work area floors will be swept at the completion of each day's work: System Maintenance The SUBCONTRACTOR has been retained by Zetron to provide first level support to the CUSTOMER's Zetron-provided equipment, as required to meet the repair response timelines per California practice for maintenance services as described below. Repair Response - Per the State of California 9-1-1 Equipment Contract DGS-0026, Major Failure: Remote/On-Site Response: A Factory trained technician must respond via on -site modem access within 1 hour of major failure report. Within that same 1 hour period, the repair technician must contact the PSAP via telephone, informing them of the nature of the failure and the estimated time of repair. In the event remote repair cannot be achieved, a factory trained technician must report on -site within three hours of the original repair call. Direct On -Site Response: A factory trained technician must respond on -site with the spare parts/software likely required, within 2 hours of notification in order to diagnose and commence repair. Within 2 hours, or less, the responding technician must notify the PSAP as to the nature of the problem and the estimated time for repair. Minor Failure: Any hardware; software, or circuitry failure that prevents normal operation of any feature in the system. Remote/On-Site Response: A factory trained technician must respond on -site via modem within 12 hours, and notify the PSAP within that same 12 hour period of the nature of the problem and approximate time for resolution. If remote repair is unachieved, a factory trained technician, or a technician with verbal access to a factory trained technician shall respond on -site within 24 hours with the hardware/software likely necessary to return the system to normal status: Direct On -Site Response: A factory trained technician must respond on -site with the spare parts/software likely required, within 24 hours of notification in order to diagnose and commence repair. Project Management Zetron will provide Primary Project Management according to this Statement of Work. In order to reduce the overall cost to the Customer, it is Zetron's intent that this project management be performed remotely, with any on -site representation performed through our SUBCONTRACTOR or CUSTOMER individual project managers. Project Schedule After the receipt of the system purchase order, Zetron will provide the CUSTOMER with a detailed project schedule Spares Zetron shall provide critical spares as required by the State of California contract. Manuals Zetron will supply one (1) set of system manuals. User Training Training will include the following elements: • A (3) three hour Integrator 9-1-1 training classes for up to four people each (Max 2 per w/s). • A train -the -trainer class if requested by the CUSTOMER • A System administration component will be provided for necessary individuals after completion of the User Training classes. Zetron encourages a train -the -trainer approach; however, all individuals shall be trained regardless of the customer's approach. Operation training covers basic system operation and communication tasks using the system; a train -the -trainer session would provide an additional workshop -style session to ensure trainer -level understanding. After completing this course, attendees should have the skills necessary to use the features of the Integrator 9-1-1 software. If Zetron delivers a train - the trainer session as well, trainees will have sufficient knowledge to be able to explain the systems features and functions to other operators / dispatchers. Zetron will provide materials in the form of standard product manuals and other handouts; in addition, we will provide electronic (Microsoft PowerPoint) files of slides used in class. Zetron only instructs on the operation of Zetron equipment; we will not train on standard industry dispatching or teaching practices: SOW Dated: 7/7/2010 10 LETRON- Vernon Police Department Exhibit A - Statement of Work Customer Deliverables Contract Purchase Order Provide system purchase order with reference to Zetron Proposal and Statement of Work, dated 7/7/2010. Equipment If the CUSTOMER provides PCs, they must meet or exceed the Zetron's minimum specifications. CUSTOMER will ship PC's to Zetron for configuration. Personnel Zetron requires CUSTOMER to make available one person to act as project manager during system implementation. This person will act as the interface to Zetron and SUBCONTRACTOR project managers, and be responsible for decisions that will need to be made for CUSTOMER. The CUSTOMER's Project Manager will approve the training plan and assist with any Customer requirements associated with that training. The Project manager will also witness the field demonstration of the completed system, and provide for system sign -off on acceptance. Electrical It is the responsibility of CUSTOMER to provide adequate electrical power. The CUSTOMER will also provide an Uninterruptible Power Supply (UPS) source, if desired, and all surge protection devices as required. Installation space CUSTOMER will provide adequate rack floor space for equipment proposed by Zetron. Move and removal of old equipment CUSTOMER will be required to secure the support of their current vendor in moving the existing equipment should it be necessary for the proper installation of the new Zetron hardware: CUSTOMER shall be responsible for the final removal of old equipment. Telephone Line CUSTOMER will provide a standard telephone line or dialable PBX extension in the vicinity of the equipment rack to be used for installation purposes and remote diagnostics. Zetron's sub- contractor will be responsible for connection of the circuits from the telephone company's demarcation point to the Zetron equipment. Facilities and Access Keys or on -site access to the equipment rooms, cabling installation areas, are to be provided as required by Zetron and its subcontractors. The access hours are to be negotiated between CUSTOMER and SUBCONTRACTOR. Interface Requirements CUSTOMER is responsible for any costs incurred by the CAD manufacturer for modifications they may have to make to address the Zetron NENA-compliant CAD interface. Any unique interface requirements, not covered by the Site Survey Form, shall also be the responsibility of CUSTOMER Headset Interface Requirements CUSTOMER is responsible for any radio/telephone headset interface device required. The radio vendor generally provides such interface device which is compatible with their radio system. Zetron - will provide the necessary voice path connections to such device: Database Configuration Files CUSTOMER is responsible for obtaining all current configurations used in their existing communication system that may be utilized in the Zetron communications system. The information includes, but is not limited to; Alias dial lists, speed dial lists, paging tones and codes, Opensky talk - groups and ID's, site locations and frequencies and individual signaling databases (as applicable): Database Entry Requirements CUSTOMER is responsible for creating large database files. Customer will provide staff to input databases in excess of 100 entries per file. Zetron will participate in the instruction process required to allow the assigned individual to properly input these databases. The effort will include, but is not limited to: Alias dial lists, speed dial lists, paging tones and codes, Opensky talk -groups and ID's, individual signaling databases (as applicable). (�Z�ETRONJ Vernon Police Department Exhibit A - Statement of Work System Acceptance Upon completion of the system installation,a visual inspection/system test will be performed by SUBCONTRACTOR's project manager and witnessed by a representative of the CUSTOMER. The system test will serve as confirmation that the installation process is complete, and that Zetron has delivered a working system. Each portion of the acceptance test will be marked as either passed or failed. When a test point has passed, it will not be tested again. Failed test points will be corrected and then re -tested. The correction/re-testing process will take place until all points show as passed. On any portion of the test that cannot be completed due to circumstances not under the control of Zetron or its subcontractors, Zetron will allow a 1 week delay for that portion of the test. At the end of the 3 weeks, Zetron reserves the right to alter that portion of the test, or default to "passed". When the acceptance test is complete (all points passed), and the required 240 hour acceptance period has elapsed with no significant outage, the Customer agrees to complete the State Contract Form TD 284, the "9-1-1 Service and Equipment Acceptance and Authorization Form That completed form will be sent to the State of California Department of General Services, 9-1-1 Division, with a copy to the Zetron Project Manager who will initiate invoicing.
