A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON ACCEPTING THE BID OF GOSCH FORD LINCOLN
MERCURY ON BID NO. 1461 FOR THE PURCHASE OF TWO
2011 FORD CROWN VICTORIA POLICE INTERCEPTORS FOR
THE POLICE DEPARTMENT, APPROVING AND AUTHORIZING
THE EXECUTION OF A VEHICLE PURCHASE CONTRACT AND
THE ISSUANCE OF A PURCHASE ORDER RESPECTING SAID
BID
WHEREAS, on December 6, 2010, the City Council of the City of
Vernon adopted Resolution No. 2010-183 authorizing the City,s
participation in the Ford Municipal Finance Lease Purchase Program (the
"Program") for the purchase.of two police patrol vehicles for the
Vernon Police Department (the "Department,,); and
WHEREAS, as part of the approval process a credit application
was submitted to the Program but was denied in part because of current
legislation in the California Assembly to disincorporate the City; and
_--_ WHEREAS, bids for Bid.No. 1461 were received and opened on
January 26, 2011, and reviewed by the Police Department; and
WHEREAS, the Purchasing Department has recommended that Bid
No. 1461 be awarded to Gosch Ford Lincoln Mercury, the lowest
responsible bidder meeting the requirements of Bid No. 1461.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
awards Bid No. 1461 to Gosch. Ford Lincoln Mercury and accepts and
approves the Vehicle Purchase Contract, in substantially the same form
as the copy which is attached hereto as Exhibit A.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor or Mayor Pro-Tem to execute said Contract for,
.and on behalf of, the City of Vernon and the City Clerk or the Deputy
City Clerk is hereby authorized to attest thereto and authorizes the
issuance of a purchase order for the purchase of two 2011 Ford Crown
Victoria Police Interceptors pursuant to Bid No. 1461.
SECTION 4 The City Council of the City of Vernon hereby
authorizes the City Administrator, or his designee, to take whatever
actions are deemed necessary or desirable for the purpose of
implementing and carrying out the purposes of this Resolution and the
transactions herein approved or authorized.
SECTION 5: The City Council of the City of Vernon hereby
directs the City Clerk, or the City Clerk's designee, to send one
fully executed Contract to:

SECTION 6: All other bids in connection with Bid No. 1461
are rejected, subject to execution of the aforesaid contract document
from Gosch Ford Lincoln Mercury accompanied by all required

SECTION 7: The City Clerk of the City of Vernon shall
certify to the passage, approval and adoption of this resolution and
the City Clerk of the City of Vernon shall cause this resolution and
the City Clerk's certification to be entered in the File of
Resolutions of the Council of this City.

VEHICLE PURCHASE CONTRACT
THIS CONTRACT is made, entered into and executed in duplicate originals, either copy of
which may be considered and used as the original hereof for all purposes, as of this _ day of February,

WHEREAS, the City is in need of two 2011 Ford Crown Victoria Police Interceptors (the
"Vehicles") for its Police Department; and
WHEREAS, on or about January 6, 2011, the City issued Bid No. 1461 which sets forth
specifications for the new Vehicles required by ,the City; and
WHEREAS, on January 25, 2011, Gosch Ford responded to Bid No. 1461; and
WHEREAS, the City has accepted the bid of Gosch Ford which is attached hereto as
Exhibit "A" and incorporated herein by reference and desires to purchase the -Vehicles from Gosch Ford
NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
FORTH HEREIN;
1 • Purchase. Gosch Ford agrees to sell to the City two (2) 2011 Ford Crown
Victoria Police Interceptors, which meets the specifications 'contained in City of Vernon Bid No..1461,
dated on or about January 6, 2011, and which is consistent with Gosch Ford's Bid of January 25, 2011
(collectively, the "Bid Documents"), which is attached hereto as Exhibit "A."
2• Price. Consistent with its Bid, Gosch Ford agrees to sell and deliver, subject to
final inspection by the City, two (2) 2011,Ford Crown Victoria Police Interceptors for the total sum of
Forty -Seven Thousand Nine Hundred Seventy -One Dollars and Ninety -Five -Cents ($47,971.95),
including tax and final inspection.
3• Payment Terms. The City agrees to pay Gosch Ford a total of Forty -Seven
Thousand Nine Hundred Seventy -One Dollars and Ninety -Five Cents ($47,971.95), including tax, for
the purchase of the vehicles. Payment will be made within thirty (30) days net of receipt of the Vehicles.
4. Warranties. Gosch Ford shall provide, at a minimum, a three 3
p ()year factory
bumper -to -bumper warranty covering parts and labor to begin upon acceptance of the Vehicles by the
City. All manufacturers' warranties, and any other warranties made applicable by law, shall apply to the
City's purchase of the above -referenced Vehicles.
5. General Provisions.
A. Governing Law. The laws of the State of California shall govern the
rights, obligations, duties and liability of the parties to this Contract and shall also govern the
interpretation of -this Contract.
B. Notices. Notices to the parties, unless otherwise requested in writing,
shall be sent to:

6. Entire Agreement. This Contract is the entire agreement of the :parties, Gosch
Ford represents that in. entering into this Contract, it has not relied on any previous representations or
understandings of any kind or -nature.
7. Benefit of Agreement. This Contract shall bind and benefit the parties hereto
and their -heirs, successors, and permitted assigns.
8. Arbitration and Venue. Any dispute, claim or controversy arising out of or
relating to this Agreement or the breach, termination, enforcement, interpretation or validity thereof,
including the determination of the scope or applicability of this Agreement to arbitrate, shall be

determined by arbitration in Los Angeles, California. The arbitration shall be administered by JAMS
pursuant to its Streamlined Arbitration Rules and Procedures. The arbitrator shall be a retired judge. All
decisions of the arbitrator shall be in writing, and the arbitrator shall provide written reasons for their
decision. The arbitration decision shall be final and binding on the Parties. Judgment on the award may
be entered in any court having jurisdiction pursuant to this Agreement. This clause shall not preclude
Parties from seeking provisional remedies in aid of arbitration from a court having jurisdiction pursuant
to this Agreement. The exclusive jurisdiction and venue under this Agreement shall be the Superior
Court of California, Los Angeles County.
IN WITNESS WHEREOF, the parties have caused this Contract to be executed by and
through their authorized officers on the date, month and year first written above.

SPECIFICATIONS
GENERAL
The vehicles covered by this specification is for the purchase of two (2) 2011
Ford Crown Victoria Police Interceptor (CVPI) vehicles and shall be supplied as
specified from the manufacturers new, unused and latest model complete with all
necessaryequipment and accessories.
Financing will be conducted through Municipal Finance Program, the Ford Motor Credit Compan ,
The vehicles shall be delivered completely assembled and ready to operate. All
equipment normally furnished, as a standard shall be included. All separate units
or components shall be new, unused, installed connected and delivered in good
operating order.
The subject vehicles shall -conform in. all =respects and be equipped -to operate
legally on ;California State Highways as specified in the_Californ/a Motor Vehicle
Code. The vehicles shall meet all Califomia State and Federal safet i
emission standards when delivered to the City of Vernon. Y and
All bids submitted shall include sufficient associated literature as required to fully
describe and -deta# the items under - consideration. This should include
photographs, -performance -charts, -components list; -dimensional drawing etc.
The bidder shall clearly state any changes, s, exceptions . or substitutions of
equivalent egUipment/materials to these specifications
The successful bidder will arrange to demonstrate a similarly equipped 201
Ford Crown .Victoria Police Interceptor (CVPI), prior to purchase.
-Whenever materials or equipment are specified or described in the specifications
by -using the name of proprietary item or name of a particular manufacture,
fabricator, supplier of -distributor, the naming. of the item is intended to establish
the type, function and quality required. Unless the name is followed by words
indicating that no substitution is permitted, materials or equipment of other
manufacturers, fabricators, suppliers or distributors maybe accepted by the City
contractor to allow the Of Vernon if sufficient information is submitted prior to the purchase by the
City of Vernon to determine that the material or equipment
Proposed is equivalent to the named. The term "equivalent" as used in t

specification, means "authorized equivalent" and acceptance of the "equivalent"
is subject to the approval of the City of Vemon.
Warranties:
The manufacturers warranties on the vehicles and any added equipment shall -be
dellvered to the dty of Vernon without waiver by the city of any recourse under
California law.
Installation
No installation is needed on this bid.
Inspection
The bidder shall arrange for a pre -delivery inspection and right of refusal b the

Delivery Date

Any delay in the delivery shall be immediately reported in writing to the
purchasing agent with a copy to `the Police Department representative, Captain
Rodino. Any change in the original quoted delivery date is subject to

The City of Vemon reserves the -right to _cancel the purchase order -for .non -
Performance of delivery by the quoted date at no cost or obligation to the City of

Delivery
The vehicles shall be delivered to 4305 Santa Fe .Avenue, Vernon, California,
_90058. The vehicles shall be -ready for immediate and safe operation, having
had completed any necessary vehicle registration documentation. The invoice,
manuals must accompany delivery. Delivery shall be Monday — Thursday from
any necessary vehicle registration -documentation, -warranty information, and
0800 — 1400 and a forty --eight hour notice must be given to Captain Rodino.
This vehicle request is not a special order and should be the same type of
vehicles that are readily available to the general public.

1. WHEREAS, the City is in need of two 2011 Ford Crown Victoria Police Interceptors (the
"Vehicles") for its Police Department; and
WHEREAS, on or about January 6, 2011, the City issued Bid No. 1461 which sets forth
specifications for the new Vehicles required by the City; and
WHEREAS, on January 25, 2011, Gosch Ford responded to Bid No. 1461; and
WHEREAS, the City has accepted the bid of Gosch Ford which is attached hereto as
Exhibit "A" and incorporated herein by reference and desires to purchase the Vehicles from Gosch Ford.
NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
FORTH HEREIN:
1 • Purchase. Gosch Ford agrees to sell to the City two (2) 2011 Ford Crown
Victoria Police Interceptors, which meets the specifications contained in City of Vernon Bid No. 1461,
dated on or about January 6, 2011, and which is consistent with Gosch Ford's Bid of January 25, 2011
(collectively, the "Bid Documents"), which is attached hereto as Exhibit "A."
2. Price. Consistent with its Bid, Gosch Ford agrees to sell and deliver, subject to
final inspection by the City, two (2) 2011 Ford Crown Victoria Police Interceptors for the total sum of
Forty -Seven Thousand Nine Hundred Seventy -One Dollars and Ninety -Five Cents ($47,971.95),
including tax and final inspection.
3. Payrnent Terms. The City agrees to pay Gosch Ford a total of Forty -Seven
Thousand Nine Hundred Seventy -One Dollars and Ninety -Five Cents ($47,971.95), including tax, for
the purchase of the vehicles. Payment will be made within thirty (30) days net of receipt of the Vehicles.
4. Warranties. Gosch Ford shall provide, at a minimum, a three (3) year factory
bumper -to -bumper warranty covering parts and labor to begin upon acceptance of the Vehicles by the
City. All manufacturers' warranties, and any other warranties made applicable by law, shall apply to the
City's purchase of the above -referenced Vehicles.
5. General Provisions.
A. Governiniz Law. The laws of the State of California shall govern the
rights, obligations, duties and liability of the parties to this Contract and shall also govern the
interpretation of this Contract.
B. Notices. Notices to the parties, unless otherwise requested in writing,
shall be sent to:

6. Entire Agreement. This Contract is the entire agreement of the parties, Gosch
Ford represents that in entering into this Contract, it has not relied on any previous representations or
understandings of any kind or nature.
7. Benefit of Agreement. This Contract shall bind and benefit the parties hereto
and their heirs, successors, and permitted assigns.
8. Arbitration and Venue. Any dispute, claim or controversy arising out of or
relating to this Agreement or the breach, termination, enforcement, interpretation or validity thereof,
including the determination of the scope or applicability of this Agreement to arbitrate, shall be

determined by arbitration in Los Angeles, California. The arbitration shall be administered by JAMS
pursuant to its Streamlined Arbitration Rules and Procedures. The arbitrator shall. be a retired judge. All
decisions of the arbitrator shall be in writing, and the arbitrator shall provide written reasons for their
decision. The arbitration decision shall be final and binding on the Parties. Judgment on the award may
be entered in any court having jurisdiction pursuant to this Agreement. This clause shall not preclude
Parties from seeking provisional remedies in aid of arbitration from a court having jurisdiction pursuant
to this Agreement. The exclusive jurisdiction and venue under this Agreement shall be the Superior
Court of California, Los Angeles County.
IN WITNESS WHEREOF, the parties have caused this Contract to be executed by and
through their authorized officers on the date, month and year first written above.

SPECIFICATIONS
GENERAL
The vehicles covered by this specification is for the purchase of two (2) 2019
Ford Crown Victoria Police Interceptor (CVPI) vehicles and shall be supplied as
specified from the manufacturers new, unused and latest model complete with all
necessary equipment and accessories.
Financing will be conducted through the Ford Motor Credit Company
Municipal Finance Program,
The vehicles shall be delivered completely assembled and ready to operate. All
equipment normally furnished, as a standard shall be included. All separate units
or components shall be new, unused, installed connected and delivered in good
operating order.
The subject vehicles shall conform in all respects and be equipped to operate
legally oii ;California State Highways as specified in the,California Motor Vehicle
Code. The vehicles shall meet all Califomia State and Federal safety and
emission standards when delivered to the City of Vernon.
The successful bidder shall submit in detail a final draft of all s ecifications for
final approval by the City of Vernon and the Vernon Police Department pnor to
urchase.
All bids submitted shall include sufficient associated literature as required to fully
describe and detail the items under consideration. This should include
photographs, .:performance. charts, -components list;, dimensional drawings, etc.
The bidder shall clearly state any changes, exceptions -..or substitutions of
equivalent equipment/materials to these specifications
The successful bidder will arrange to demonstrate a similarly equipped 201 1 Ford Crown ,Victoria Police Interceptor (CVPI), prior to purchase.
Whenever materials or equipment are specified or described in the specifications
by using the name of proprietary item or name of a particular manufacture,
fabricator, supplier of distributor, the naming of the item is intended to establish
the type, function and quality required. Unless the name is followed by words
indicating that no substitution is permitted, materials or equipment of other
manufacturers, fabricators, suppliers or distributors may be accepted by the City
of Vernon if sufficient information is submitted prior to the purchase by the
contractor to allow the City of Vernon to determine that the material or equipment
proposed is equivalent to the named. The term "equivalent" as used in this
specification, means "authorized equivalent" and acceptance of the "equivalent"
is subject to the approval of the City of Vernon.
Warranties:
The manufacturers warranties on the vehicles and any added equipment shall be
delivered to the City. of Vernon without waiver by the city of any recourse under
California law.
Installation
No installation is needed on this bid.
Inspection
The bidder shall arrange for a pre -delivery inspection and right of refusal by the
City of Vernon Police Department,
Delivery Date
All bidders.shall.provide a date.to deliver the vehicle. It .is of utmost the City of Vernon that the quoted delivery date be met. concern. to
Any delay in the delivery shall be immediately reported in writing to the
purchasing agent with a copy to the Police Department representative, Captain
Rodino. Any change in the original quoted delivery date is subject to the
approval by the City of Vernon.
The City of Vernon reserves the right to .cancel the .purchase order for non-
performance of delivery .by the quoted date at no cost or obligation to the City of
Vernon.
Delivery
The vehicles shall be delivered to 4305 Santa Fe Avenue, Vemon, California,
90058. The vehicles shall be ready for immediate and safe operation, having
had completed any necessary vehicle registration documentation. The invoice,
any necessary vehicle registration _documentation, warranty information, and
manuals must accompany delivery. Delivery shall be Monday — Thursday from
0800 - 1400 and a forty-eight hour notice must be given to Captain Rodino.
This vehicle request is not a special order and should be the same type of
vehicles that are readily available to
the general public.

RE: Bid # 1461- (2) Patrol Vehicles for Police Department
Purpose
The Purpose of this Staff report is to seek Council Approval for
accepting bid #1461 which was issued to seek formal bids for two (2)
2011 Ford Crown Victoria Police Interceptors. The two new units will
be replacing Police Units #59 (96,935 mileage) and #60 (136,757
mileage) which have high mileage and considerable wear and tear.
Upon replacement these units added to the City's fleet or if too
costly to maintain will be declared as surplus.
Background
The Police Department had obtained approval from City Council
(Resolution 2010-183) for the purchase of two police patrol units and
related equipment utilizing the Ford Municipal Finance
Lease/Purchase program (FMFLPP). This program required that the
lessee go thru the City's purchasing procedures in seeking bids.
The Purchasing Section was contacted by the department to seek
formal bids for the two units.
On January 6, 2011 five bid packages were sent out plus one more
on January 20th. Five bids were received and opened on January 26,
2011. Please see attachment with bid results.
The Police Department reviewed the bids and made recommendation
to accept the lowest bid. FMFLPP was then contacted to start the
application for the lease so that the department could send the lease
agreement and recommendation for the bid approval to Council at
the same time. As part of the approval process a credit application
was submitted to FMFLPP. The application was denied (please see
attached Memo from the Interim Chief of Police). Therefore, the
Police Department is requesting funds to be used from the Federal
asset forfeiture account.
Recommendation
It is the recommendation of the Purchasing Section that Bid #1461 be
accepted and authorization is granted to create a Vehicle Purchase
Contract and issue a purchase order to the lowest bidder, Gosch
Ford Lincoln Mercury in the amount of $47,971.95 (includes sales
tax).
Fiscal Impact
There are adequate funds to cover the expenditure in the asset
forfeiture account.

We have reviewed the bids provided for the purchase of two (2) 2011 Ford Crown Victoria Police
Interceptors. The lowest bid offered by Gosch Ford Lincoln Mercury, totaling $47, 971.95, meets the
specifications requested by the police department.
In December 2010, the Police Department obtained approval from City Council (Resolution 2010-183) to
utilize the Ford Municipal Finance Lease/Purchase program (FMFLPP) for the purchase of two police
patrol vehicles and related equipment. As part of the approval process a credit application was submitted
to the FMFLPP, but unfortunately the application was denied. FMFLPP cited the following reasons for
declining the application:
1. Fund deficits — General fund deficit of $11.00MM at FYE 10.
2. Government as a whole has net asset deficit.
3. A bill has been introduced in the CA Assembly to disincorporate the City.
Since the Police Department cannot participate in the FMFLPP program for this purchase, federal asset
forfeiture funds will be used to cover the entire cost of the purchase of two patrol vehicles and necessary
equipment.

THE EXECUTION OF A VEHICLE PURCHASE CONTRACT AND
THE ISSUANCE OF A PURCHASE ORDER RESPECTING SAID
BID
WHEREAS, on December 6, 2010, the City Council of the City of
Vernon adopted Resolution No. 2010-183 authorizing the City's
participation in the Ford Municipal Finance Lease Purchase Program (the
"Program") for the purchase of two police patrol vehicles for the
Vernon Police Department (the "Department"); and
WHEREAS, as part of the approval process a credit application
was submitted to the Program but was denied in part because of current
legislation in the California Assembly to disincorporate the City; and
WHEREAS, bids for Bid No. 1461 were received and opened on
January 26, 2011, and `"reviewed by the Police Department; and
WHEREAS, the Purchasing Department has recommended that Bid
No. 1461 be awarded to Gosch Ford Lincoln Mercury, the lowest
responsible bidder meeting the requirements of Bid No. 1461.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct
SECTION 2: The City Council of the City of Vernon hereby
awards Bid No. 1461 to Gosch Ford Lincoln Mercury and accepts and
approves the Vehicle Purchase Contract, in substantially the same form
as the copy which is attached hereto as Exhibit A.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor or Mayor Pro -Tern to execute said Contract for,
and on behalf of, the City of Vernon and the City Clerk or the Deputy
City Clerk is hereby authorized to attest thereto and authorizes the
issuance of a purchase order for the purchase of two 2011 Ford Crown
Victoria Police Interceptors pursuant to Bid,No. 1461.
SECTION 4: The City Council of the City of Vernon hereby
authorizes the City Administrator, or his designee, to take whatever
actions are deemed necessary or desirable for the purpose of
implementing and carrying out the purposes of this Resolution and the
transactions herein approved or authorized.
SECTION 5: The City Council of the City of Vernon hereby
directs the City -Clerk, or the City Clerk's designee, to send one
fully executed Contract to:

SECTION 6: All other bids in connection with Bid No. 1461
are rejected, subject to execution of the aforesaid contract document
from Gosch Ford Lincoln Mercury accompanied by all required

SECTION 7: The City Clerk of the City of Vernon shall
certify to the passage, approval and adoption of this resolution, and
the City Clerk of the City of Vernon shall cause this resolution and
the City Clerk's certification to be entered in the File of
Resolutions of the Council of this City.

VEHICLE PURCHASE CONTRACT
THIS CONTRACT is made, entered into and executed in duplicate originals, either copy of
which may be considered and used as the original hereof for all purposes, as of this — day of February,

WHEREAS, the City is in need of two 2011 Ford Crown Victoria Police Interceptors (the
"Vehicles") for its Police Department; and
WHEREAS, on or about January 6, 2011, the City issued Bid No..1461 which sets forth
specifications for the new Vehicles required by ,thc City; and
WHEREAS, on January 25, 2011, Gosch Ford responded to Bid No. 1461; and
WHEREAS, the City has accepted the bid of Gosch Ford which is attached hereto as
Exhibit "A" and incorporated herein by reference and desires to purchase the -Vehicles from Gosch Ford,
NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
FORTH HEREIN;
1. Purchase. Gosch Ford agrees to sell to the -City two (2) 2011 Ford Crown
Victoria Police Interceptors, which meets the specifications contained in City of Vernon Bid No. _1461,
dated on or about January 6, 2011, and which is consistent with Gosch Ford's Bid of January 25, 2011
(collectively, the "Bid Documents"), which is attached_hereto as Exhibit "A."
2. Price. Consistent with its Bid, Gosch Ford agrees to sell and deliver, subject to
final inspection by the City, two (2) 2011 Ford Crown Victoria Police Interceptors for the total sum of
Forty -Seven Thousand Nine Hundred Seventy -One Dollars and Ninety -Five Cents ($47,971.95),
including tax and final inspection.
3. Payment Terms. The City agrees to pay Gosch Ford a total of Forty -Seven
Thousand Nine Hundred Seventy -One Dollars and Ninety -Five Cents ($47,971.95), including tax, for
the purchase of the vehicles. Payment will be made within thirty (30) days net of receipt of the Vehicles.
4. Warranties. Gosch Ford shall provide, at a minimum, a three (3) year factory
bumper -to -bumper warranty covering parts and labor to begin upon acceptance of the Vehicles by the
City. All manufacturers' warranties, and any other warranties made applicable by law, shall apply to the
City's purchase of the above -referenced Vehicles.
5. General Provisions.
A. Governing Law. The laws of the State of California shall govern the
rights, obligations, duties and liability of the parties to this Contract and shall also govern the
interpretation of this Contract.
B. Notices. Notices to the parties, unless otherwise requested in writing,
shall be sent to:

6. Entire Agreement. This Contract is the entire agreement of the parties, Gosch
Ford represents that in entering into this Contract, it has not relied on any previous representations or
understandings of any kind ornature.
7. Benefit of Agreement. This Contract shall bind and benefit the parties hereto
and -their-heirs, successors, and permitted..assigns.
8. Arbitration and Venue. Any dispute, claim or controversy arising out of or
relating to this Agreement or the breach, termination, enforcement, interpretation or validity thereof,
including the determination of the scope or applicability of this Agreement to arbitrate, shall be

determined by arbitration in Los Angeles, California. The arbitration shall be administered by JAMS
pursuant to its Streamlined Arbitration Rules and Procedures. The arbitrator shall be a retired judge. All
decisions of the arbitrator shall be in writing, and the arbitrator shall provide written reasons for their
decision. The arbitration decision shall be final and binding on the Parties. Judgment on the award may
be entered in any court having jurisdiction pursuant to this Agreement. This clause shall not preclude
Parties from seeking provisional remedies in aid of arbitration from a court having jurisdiction pursuant
to this Agreement. The exclusive jurisdiction and venue under this Agreement shall be the Superior
Court of California, Los Angeles County.
IN WITNESS WHEREOF, the parties have caused this Contract to be executed by and
through their authorized officers on the date, month and year first written above.

GENERAL
The vehicles covered by this specification is for the purchase of two (2) 2091
Ford Crown Victoria Police Interceptor (CVPI) vehicles and shall be supplied as
specified from the manufacturers new, unused and latest model complete with all
necessary equipment and accessories.
Financing will be conducted through the Ford Motor Credit Company
Municipal Finance Program.
The vehicles shall be delivered completely assembled and ready to operate. All
equipment normally furnished, as a standard shall be included. All separate units
or components shall be new, unused, installed connected and delivered in good
operating order.
The subject vehicles shall conform in.. all respects and be equipped -to operate
legally on .California State Highways as Specified in the Calif Motor Vehicle
Code. The vehicles shall meet all Califomia State and Federal afety and
emission standards when delivered to the City of Vernon.

The successful bidder will arrange to demonstrate a similarly equipped 2011
Ford Crown Victoria Police Interceptor (CVPI), prior to purchase.
Whenever materials or equipment are specified or described in the specifications
by using the name of proprietary item or name of a particular manufacture,
fabricator, supplier of distributor, the naming of the item is intended to establish
the type, function .and quality required. Unless the name is followed by words
indicating that no substitution is permitted, materials or equipment of other
manufacturers, fabricators, suppliers or distributors may be accepted by the City
of Vemon if sufficient information is submitted prior to the purchase by the
contractor to allow the City of Vernon to determine that the material or equipment
Proposed is equivalent to the named. The term "equivalent" as used in this
specification, means "authorized equivalent" and acceptance of the "equivalent"
is subject to the approval of the City of Vernon.
Warranties:
The manufacturers warranties on the vehicles and any added equipment shall be
delivered to the City of Vernon without waiver by the city of any recourse under
California law.
Installation
No installation is needed on this bid.
Inspection
The bidder shall arrange for a pre -delivery inspection and right of refusal by the
City of Vernon Police Department.
Delivery Date
All bidders .shall provide a -date to deliver the vehicle. it is of utmost concern to
the City of -Vernon Mat the quoted delivery_date-be. met.
Any delay in the delivery shall be immediately reported in writing to the
Purchasing agent with a copy to the Police Department representative, -Captain
Rodino. Any change in the original quoted delivery date is subject to the
-approval by the City of Vernon.
The City of Vernon reserves the -right to _cancel the purchase order f.or_.non-
-performance of delivery by the quoted date at no cost or obligation to the City of
Vernon.
Delivery
The vehicles shall be delivered to 4305 Santa Fe .Avenue, Vernon, California,
_90058. The vehicles shall be ready for immediate and safe operation, having
had completed any necessary vehicle registration documentation. The invoice,
any necessary vehicle registration -documentation, -warranty information, and
manuals must accompany delivery. Delivery shall be Monday — Thursday from
0800 — 1400 and a forty-eight hour notice must be given to Captain Rodino.
This vehicle request is not a, special order and should be the same type of
vehicles that are readily available to the general public.

the type, function and quality required. Unless the name is followed by words
indicating that no substitution is permitted, materials or equipment of other
manufacturers, fabricators, suppliers or distributors may be accepted by the City
of Vernon if sufficient information is submitted prior to the purchase by the
contractor to allow the City of Vernon to determine that the material or equipment
proposed is equivalent to the named. The term "equivalent" as used in this
specification, means "authorized equivalent" and acceptance of the "equivalent"
is subject to the approval of the City of Vernon.
Warranties:
The manufacturers warranties on the vehicles and any added equipment shall be
delivered to the City of Vernon without waiver by the city of any recourse under
California law.
Installation
No installation is needed on this bid.
Inspection
The bidder shall arrange for a pre -delivery inspection and right of refusal by the
City of Vernon Police Department,
Delivery Date
All bidders shall provide a date to deliver the vehicle. It is of utmost concern to
the City of Vernon that the quoted delivery date be met.
Any delay in the delivery shall be immediately reported in writing to the
purchasing agent with a copy to the Police Department representative, Captain
Rodino. Any change in the original quoted delivery date is subject to the
approval by the City of Vernon.
The City of Vernon reserves the right to cancel the purchase order for non-
performance of delivery by the quoted date at no cost or obligation to the City of
Vernon.
Delivery
The vehicles shall be delivered to 4305 Santa Fe Avenue, Vernon, California,
90058. The vehicles shall be ready for immediate and safe operation, having
had completed any necessary vehicle registration documentation. The invoice,

WHEREAS, the'Police Department has determined that it needs
two police patrol.Vehicles to replace two patrol vehicles which have
been in,use for a number of years, and suffer from high mileage, and
wear and tear, and because no new vehicles have been purchased; and
WHEREAS, the Vernon Police Department (the "Department") is
requesting authorization to utilize the Ford Municipal Finance Lease

SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct..
SECTION 2 The City Council of the City of Vernon hereby
approves the City's participation in the Ford Municipal Finance Lease
Purchase Program.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the City Administrator, or his designee, to take whatever

Summary
The Police Department (PD) is requesting authorization to utilize the Ford Municipal Finance
Lease/Purchase program for the purchase of two police patrol vehicles and related equipment
using asset forfeiture funds.
Facts
The PD currently has a fleet of 17 patrol vehicles. Of the 17 patrol vehicles, at least 2 patrol
vehicles are in need of replacement. The two patrol vehicles in question have been in use for a
number of years and have high mileage ranging from 136,757 and 96,935 miles. Both patrol
units also have significant wear and tear. Because of the current City fiscal situation the PD has
not replaced any aging patrol vehicles in several years. The last patrol vehicles replaced due to
high mileage and wear and tear was in early 2005.
Municipal Finance Program Overview Option
While identifying methods to fund the purchase of patrol vehicles using asset forfeiture funds,
We learned from other police agencies that the Ford Municipal Finance Lease/Purchase
program (FMFLPP) is a reasonable method of financing the purchase of police vehicles and
related patrol vehicle equipment. The FMFLPP has been used consistently by both the City of
Hawthorne and the Los Angeles County Sheriffs Department for the purchase of police vehicles
and equipment,
The FMFLPP is a designated alternative of medium -term, tax-exempt financing program for
state and local governmental agencies that can be used as an additional or alternative source of
funds to acquire necessary equipment and/or facilities. The FMFLPP does not require security
deposit, has no prepayment penalty, no mileage penalty, or hidden fees. However, there is a
$425 documentation fee that is required per transaction but can be paid at delivery or funded
over the term of'the agreement.
Any state or local government may qualify as a lessee for a Municipal Lease/Purchase
transaction. The municipal lease -purchase program is like a conditional sale or an installment

purchase transaction with the lessee making periodic payments of principal and interest to the
financing source (lessor) and obtaining ownership of the equipment for $1.00 at the lease
maturity. The structure of the FMFLPP transaction provides the lessor an exemption from
federal income taxes on the interest portion of the periodic payments, and the transaction is
considered a current obligation of the lessee.
Under the structure of the Municipal Lease/Purchase transaction, the lessor runs the risk, on an
annual basis, that additional funds will not be appropriated by the lessee to continue to make
the periodic payments. Therefore, to obtain competitive interest rates and to reduce the lessor's
risk of non -appropriation, all equipment financed under the Ford Credit Municipal Finance
Program must be considered essential to the ongoing operations of the governmental unit.
The FMFLPP also allows for the financing of equipment needed to outfit patrol vehicles as the
equipment is considered essential for the ongoing operations of the governmental unit. Listed
below is equipment that will be purchased and installed on both patrol vehicles as part of the
FMFLPP program. The cost for the equipment and installation is estimated at $15,000,00.

The structure of a lease/purchase transaction can be extremely flexible with respect to terms
and payment amounts. Recent declining tax bases and taxpayer revolts have resulted in many
governmental units being unable to replace worn out equipment and to maintain other services.
The flexible structure of lease/purchase financing can help a governmental agency by allowing
them to stretch out the payments for the acquisition of the equipment over its useful life. This
flexibility, allows the governmental agency to acquire the needed equipment even when the total
purchase price may be too large to finance in a single year's budget.
To identify overall costs of the program we obtained a quote from FMFLPP which included the
cost of a patrol vehicle and related equipment and installation costs. Listed below is the finance
proposal breakdown for two police vehicles and related equipment and installation costs should
we elect to finance the vehicles for a 4 year period applying annual payments for a 4 year
period.

Based on the available financing through the FMFLPP program, I recommend that the PD
receive authorization to utilize this program for the purchasing of police vehicles and related
equipment. Using the FMFLPP program will allow the PD to stretch out annual payments for
purchasing of vehicles and equipment using asset forfeiture funds. In addition, the FMFLPP
program provides an exemption from federal income taxes on the interest portion of the periodic
payments.
Fiscal Impact
General funds will not be used for this purchase. Federal asset forfeiture funds will be used for
the purchase of two patrol vehicles and related equipment and installation costs. \

Overview
Municipal Lease/Purchase Financing is an alternative source of medium -term, tax-exempt
financing for state and local governmental units that can be used as an additional or alternative
source of fiends to acquire necessary equipment and facilities.
Generally, any state or local government unit or any political subdivision of these units (e.g.,
state agencies, school districts, public universities, hospitals, etc.) may qualify as a lessee for a

I. The Municipal Lease/Purchase Transaction
A. What Is A Municipal Lease/Purchase Transaction?
A Municipal Lease/Purchase transaction is a lease between a governmental entity, that is
acquiring equipment, and an investor, that finances the transaction. The Municipal
Lease/Purchase transaction is, in essence, a "finance lease" or a "conditional sales
agreement" and not a "true lease."
Under a "true lease":
• The primary purpose is to give the lessee use of the lessor's property over a
period of time.
• The lessor holds title to the property.
• The periodic payments are considered rent.
• The lessee may have the option to purchase the leased property at lease maturity at
the fair market value (or at a fixed amount under a finance lease.)
0 The lessor utilizes the ITC, if available, and depreciation from the property.
Under a Municipal Lease/Purchase:
• The primary purpose is for the lessee to finance the acquisition of the property
over a period of time.
• Title to the property generally goes to the lessee at the beginning of the
Agreement.
• The periodic payments are made up of principal and interest.
• The lessee has the option to purchase the property at the end of the agreement for
one dollar ($1.00) or at the end of any fiscal year for a specified amount
(unamortized balance of the obligation).
• The lessor does not utilize ITC or depreciation, but is exempt from paying federal
taxes on the interest portion of the lessee's payments.
B. What Financing Alternatives Are Available For Governmental Units?
• Pay Cash —If the governmental unit does not obtain some means of financing an
acquisition, a cash purchase would be required.
Disadvantages;
• Prohibits the acquisition of equipment if existing budget appropriations are less
than the purchase price.
• Does not provide the flexibility to obtain all the equipment required because of
limited available resources.
Issue Bonds ---Municipal bonds are normally issued with maturities of 15 to 30
years. Recent tax and spending limits have made it more difficult for tax -secured
bonds to be issued for capital projects.
.---Disadvantages:
May require a voter referendum to approve their issuance.
Term is much longer than the useful life of the equipment being acquired.
Usually offered in dollar amounts greater than individual projects.
Rental or Lease on an Operating Basis —A desirable method to obtain the use of
equipment if the equipment is subject to rapidly changing technology or if the
equipment is needed for only a short time.
---Disadvantages
• Lessee does not accrue equity in the equipment.
• Because ITC is not available for equipment leased to governmental units,
an operating lease may be more expensive than other financing methods.
• Municipal Lease/Purchase ---- An installment purchase or conditional sale
agreement, not a "true lease," which provides for the acquisition as well as
the use of the equipment.
• Total cost of acquiring equipment is greater than for a cash purchase
because interest payments are required.
C. Who is Eligible?
Eligibility of potential lessees is covered under Section 103(a) of the Internal
Revenue Code of 1986, as amended. Under this section, the interest received on
an obligation of a state, a territory, a possession of the United States, any political
subdivision of the above or the District of Columbia is exempt from federal
income taxation.
This section of the Code is typically interpreted to allow states, cities and counties
to be lessees in a tax-exempt lease/purchase transaction, In addition, special
purpose districts, authorities, boards, commissions, agencies or units that act on
behalf of a state government or on of its political subdivisions may qualify to
enter into a lease/purchase transaction.
Examples of potential eligible lessees include:
• Cities
• Villages
• Townships
• Counties
• States
• State universities
• School districts
• Community colleges
• Hospitals (funded by a governmental unit)
• Fire, water, parking or sewer districts
• Municipal -owned airports
• Municipal -owned utilities (not a utility whose stock is owned by the public)
Being a Non -Profit Or Tax -Exempt Organization Does Not Necessarily Make
It An Eligible Governmental Unit

D. What Equipment is Eligible?
Basically, any equipment that is used for a purpose considered Essential to the
ongoing operations of the governmental unit will be considered eligible under the
Ford Credit Municipal Finance Program.

issue a bond.
II. What Are Some Of The Commonly Asked Questions About. Municipal Lease/Purchase
Financing?
Q: What is the lease term for the various types of equipment?
A: The lease term is determined by the normal life of the equipment.
Q: Who furnishes maintenance, operating expenses, insurance and other expenses relative
to the operation of the equipment?
A: The Lessee.
Q: What is the penalty for returning equipment at the end of the fiscal year but prior to
the end of the lease term?
A: If the lessee non -appropriates funds for the next fiscal period, the lessee will lose all equity in
the equipment.
Q: What happens to the equipment if the governmental unit keeps it for the entire lease
term?
A: The governmental unit can purchase the equipment for $1.00.

Q: May the governmental unit turn the equipment in before the end of the fiscal year?
A: No. However, in the case of a casualty loss, the damaged equipment will be removed from
service and a settlement.made with the Lessee's insurance carrier.
Q: What is the fiscal responsibility of the governmental unit if the equipment is rendered
inoperable through a casualty loss prior to the end of the lease term period?
A: The governmental unit's insurance carrier would settle the claim with the lessor. Any net
proceeds in excess of the current purchase option would be remitted to the governmental
unit. In the event the governmental unit elected to self -insure for casualty loss, they would
be responsible for the concluding purchase option price.
Q: If a number of different types of equipment with different lease periods are ordered,
will the interest rate be the same for all units?
A: No, the interest rate generally will vary depending on the lease term and the amount financed.
Q: What are some of the advantages of municipal lease/purchasing financing?
• Little or no down payment is required
No security deposit is required
• No mileage restriction
• Terms can vary with the useful life of the equipment.
• Equipment can be obtained without large appropriations of funds
• Equity in the equipment accrues with each periodic payment
• Long-term financing can be acquired without creating a long-term debt obligation in

Even if the lessee is rated by Moody's or Standard & Poor's, additional date may be
needed. In most cases, financial statements for the past three fiscal years and a copy of

SPECIFICATIONS
The vehicles covered by this specification is for the purchase of two (2) 2019
Ford Crown Victoria Police Interceptor (CVPI) vehicles and shall be supplied as
specified from the manufacturers new, unused and latest model complete with all
necessary equipment and accessories.
Financing will be conducted through the Ford Motor Credit Company
Municipal Finance Program.
The vehicles shall be delivered completely assembled and ready to operate. All
equipment normally furnished, as a standard shall be included. All separate units
or components shall be new, unused, installed connected and delivered in good
operating order.
The subject vehicles shall conform in all respects and be equipped to operate
legally on California State Highways as specified in the California Motor Vehicle
Code. The vehicles shall meet all California State and Federal safety and

Delivery Date
All bidders shall provide a date to deliver the vehicle. It is of utmost concern to
the City of Vernon that the quoted delivery date be met.
Any delay in the delivery shall be immediately reported in writing to the
purchasing agent with a copy to the Police Department representative, Captain
Rodino. Any change in the original quoted delivery date is subject to the
approval by the City of Vernon.
The City of Vernon reserves the right to cancel the purchase order for non-
performance of delivery by the quoted date at no cost or obligation to the City of
Vernon.
Delivery
The vehicles shall be delivered to 4305 Santa Fe Avenue, Vemon, California,
90058. The vehicles shall be ready for immediate and safe operation, having
had completed any necessary vehicle registration documentation. The invoice,
any necessary vehicle registration documentation, warranty information, and
manuals must accompany delivery. Delivery shall be Monday — Thursday from
0800 — 1400 and a forty-eight hour notice must be given to Captain Rodino.
This vehicle request is not a special order and should be the same type of
vehicles that are readily available to the general public.

Ford Crown Victoria Police Interceptor (CVPI) vehicles and shall be supplied as
specified from the manufacturers new, unused and latest model complete with all
necessary equipment and accessories.
Financing will be conducted through the Ford Motor Credit Company
Municipal Finance Program.
The vehicles shall be delivered completely assembled and ready to operate. All
equipment normally furnished, as a standard shall be included. All separate units
or components shall be new, unused, installed connected and delivered in good
operating order.
The subject vehicles shall conform in all respects and be equipped to operate
legally on California State Highways as specified in the California Motor Vehicle
Code. The vehicles shall meet all California State and Federal safety and
emission standards when delivered to the City of Vernon.

final approval by the City of Vernon and the Vernon Police Department prior to

SPECIFICATIONS
GENERAL
The vehicles covered by this specification is for the purchase of two (2) 2011
Ford Crown Victoria Police Interceptor (CVPI) vehicles and shall be supplied as
specified from the manufacturers new, unused and latest model complete with all
necessary equipment and accessories.
Financing will be conducted through the Ford Motor Credit Company
Municipal Finance Program.
The vehicles shall be delivered completely assembled and ready to operate. All
equipment normally furnished, as a standard shall be included. All separate units
or components shall be new, unused, installed connected and delivered in good
operating order.
The subject vehicles shall conform in all respects and be equipped to operate
legally on California State Highways as specified in the California Motor Vehicle
Code. The vehicles shall meet all California State and Federal safety and
emission standards when delivered to the City of Vernon.
The successful bidder shall submit in detail a final draft of all specifications for
final approval by the City of Vernon and the Vernon Police Department prior to
purchase.
All bids submitted shall include sufficient associated literature as required to fully
describe and detail the items under consideration. This should include
photographs, performance charts, components list, dimensional drawings, etc.
The bidder shall clearly state any changes, exceptions or substitutions of
equivalent equipment/materials to these specifications
The successful bidder will arrange to demonstrate a similarly equipped 2011
Ford Crown Victoria Police Interceptor (CVPI), prior to purchase.
Whenever materials or equipment are specified or described in the specifications
by using the name of proprietary item or name of a particular manufacture,
fabricator, supplier of distributor, the naming of the item is intended to establish
the type, function and quality required. Unless the name is followed by words
indicating that no substitution is permitted, materials or equipment of other
manufacturers, fabricators, suppliers or distributors may be accepted by the City
of Vernon if sufficient information is submitted prior to the purchase by the
contractor to allow the City of Vernon to determine that the material or equipment
proposed is equivalent , to the named. The term "equivalent" as used in this
specification, means "authorized equivalent" and acceptance of the "equivalent"
is subject to the approval of the City of Vernon.
Warranties:
The manufacturers warranties on the vehicles and any added equipment shall be
delivered to the City of Vernon without waiver by the city of any recourse under
California law.
Installation
No installation is needed on this bid.
Inspection
The bidder shall arrange for a pre -delivery inspection and right of refusal by the
City of Vernon Police Department.
Delivery Date
All bidders shall provide a date to deliver the vehicle. It is of utmost concern to
the City of Vernon that the quoted delivery date be met.
Any delay in the delivery shall be immediately reported in writing to the
purchasing agent with a copy to the Police Department representative, Captain
Rodino. Any change in the original quoted delivery date is subject 'to the
approval by the City of Vernon.
The City of Vernon reserves the right to cancel the purchase order for non-
performance of delivery by the quoted date at no cost or obligation to the City of
Vernon.

Whenever materials or equipment are specified or described in the specifications
by using the name of proprietary item or name of a particular manufacture,
fabricator, supplier of distributor, the naming of the item is intended to establish
the type, function and quality required. Unless the name is followed by words
indicating that no substitution is permitted, materials or equipment of other
manufacturers, fabricators, suppliers or distributors may be accepted by the City
of Vernon if sufficient information is submitted prior to the purchase by the
contractor to allow the City of Vernon to determine that the material or equipment
proposed is equivalent to the named. The term "equivalent" as used in this
specification, means "authorized equivalent" and acceptance of the "equivalent"
is subject to the approval of the City of Vernon.
Warranties:
The manufacturers warranties on the vehicles and any added equipment shall be
delivered to the City of Vernon without waiver by the city of any recourse under

Installation
No installation is needed on this bid.
Inspection
The bidder shall arrange for a pre -delivery inspection and right of refusal by the
City of Vernon Police Department.
Delivery Date
All bidders shall provide a date to deliver the vehicle. It is of utmost concern to
the City of Vernon that the quoted delivery date be met.
Any delay in the delivery shall be immediately reported in writing to the
purchasing agent with a copy to the Police Department representative, Captain
Rodino. Any change in the original quoted delivery date is subject to the
approval by the City of Vernon.
The City of Vernon reserves the right to cancel the purchase order for non-
performance of delivery by the quoted date at no cost or obligation to the City of
Vernon.
Delivery
The vehicles shall be delivered to 4305 Santa Fe Avenue, Vernon, California,
90058. The vehicles shall be ready for immediate and safe operation, having
had completed any necessary vehicle registration documentation. The invoice,
any necessary vehicle registration documentation, warranty information, and
manuals must accompany delivery. Delivery shall be Monday — Thursday from
0800 — 1400 and a forty-eight hour notice must be given to Captain Rodino.
This vehicle request is not a special rder and should be the same type of
