A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING THE EXECUTION OF AN ASSIGNMENT AND
ASSUMPTION AGREEMENT BY AND BETWEEN THE CITY-
-OF
VERNON AND THE REDEVELOPMENT AGENCY OF THE CITY OF
VERNON TO CONVEY RIGHTS -UNDER AN OPTION AGREEMENT
FOR THE PURCHASE OF PROPERTY LOCATED AT 4850-5050
PACIFIC BOULEVARD
WHEREAS, the City of Vernon (the "City") is a municipal
corporation and a chartered city of the State of California organized
and existing under its Charter and the Constitution of the State of
WHEREAS, City -may under its general powers, as set forth in
its charter, undertake all actions with respect to municipal affairs,
without limitation, which may lawfully be taken; and
WHEREAS, City may also take any actions necessary for the
benefit of the public health and safety; and
WHEREAS, City may purchase and sell property for its
corporate purposes or in its proprietary capacity; and
WHEREAS, the Redevelopment Agency of the:City of Vernon
("Agency") is engaged in activities necessary or appropriate to carry
out the California Community Redevelopment Law '(Health--=& Safety -Code
Sections 33000, et seq.) within -City; and
WHEREAS, the City entered into an Agreement for Grant of
Option dated August 18, 2010 (the "Option Agreement")., pursuant to
which the City was granted an option to purchase property located at
4850-5050 Pacific Boulevard in the City of Vernon legally -described in
Exhibit A attached hereto and incorporated herein by reference (the
"Property"); and
WHEREAS, the City exercised its option under the Option
Agreement and executed the Escrow Instructions, permitting the City to
close escrow on the Property on or before May 3, 2011; and
WHEREAS, the Option Agreement and Escrow Instructions permit
the City to assign to Agency, and Agency to assume, all rights,
obligations, and liabilities under the Option Agreement; and
WHEREAS, the City desires to enter into an Assignment and
Assumption Agreement ("Assignment Agreement") with Agency pursuant to
which the City assigns, sets over.and transfers to,Agency, and Agency
hereby takes and accepts from the City, all of the City's rights,
idle and in erest in, to and under the Option Agreement.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
-and correct.
SECTION 2: The City Council hereby approves the execution
of the Assignment Agreement, a copy of which is attached hereto as
Exhibit B and incorporated by reference.
SECTION 3: The -City Council of the City of Vernon hereby
authorizes the Mayor or the Mayor Pro-Tem to execute said agreement
for, and on behalf of, the City of Vernon and the City Clerk is hereby
authorized to attest thereto.
SECTION 4: The City Council of the City of Vernon hereby
authorizes the City Administrator, or his designee, to take whatever
actions are deemed necessary or desirable for the purpose of
implementing and carrying out the purpose of this Resolution and the
transactions herein approved or authorized.

SECTION 5: The City Clerk of the City of Vernon shall
certify to the passage, approval and adoption of this Resolution, and
the City Clerk of the City of Vernon shall cause this Resolution and
the City Clerk's certification to be entered in the File of
Resolutions of the Council of this City.

ASSIGNMENT AND ASSUMPTION AGREEMENT
ASSIGNMENT AND ASSUMPTION AGREEMENT
THIS ASSIGNMENT AND ASSUMPTION AGREEMENT ("Assignment Agreement")
is made as of March _, 2011 by and between the City of Vernon ("Assignor"), and the
Redevelopment Agency of the City of Vernon ("Assignee").
RECITALS:
1. WHEREAS, Assignor has entered into that certain Agreement for Grant of Option
(the "Option Agreement"), dated as of August 48, 2010, between Pacific XC, L.P. as "Seiler"
and Assignor as "Buyer" pursuant to which Seller has granted to Assignor the option to purchase
the real property described in Exhibit A attached hereto (the "Property"),
2. WHEREAS, Assignor exercised its option under the Option Agreement and
executed the Escrow Instructions on December 13, 2010.
3. WHEREAS, the Option Agreement and Escrow Instructions permit Assignor to
assign to Assignee, and Assignee to assume, all rights, obligations, and liabilities under the
Option Agreement.
4. WHEREAS, all initially capitalized terms used and not defined'herein shall have
the meanings set forth for them in the Option Agreement.
NOW, THEREFORE, in consideration of the foregoing, and of the mutual covenants and
conditions herein contained, the parties hereto (together, the "Parties.," and each sometimes a
"Party") hereby act and agree as follows:
1. Assignment. Assignor hereby assigns, sets over and transfers to Assignee, and As-
signee hereby takes and accepts from Assignor, all of Assignor's rights, title and interest in, to
and under the Option Agreement and Escrow Instructions.
.2. Assumption of Obligations and Liabilities by As�jgnee. Assignor hereby assigns, sets
over and transfers to Assignee, and Assignee hereby assumes from Assignor, all of the
obligations and liabilities of Assignor under the Option Agreement and Escrow -Instructions.
3. Counterparts. Separate counterparts of this Assignment Agreement may be
separately signed , by Assignor and Assignee, all with the same effect as though the same
counterpart had been signed simultaneously by both Assignor and Assignee. 'Signed copies of
this Assignment Agreement exchanged by facsimile transmission or electronic portable
document format (pdf) signatures via email shall be binding as if the same -were an original
signature.
4. Entire Agreement. This Assignment Agreement is the complete and final integration
of all agreements and understandings between the Parties regarding the subject matter herein.
5. California Law. This Assignment Agreement shall be construed and enforced under
the laws of the State of California in effect at the time of the signing of this Assignment
Agreement.
6. BindingEffect. ffect. This Assignment Agreement shall be binding upon and inure to the
benefit of each of the Assignor and Assignee and its respective successors and assigns.
7. Authority. Each individual executing and delivering this Assignment Agreement on
behalf of a Party hereby represents and warrants to the other Party that such individual has been
duly authorized and empowered to make such execution and delivery.

RE: Assignment Agreement by and between the City of Vernon and the
Redevelopment Agency of the City of Vernon to Convey Rights under an
Optiow Agreement for the Purchase of Property located at`-4850-5050 Pacific
Boulevard
The City of Vernon entered into an Agreement for Grant of Option on August 18, 2010 to
purchase property located at 4850-5050 Pacific Boulevard in the City of Vernon from Pacific
XC, L.P. The City of Vernon exercised its option to purchase and executed Escrow Instructions
on December 13, 2010. On January 6, 2011, the City and Pacific XC, L.P. amended the Escrow
Instructions to extend the closing date on the property to May 3, 2011. The Option Agreement
and Escrow Instructions permit the City to assign to the Redevelopment Agency of the City of
Vernon all rights, obligations, and liabilities under the Option Agreement.
The staff of the Redevelopment Agency has recommended that the Board of Directors
find that acquisition of the subject property is desirable and necessary for the elimination of
blight and for redevelopment purposes and has requested that the Board authorize the Chairman
to enter into an Assignment and Assumption Agreement so that the Redevelopment Agency may
assume the City's rights under the Option Agreement to acquire the subject property. This Staff
Report requests that the City Council authorize the Mayor to enter into the Assignment and
Assumption Agreement with the Redevelopment Agency.
