RESOLUTION NO. 2012-30 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A VEHICLE PURCHASE CONTRACT BY AND BETWEEN THE CITY OF VERNON AND WONDRIES FLEET GROUP FOR THE PURCHASE OF A 2011 FORD CROWN VICTORIA POLICE INTERCEPTOR WHEREAS, the Police Department has requested the purchase of one 2011 Ford Crown Victoria Police Interceptor to replace a vehicle; and WHEREAS, pursuant to,Resolution No. 2012-10 adopted by the City Council of the City of Vernon on January 3, 2012, the City Clerk was directed to give notice inviting sealed proposals or bids for the purchase of a 2011 Ford Crown Victoria Police Interceptor (the 112011 Ford Crown Victoria"), in accordance with a bid specification provided by the Police Department; and WHEREAS, based upon the bid specifications, the Business Services & Purchasing Department (the "Purchasing Department") contacted five prospective bidding dealerships but was notified that the 2011 Ford Crown Victoria was short in supply with the exception of Wondries Fleet Group ("Wondries"); and WHEREAS, by memorandum dated January 24, 2012, the Purchasing Department has requested that Bid No. 1462 be canceled and the approval to purchase the 2011 Ford Crown Victoria from Wondries based on the limited availability of the 2011 Ford Crown Victoria. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby cancels Bid No. 1462 and accepts and approves the Vehicle Purchase Contract with Wondries Fleet Group, in substantially the same form as the copy which is attached hereto as Exhibit A. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor or Mayor Pro-Tem to execute the Agreement for, and on behalf of, the City of Vernon and the City Clerk, or Deputy City Clerk, is hereby authorized to attest thereto and authorizes the issuance of a purchase order for the purchase of the 2011 Ford Crown Victoria. SECTION 4: The City Council of the City of Vernon hereby instructs the City Administrator, or his designee, to take whatever actions are deemed necessary or desirable for the purpose of implementing and carrying out the purposes of this resolution and the transactions herein approved or authorized. SECTION 5: The City Council of the City of Vernon hereby directs the City Clerk, or the City Clerk's designee, to send a fully executed Contract to: Wondries Fleet Group Attn. Main Street Alhambra, CA 91801 WHEREAS, the City is in need of a 2011 Ford Crown Victoria Police Interceptor for its Police Department; and WHEREAS, on January 3, 2012, the City issued Bid No. 1462 which sets forth specifications for the 2011 Ford Crown Victoria Police Interceptor required by the City; and WHEREAS, due to the short supply of the 2011 Ford Crown Victoria Bid No. 1462 was canceled; and WHEREAS, the Contractor notified the City that a 2011 Ford Crown Victoria was available and provided a proposal for the 2011 Ford Crown Victoria; and WHEREAS, the City has accepted the proposal submitted by the Contractor, which is attached hereto as Exhibit A, and desires to purchase the 2011 Ford Crown Victoria Police Interceptor from Contractor. NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET FORTH HEREIN: Purchase. Contractor agrees to sell to the City a 2011 Ford Crown Victoria Police Interceptor, which meets the specifications required by the City, and which is consistent with Contractor's proposal of January 19, 2012 (collectively, the "Proposal"), which is attached hereto as Exhibit A. 2. Price. Consistent with its Proposal, Contractor agrees to sell and deliver, subject to final inspection by the City, a 2011 Ford Crown Victoria Police Interceptor for in the sum of Twenty -Two Thousand, Seven Hundred and Ninety Dollars and No Cents ($22,790.00), plus tax and tire fee. Payment Terms. The City agrees to pay Contractor the sum of Twenty -Two Thousand, Seven Hundred and Ninety Dollars and No Cents ($22,790.00)), plus tax and tire fee, for the purchase of the vehicle. 4. Warranties. Contractor shall provide, at a minimum, a three (3) year factory bumper -to -bumper warranty covering parts and labor to begin upon acceptance of the 2011 Ford Crown Victoria Police Interceptor by the City. All manufacturers' warranties, and any other warranties made applicable by law, shall apply to the City's purchase of the above -referenced 2011 Ford Crown Victoria Police Interceptor. 5. General Provisions. A. Governing Law. The laws of the State of California shall govern the rights, obligations, duties and liability of the parties to this Contract and shall also govern the interpretation of this Contract. B. Notices. Any dispute, claim or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this Agreement to arbitrate, shall be determined by arbitration in Los Angeles, California. The arbitration shall be administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures. The arbitrator shall be a retired judge. All decisions of the arbitrator shall be in writing, and the arbitrator shall provide written reasons for their decision. The arbitration decision shall be final and binding on the Parties. Judgment on the award may be entered in any court having jurisdiction pursuant to this Agreement. Notwithstanding the foregoing, the parties shall be permitted to access the court system to enforce any arbitration award. The exclusive jurisdiction and venue under this Agreement shall be the Superior Court of California, Los Angeles County. Purchasing was informed upon contacting prospective bidding dealerships that the 2011 Ford Crown model is short in supply with the exception of Wondries Fleet Group. The second purpose is to obtain permission from City Council to purchase the new Police unit from Wondries Fleet Group. Background This dealership has been awarded the bid for 2011 Ford Crown Victoria Police Interceptors by the County of Los Angeles bid #DPO- SH-1131410-1 under the Cooperative Purchase Provision. Wondries Ford is offering the same vehicle with less accessories (LA County specs require additional equipment) to the City at a unit price of $22,790.00 plus tax and $8.75 tire fee. This is $7,445.00 off the sticker price. Recommendation Based on the limited units available, Purchasing is recommending that we accept Wondries' Fleet Group price.
