Resolution No. 2012-034RESOLUTION NO. 2012-34 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON ACCEPTING THE BID OF GEORGE CHEVROLET ON BID NO. 1463 FOR THE PURCHASE OF TWO 2012 CHEVROLET TAHOE'S FOR THE POLICE DEPARTMENT, APPROVING AND AUTHORIZING THE EXECUTION OF A VEHICLE PURCHASE CONTRACT AND THE ISSUANCE OF A PURCHASE ORDER RESPECTING SAID BID WHEREAS, the Police Department has requested the purchase of two 2012 Chevrolet Tahoe's to replace two vehicles; and WHEREAS, pursuant to Resolution No. 2012-10 adopted by the City Council of the City of Vernon on January 3, 2012, the City Clerk was directed to give notice inviting sealed proposals or bids for the purchase of two 2012 Chevrolet Tahoe's (the "2012 Chevrolet Tahoe's"), in accordance with a bid specification provided by the Police Department; and WHEREAS, based upon the bid specification, the Business Services & Purchasing Department (the "Purchasing Department") prepared Bid No. 1463 dated January 19, 2012, and proceeded to solicit bids for the purchase of the 2012 Chevrolet Tahoe's; and WHEREAS, sealed bids for Bid No. 1463 were opened on February 2, 2012, and reviewed by the Police Department; and WHEREAS, the Purchasing Department has recommended that Bid No. 1463 be awarded to George Chevrolet, in the amount of Sixty -One Thousand Three Hundred Sixty -Two Dollars and Eight Cents ($61,362.08), the lowest responsible bidder meeting the requirements of Bid No. 1463. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby awards Bid No. 1463 to George Chevrolet and accepts and approves the Vehicle Purchase Contract, in substantially the same form as the copy which is attached hereto as Exhibit A. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor or Mayor Pro-Tem to execute said Contract for, and on behalf of, the City of Vernon and the City Clerk or the Deputy City Clerk is hereby authorized to attest thereto and authorizes the issuance of a purchase order for the purchase of two 2012 Chevrolet Tahoe's pursuant to Bid No. 1463. SECTION 4: The City Council of the City of Vernon hereby instructs the City Administrator, or his designee, to take whatever actions are deemed necessary or desirable for the purpose of implementing and carrying out the purposes of this resolution and the transactions herein approved or authorized. SECTION 5: The City Council of the City of Vernon hereby directs the City Clerk, or the City Clerk's designee, to send one fully executed Contract to: George Chevrolet Attn. Mike O'Hare 17000 S. Payment Terms. The City agrees to pay George Chevrolet a total of Sixty -One Thousand Three Hundred Sixty -Two Dollars and Eight Cents ($61,362.08), including tax and tire fee, for the purchase of the vehicle. 4. Warranties. George Chevrolet shall provide, at a minimum, a three (3) year factory bumper -to -bumper warranty covering parts and labor to begin upon acceptance of the 2012 Chevrolet Tahoe's by the City. All manufacturers' warranties, and any other warranties made applicable by law, shall apply to the City's purchase of the above -referenced Vehicles. 5. General Provisions. A. Governing Law. The laws of the State of California shall govern the rights, obligations, duties and liability of the parties to this Contract and shall also govern the interpretation of this Contract. B. Notices. Benefit of Agreement. This Contract shall bind and benefit the parties hereto and their heirs, successors, and permitted assigns. Arbitration and Venue. Any dispute, claim or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this Agreement to arbitrate, shall be -2- determined by arbitration in Los Angeles, California. The arbitration shall be administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures. The arbitrator shall be a retired judge. All decisions of the arbitrator shall be in writing, and the arbitrator shall provide written reasons for their decision. The arbitration decision shall be final and binding on the Parties. Judgment on the award may be entered in any court having jurisdiction pursuant to this Agreement. Notwithstanding the foregoing, the parties shall be permitted to access the court system to enforce any arbitration award. The exclusive jurisdiction and venue under this Agreement shall be the Superior Court of California, Los Angeles County. Police Patrol Vehicles Purpose The Purpose of this Staff report is to obtain permission from City Council to award Bid #1463 to George Chevrolet for purchase of (2) 2012 Chevrolet Tahoe Police Patrol Vehicles. Background On January 3, 2012 City Council approved Resolution #2012-10 which authorized Purchasing to seek bids for the purchase of the two above mentioned vehicles. On January 19, 2012 Purchasing sent out five bid packages and on February 2, 2012 (3) bid responses were received. The Police Department reviewed the bids and made recommendation to accept the lowest bid from George Chevrolet. Recommendation It is the recommendation of the Purchasing Section that Bid #1463 be accepted and authorization is granted to create a Vehicle Purchase Contract and issue a purchase order to the lowest bidder, George Chevrolet in the amount of $61,362.08 (sales tax and tire fee included). Fiscal Impact There is no fiscal impact to the City. The Department is using the asset forfeiture account to cover the purchase.
