Resolution No. 2012-120RESOLUTION NO. 2012-120 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A COOPERATIVE AGREEMENT BY AND BETWEEN THE CITY OF VERNON AND THE CITY OF HUNTINGTON PARK FOR THE SALT LAKE PARK RENOVATIONS PROJECT WHEREAS, the City's Independent Ethics Advisor_, John Van de Kamp, recommended in his report, dated July 29, 2011, that the City establish an Environmental and Community Benefit Fund (ECBF) to continue to enhance the services provided to City residents as well as promote sustainability and environmental justice efforts throughout the City and its surrounding areas; and WHEREAS, on August 25, 2011, the City Council adopted Resolution No. 2011-149 affirming the City's commitment to implement the Independent Ethics Advisor's recommendations; and WHEREAS, the City has committed five million dollars to assist in the renovation of Salt Lake Park (the "Project") located at .3401 E. Florence Avenue in the City of Huntington Park ("Huntington Park"); and WHEREAS, the Project will consist of renovation of the soccer fields and the design and construction of a splash pad; and WHEREAS, the Huntington Park has issued a request for proposal for the Project's design plans and has recommended Lawrence Moss and Associates to design the Project; and WHEREAS, the final estimated cost for.the Project is $124,000.00; and WHEREAS, by memo dated July 11, 2012, the City Administrator has recommended that the City enter into a Cooperative Agreement with Huntington Park setting forth the termsand conditions under which the City will .fund the cost of the Project for the total anticipated amount of One Hundred Twenty -Four Thousand Dollars and No Cents ($124,000.00). NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and.correct. SECTION 2:, The City Council of the City of Vernon hereby approves the Agreement with the City of Huntington Park, in substantially the form attached hereto as Exhibit A and authorizes the City Administrator, or his designee, to make modifications to the. Agreement that are requested by the City of Huntington Park and approved by Legal Counsel. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor or Mayor Pro-Tem to execute the Agreement for, and on behalf of, the City and the City Clerk or Deputy City Clerk is hereby authorized to attest thereto. SECTION 4: The City Council of the City of Vernon hereby instructs the City Administrator, or his designee, to take whatever actions are deemed necessary or desirable for the purpose of implementing and`carrying out the purposes of thisResolution and the transactions herein approved or authorized. SECTION 5: The City Council of_the City of Vernon hereby directs the City Clerk, or her designee,' to send one executed Agreement to the City of Huntington Park. 2 SECTION 6: The City Clerk of the City of Vernon shall certify to the passage, approval and adoption of this resolution, and the City Clerk of the City of Vernon shall cause this resolution and the City Clerk's certification to, be entered in the File of Resolutions of the Council of this City. Y ag c i, City Clerk (SEAL) COOPERATIVE AGREEMENT BETWEEN THE CITY OF HUNTINGTON PARK AND THE CITY OF VERNON FOR PROJECT THIS AGREEMENT entered into on , is between the City of Vernon, a California charter City and California municipal corporation referred to herein as "Vernon", located at 4305 Santa Fe Avenue, Vernon, California 90058, and the City of Huntington Park, a California charter City and California municipal corporation referred to herein as "Huntington Park located at 6550 Miles Avenue, Huntington Park, CA. 90255. RECITALS WHEREAS, on August 29, 2011 the City Council of the City of Vernon adopted Resolution No. 2011-149 affirming the City's commitment to adopt and implement certain reform measures. As part of these reform measures, Vernon committed to financially assist in the renovation of Salt Lake Park in Huntington Park; and WHEREAS, Vernon and Huntington Park staff have reviewed several potential Salt Lake Park projects, it the most feasible project to undertake at the present time is the renovation of the soccer fields, and the design and construction of a splash pad (the "Project"); and WHEREAS, Huntington Park staff has issued a Request for Proposal for the project's design plans and received multiple proposals; and WHEREAS, based upon quality of work and reasonable price, the Huntington Park staff has recommended Lawrence Moss and Associates to design the Project. 1) The PROJECT: a) Within Huntington Park, the PROJECT consists of the following approved scope of work to provide design and construction support services for Salt Lake Park Renovations Project at 3401 E. Florence Avenue, Huntington Park, CA 90255: -Construction of one (1) full-size, artificial turf soccer field with fencing, and bleachers -Renovation of existing athletic field lighting at the soccer field -Construction of a structure containing public restrooms and a staff office adjacent to the soccer field -Construction of a "Splash Pad" water playground -Construction of a walking path from Huntington Park Community Center to the main park -Installation of wireless surveillance cameras at soccer field and "Splash Pad" -Irrigation and planting near soccer field and "Splash Pad" -Installation of signage for new park amenities -Installation of bike racks, trash receptacles, drinking fountains, benches and other amenities b) The approved scope of work is more particularly described in Exhibit A, attached hereto and incorporated by reference. c) The final cost estimate for the PROJECT is $124,000.00 as identified by Huntington Park. 2) Vernon agrees to: a) Reimburse Huntington Park an amount not to exceed $124,000 in PROJECT costs. There shall be no advancement in funds. 3) Huntington Park agrees to: a) Serve as the overall project manager of the PROJECT. b) Accept full and complete ownership of, responsibility for, and maintain in good condition at the expense of Huntington Park, all improvements constructed as part of this agreement. c) Submit request for reimbursement including invoices between Huntington Park and its consultants along with acknowledgement that Huntington Park has approved the work and that it was properly billed. d) Be responsible for PROJECT cost overruns. Under no circumstances will the total money that Vernon reimburses exceed $124,000. e) Provide written notice within 5 workings days to Vernon of any changes to the approved scope of'work set forth in Exhibit A. IT IS MUTUALLY UNDERSTOOD AND AGREED AS FOLLOWS: 1) That nothing in this agreement shall not be construed to change the sole role of Huntington Park operating and maintaining the park and its facilities. 2) That the City of Vernon in will in no way be held liable for any damages, injuries or deaths arising from the construction or operation of the Project. 3) Vernon shall have the right to conduct a financial and compliance audit. Project records shall be maintained by Huntington Park for a minimum of 5 years and shall be accessible to Vernon upon request. 4) Any deviations to the approved scope of work set forth in Exhibit A shall be paid for by Huntington Park out of funds from sources other than Vernon. 5) This AGREEMENT may be terminated in writing by mutual consent of the parties hereto. 6) This AGREEMENT shall terminate upon completion and acceptance of the PROJECT by Huntington Park. 7) To the fullest extent permitted by law, Huntington Park shall save, indemnify, defend and hold harmless Vernon from any and all liability, claims, suits, actions, arbitration proceedings, administrative proceedings, regulatory proceedings, losses, expenses, or any injury or damage of any kind whatsoever, whether actual, alleged, or threatened, actual attorney fees, court costs, interest, defense costs and.expenses associated therewith including the use of experts, any other costs of any nature without restriction incurred in relation to, as a consequence of, or arising out of, the performance of the AGREEMENT. This AGREEMENT may only be amended by a written instrument signed by both the Huntington Park and the City of Vernon. 11) The rights, obligations, duties and liabilities of the parties to this AGREEMENT and the interpretation of this AGREEMENT shall be governed by the domestic laws of the State of California, without regard to its laws regarding choice of applicable law. 12) Any litigation concerning this Agreement shall take place in the municipal, superior, or federal district court that includes the jurisdiction of the City of Huntington Park. 13) The Parties hereto, and each of them, represent and declare that they have carefully read this AGREEMENT and know the contents thereof, and that each has signed this AREEMENT freely and voluntarily. 14) This AGREEMENT may be executed in counterpart originals, duplicate originals, or both, each of which is deemed to be an original for all purposes. We also do intensive in-house plan checks before documents leave the office for quality assurance control. SCOPE OF SERVICES: LRM shall assist the City of Huntington Parkto provide design and construction support services for a park improvement project at Salt Lake Park (3401 E. Also included in the services provided will be construction support activities, to be carried out during the construction phase of the project. -5. PHASE I -- SITE INVESTIGATION The LRM Team shall: Meet with City staff to review its understanding of the project goals, requirements, and design parameters. 2. Assemble and review existing plans and other available information for tile project site. 3. Visit the project site the number of times necessary to fully investigate existing conditions to identify opportunities, constraints and verify the presence of existing utilities, points of connection, orientations, sun and shade conditions, grading, existing plant material, soil conditions, etc. 4. Meet with City staff to obtain additional information and input from various City departments including, but not limited to, the Park and Recreation Director, the City Engineer and Public Works Department: 5. Contact and coordinate with public and private utilities and the City ingineer and Public Works Department. 6. Perform topographic survey work, as required to produce complete and accurate construction documents. 7. Prepare an estimate of probable construction cost for each phase of the project and provide priorities for a phased approach. PHASE 2 — CONCEPTUAL DESIGN The LRM Team shall: l . Prepare a draft conceptual plan for the project featuring all new design elements with preliminary cost estimates for each design concept. 2. Meet with City staff for design review and City approval. 3. incorporate requested revisions by City staff, 4. Prepare a final conceptual plan for the project along with preliminary cost estimates for each design concept, The final plan will be prepared in color on 24" x 36" mounted sheets and will be accompanied by reduced -scale color letter -size copies. Meet with City staff to review final construction document submittals. 3. Review grading and drainage with City Engineer. 4. Submittal of 100% complete plans and specifications. Plans and specifications will meet all applicable local, county, state and federal requirements, including but not limited to, ADA compliance. The submittal will include fully biddable, completely detailed and comprehensively specific information sufficient for the construction. of a high quality project, The bid package shall include bid alternatives which may be added to or deleted from the project depending upon bid prices. Without limiting the generality of the foregoing, Huntington Park acknowledges and agrees that the design professional for the Project was selected by Huntington Park and will be supervised in all respects by Huntington Park. ESCROW AGREEMENT This Escrow Agreement is made and entered into as of October 1, 2012, by and among City of Vernon ("Vernon") and City of Huntington Park ("Huntington") (collectively "Parties"), and East West Bank (the "Escrow Agent"). RECITALS A. Pursuant to the terms of that certain Cooperative Agreement dated as of (the "Agreement"), by and between Vernon and Huntington, Vernon agreed to provide certain financial assistance to Huntington for the project described therein, B. Pursuant to the Agreement, the Parties have agreed that an amount not to exceed $124,000.00 be delivered by Vernon to the Escrow Agent to be held by the Escrow Agent for the purposes set forth herein; The Parties and the Escrow Agent agree as follows:. ARTICLE I DELIVERY OF ESCROW FUND 1.1 Deposit of Escrow Fund. Vernon hereby deposits One Hundred Twenty -Four 'Thousand Dollars ($124,000,00) with the Escrow Agent (the "Deposit"). The Deposit plus any interest earned in accordance with the term of this Agreement -shall be deemed to be the "Escrow Fund." The Escrow Agent hereby acknowledges receipt of the Deposit. - . 1.2 Direction to Escrow Agent. The Parties direct the Escrow Agent to hold the Escrow Fund in accordance with the terms and conditions of this Agreement. 1.3 Escrow Agent's Acknowledgement. The Escrow Agent acknowledges its acceptance of the authorization conferred in this Agreement and agrees to carry out and perform its duties contained in this Agreement pursuant to its terms. ARTICLE II THE ESCROW AGENT 2.1 Binding Obligations. Except for this Agreement, the Escrow Agent is not a party to, nor is it bound by nor need it give any consideration to, the terms or provisions of any agreement between the Parties. The only duties and responsibilities of the Escrow Agent under this Agreement shall be to hold the Escrow Fund as Escrow Agent according to the terms and provisions of this Agreement and to dispose of and deliver the Escrow Fund as provided in this Agreement. 2.2 Acts of Escrow Agent. The Escrow Agent may in good faith act or refrain from acting with respect to any matter referred to in this Agreement in full reliance upon, by and with the advice of counsel selected by the Escrow Agent and shall be fully protected in so acting or in refraining from so acting upon the advice of its counsel.The Escrow Agent may rely upon any documents that may be submitted to it in connection with its duties under this Agreement that it 1 reasonably believes to be genuine and to have been signed or presented by the proper party or parties. 2.3 Disputes (a) In the event a dispute arises out of the assertion of conflicting demands by the Parties being made upon the Escrow Fund or by any third party, the Escrow Agent shall have, in addition to all other remedies which it may have at law or in equity, the right to refuse to comply with any such demand withoutliability for such refusal, until the matter in dispute has been settled by agreement of the Parties or resolved and the Escrow Agent has been furnished evidence thereof satisfactory to it, in its sole discretion. In the event a dispute among the Parties hereto cannot be resolved by agreement among them, the Escrow Agent may, in its discretion, institute a proceeding or an lnterpleader action with respect to the dispute. (b) Should a contract dispute arise between the Parties, and the Escrow Agent is sued or threatened with suit to compel disbursement to any complainant, any costs or expenses, including attorneys' fees, resulting to the Escrow Agent shall be borne by the Parties, as the case may be. 2.4 Legal Procedures. The Escrow Agent shall not be required to institute legal proceedings of any kind. In the event proceedings are instituted among the Parties that (a) require the performance of additional duties by the Escrow Agent, (b) require court or other appearances by or on behalf of the Escrow Agent, or (c) require the Escrow Agent to incur expenses or make disbursements in the resolution of contested claims against the Escrow Fund, then the Escrow Agent shall be entitled to reimbursement for any reasonable expenses or disbursements, and the reimbursement shall include, but not be limited to, the reasonable cost of legal services if the Escrow Agent deems it necessary to retain legal counsel, Following the final resolution of the matter in dispute, the Party who did not prevail in the final resolution of the dispute shall reimburse the Escrow Agent for the expenses and disbursements described in this Section 2.4, or those incurred by the Escrow Agent in connection with any Interpleader action described in Section 2.3 hereof, or those fees, expenses, or liabilities for which the Escrow Agent is entitled to indemnification under Section 2.6 hereof which' arise solely as a result of the dispute, In the event the Escrow Agent does not receive the reimbursement required by this Section 2.4 within 20 days of its demand for reimbursement, the prevailing party shall reimburse the Escrow Agent for its expenses and disbursements; thereafter, the prevailing party may seek reimbursement for its payment from the Party who did not prevail. 2.5 Compensation. The Parties and the Escrow Agent agree that the Escrow Agent will receive the compensation set forth in Schedule 2.5, to be paid at the time that this Escrow Agreement is signed. Additionally, the Parties agree to reimburse the Escrow Agent on demand as otherwise specifically provided in this Agreement. The Parties will be jointly and severally liable to the Escrow Agent for all amounts payable .to the Escrow Agent pursuant to this Section 2.5, unless otherwise expressly provided herein. 2 2.6 Duties_of the Escrow Agent: (a) The Escrow Agent shall not be under any duty to give the Escrow Fund any greater degree of care than it gives its own similar property and shall not be required to invest any of the Escrow Fund, except as directed in this Agreement. Uninvested funds held under this Agreement shall not earn or accrue interest. (b) The Escrow Agent shall not be liable to the Parties, except for its own gross negligence or willful misconduct. Except with respect to claims based upon gross negligence or willful misconduct that are successfully asserted against the Escrow Agent, the Parties shall jointly and severally indemnify and hold harmless the Escrow Agent from and against any and all losses, liabilities, claims, actions, damages, and expenses, including reasonable attorneys' fees and disbursements, arising out of or in connection with this Agreement. Without limiting the foregoing, the Escrow Agent shall in no event be liable in connection with its investment or the investment of any cash held by it under this Agreement in good faith, in accordance with the terms of this Agreement, including without limitation, any liability for any delays (not resulting from its gross negligence or willful misconduct) in the investment or reinvestment of the Escrow Fund or any loss of interest incident to any delay. (c) The Escrow Agent shall rely upon the prescribed requisition, attached as Exhibit A, purporting to be signed on behalf of Vernon and Huntington Park("the Prescribed Requisition") without being required to determine the authenticity or the correctness of any facts stated therein, or the propriety of validity of that service.The Escrow Agent may act in reliance upon the Prescribed Requisition to be genuine and may assume that the person purportingto give receipt or advice, or make any statement'or execute any document in connection with the provisions of this Agreement, has been fully authorized to do so. (d) The Escrow Agent does not have any interest in the Escrow Fund, but it is serving as Escrow Agent only and having only possession thereof. Without limiting the foregoing, the Escrow Agent shall have no right of set-off against the Escrow Fund. (e) The Escrow Agent shall be under no duty to institute or defend any proceedings, and none of the costs and expenses of any proceedings shall be borne by the Escrow Agent. ARTICLE III DISTRIBUTION OF THE ESCROW FUND 3,1 The Escrow Agent will distribute funds from the Escrow Fund only: (a) in the amount and to the party mutually agreed upon in writing by both of the Parties as prescribed by the Prescribed Requisition, attached as Exhibit A. Documentation must accompany each requisition to substantiate amounts being requested provided that Vernon and Huntington Park shall verify the amount to the documentation prior to signing the Prescribed Requisition and Escrow Agent may rely on the Prescribed Requisition alone; or 3 (b) pursuant to an order of any court having jurisdiction. ARTICLE IV INVESTMENT MATTERS/INTEREST EARNED Escrow Agent shall deposit and hold the Escrow funds in an interest bearing account ("Escrow Account'). Escrow Agent shall have no obligation to otherwise invest the cash in the `. Escrow Account. Interest earned on the Escrow Deposit shall belong to Vernon and be payable to Vernon on or after June 30, 2013, and shall not require further instruction of the Parties. ARTICLE V OWNERSHIP FOR TAX PURPOSES The Parties agree that, purposes of federal and other taxes based on income, Vernon wilt be treated as the owner of the Escrow Fund, and will report all income, if any, that is earned on or derived from, the Escrow Fund as its income, in the taxable years in which that income is properly included and will pay any taxes attributable thereto. This Agreement may be signed in one or more counterparts, each of which shall be deemed to be an original, all of which together shall constitute but one and the same instrument, 6.5 Headinim The headings in this Agreement are for reference purposes only and shall not be deemed a part of this Agreement. 6.6 Parties Bound. This Agreement shall be binding upon and insure to the benefit of the successors and assigns of the parties hereto. 6.7. Resignation and Termination. The Escrow Agent may resign by delivering written notice at least 30 days prior to the effective date of its resignation to the Parties. The Parties, acting jointly, may terminate the Escrow Agent by delivering written notice to the Escrow Agent executed by the Parties at least 30 days prior to the effective date of the termination (unless the termination is as a result of the Escrow Agent's breach of its obligations hereunder, in which ease the effective date of the termination shall be any date specified in the notice by the Parties). In the event of a resignation by or termination of the Escrow Agent, a successor escrow agent shall be appointed by mutual agreement between the Parties and the Escrow Agent which has been so terminated or has so resigned shall promptly deliver to the successor escrow agent the entire Escrow Fund (together with copies of all records pertaining thereto) upon presentation of evidence reasonable satisfactory to it of the appointment and authorization of the successor escrow agent by the Parties. From and after the appointment of a successor escrow agent pursuant to this Section 6.7, all references herein to the Escrow Agent shall be deemed to be to the successor Escrow Agent. 6.8 Entire Agreement; Modifications; Waiver. This Agreement constitutes the exclusive and complete understanding of the parties with respect to the subject matter hereof and supersedes any and all prior agreements, understandings, and discussions. 6.9 Severability. If any provision of this Agreement is held to be illegal, invalid, or unenforceable under present or future laws effective during the term hereof, the provision shall be fully severable and this Agreement shall be construed and enforced as if the illegal, invalid, or unenforceable provision never comprised a part hereof, and the remaining provisions hereof, shall remain in full force and effect and shall not be affected by the illegal, invalid, or unenforceable provision or by its severance herefrom. As part of the reforms the City committed $5 million to assist in the renovation of Salt Lake Park in the City of Huntington Park. Staff from both cities reviewed several potential projects and it was identified that the most feasible project was the renovation of the soccer fields and the design and construction of a splash pad. At its October 24, 2011 special meeting, the Huntington Park City Council authorized staff to proceed with the soccer field/splash pad project. Huntington Park staff issued a request for proposal for the landscape architectural design for the project. After reviewing multiple proposals their staff recommends the project be awarded to Lawrence Moss and Associates based on their quality of work and their competitive bid price. The unique aspect of this park is that there will be two natural stream beds which will collect surface runoff from the neighboring streets and park area. The system will have the capacity to recharge 800 cubic feet of water. The hydraulics were calculated for 10 year, 25 year, and 50 year storm events from data developed by the Los Angeles County Department of Public Works to estimate runoff within the tributary to the park site. A stack of books made of concrete has been designed and serves as a stage for those who wish to use it for that purpose. A two-colored labyrinth with two concrete seat wails on the exterior circle is intended to be a meditation space for park users.
