A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
MEMORANDUM OF UNDERSTANDING BY AND BETWEEN THE CITY
OF VERNON AND THE CONSOLIDATED FIRE PROTECTION
DISTRICT OF LOS ANGELES COUNTY
WHEREAS, on March 1, 2011, the City Council of the City of
Vernon adopted Resolution No. 2011-28 approving participation in the
2009 Urban Areas Security Initiative Grant ("2009 UASI Grant") under
which the Consolidated Fire Protection District of Los Angeles County
(the "County") was granted interoperable communications equipment
funding to provide Dual Band Radios to multi -discipline emergency
responders throughout the Los Angeles -Long Beach Urban Area to enhance
interoperable communication efforts; and
WHEREAS, by memo dated July 27, 2012, the Fire Chief has
recommended the City enter into a Memorandum of Understanding
(the "Agreement") with the County for the transfer of dual band
radios, funded through the 2009 UASI Grant, from the County to the
City; and
WHEREAS, the City Council of the City of Vernon has
determined that, pursuant to the provisions of subsection (a) of
Section 2.27 of the Vernon City Code, it is in the public interest and
necessity to enter into an agreement with the County for the transfer
of dual band radios.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION l: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Memorandum of Understanding, with the Consolidated Fire
Protection District of Los Angeles County, in substantially the same
form as the copy which is attached hereto as Exhibit A.
SECTION 3: The City Council of the City.of Vernon hereby
authorizes the Mayor or Mayor Pro-Tem to execute said Agreement for,
and on behalf of the City of Vernon, and the City Clerk or Deputy
City Clerk, is hereby authorized to attest thereto.
SECTION 4: The City Council of the City of Vernon hereby
instructs the City Administrator, or his designee, to take whatever
actions are deemed necessary or desirable for the purpose.of
implementing and carrying out the purposes of this Resolution and the
transactions herein approved or authorized, including but not limited
to, any nonsubstantive changes to the Agreement attached herein.
SECTION 5: The City Council of the City of Vernon hereby
directs the City Clerk, or the City Clerk's designee, to send a fully
executed Agreement to the Consolidated Fire Protection District of Los
Angeles County.

SECTION 6: The City Clerk of the City of Vernon shall
certify to the passage, approval and adoption of this resolution, and
the City Clerk of the City of Vernon shall cause this resolution and
the City Clerk's certification to be entered in the File of
Resolutions of the Council of this City.

MEMORANDUM OF UNDERSTANDING FOR THE
TRANSFER OF DUAL BAND RADIOS BETWEEN THE
CONSOLIDATED FIRE PROTECTION DISTRICT OF LOS ANGELES COUNTY
AND THE CITY OF VERNON FIRE DEPARTMENT
This Memorandum of Understanding (MOU) is made and entered into this 25'" day of June,
2012, by and between the City of Vernon Fire Department (hereafter "City") and the
Consolidated Fire Protection District of Los Angeles County, also known as the Los Angeles
County Fire Department (hereafter "District').
The Department of Homeland Security Office of Grants and Training, with funding released
through the California Emergency Management Agency (hereafter "CaIEMA") has provided
financial assistance to the Los Angeles -Long Beach Urban Area (LA -LB UA) through the Fiscal
Year 2009 LA -LB Urban Area Security Initiative (UASI) Grant, which address the equipment,
training, planning, and exercise needs of large urban areas to assist in the building of an
enhanced and sustainable capacity to prevent, respond to, and recover from threats or acts of
terrorism. From these funds, the District was granted interoperable communications equipment
funding to provide Dual Band Radios to multi -discipline emergency responders throughout the
LA -LB UA to enhance interoperable communication efforts.
The purpose of this MOU is to provide for the transfer of the Dual Band Radios, funded through
the Fiscal Year 2009 UASI Grant, from the District to the City, which is a multi -discipline
emergency responder within the LA -LB UA.
Terms and Conditions:
1. The District will fund the purchase of the Dual Band Radios in accordance with the Fiscal
Year 2009 Homeland Security Grant Program Guidance and Application Kit, the Fiscal Year
2009 LA -LB UASI Contract, and the County of Los Angeles purchasing policies and procedures
to the extent that such funding is made available to the District by the Department of Homeland
Security Office of Grants and Training, with funding released through the CaIEMA, for such
purpose.
2. The District will notify the City when the Dual Band Radios are ready for transfer. The
City shall arrange for the Dual Band Radios to be picked up from the District within ten (10)
business days of notification by the District. District will use the following City contact

3. Upon the acceptance of the Dual Band Radios by the City, the District shall transfer
property possession to the City of the number and type of Dual Band Radios as itemized in
Exhibit A at which time said equipment shall become the sole property of the CITY. The District
does not guarantee nor warranty the Dual Band Radios. The Dual Band radios accepted by the
City are transferred by the District on an "as is" basis with no guarantee or warranty from the
District.

4. City shall ensure Dual Band Radios transferred by the District pursuant to this MOU shall
be deployed with City personnel trained in the use of such interoperable communications
equipment in a manner consistent with the California Fire Services and Rescue Mutual Aid Plan
and in accordance with Fiscal Year 2009 UASI grant requirements.
5. Per 44 CFR, Part 13.32, the City shall ensure property records are maintained to include
a description of the property, a serial number or other identification number, the acquisition date,
the location, use and condition of the property, and any ultimate disposition data including date
of disposal. The District shall make contact with City at least once every two years to ensure a
physical inventory, of the Dual Band Radios is taken and results reconciled with the property
records.
6. City shall indemnify, defend and hold harmless the County of Los Angeles and its
Special Districts, elected and appointed officers, employees, and agents from and against any
and all liability, including but not limited to demands, claims, actions, fess, and costs and
expenses (including attorney and expert witness fees), arising from or connected with the
District's acts and/or omissions arising from or relating to this. MOU and/or arising from or
relating to the use of the Dual Band Radios transferred to the City as itemized on Exhibit A to
this MOU.

CITY ADMINISTRATION
The LACo FD Grant Office is administrating monies from the 2009 Urban Areas
Security Initiative (UASI) to purchase Motorola APX 7000 dual band radios for all fire
agencies in Los Angeles County. The APX dual band radio is two radios (UHF & VHF)
built into one unit that allows communication between numerous fire agencies. The
Vernon Fire Department is scheduled to receive 28 radios, batteries, and charger
adapters from LACo FD. The UASI Grant is administrated by the Los Angeles County
Fire Department and fully funded with no fiscal impact on the City of Vernon.

financial assistance to the Los Angeles -Long Beach Urban Area (LA -LB UA) through the Fiscal
Year 2009 LA -LB Urban Area Security Initiative (UASI) Grant, which address the equipment,
training, planning, and exercise needs of large urban areas to assist in the building of an
enhanced and sustainable capacity to prevent, respond to, and recover from threats or acts of
terrorism. From these funds, the District was granted interoperable communications equipment
funding to provide Dual Band Radios to multi -discipline emergency responders throughout the
LA -LB UA to enhance interoperable communication efforts.
The purpose of this MOU is to provide for the transfer of the Dual Band Radios, funded through
the Fiscal Year 2009 UASI Grant, from the District to the City, which is a multi -discipline
emergency responder within the LA -LB UA.
Terms and Conditions:
1. The District will fund the purchase of the Dual Band Radios in accordance with the Fiscal
Year 2009 Homeland Security Grant Program Guidance and Application Kit, the Fiscal Year
2009 LA -LB UASI Contract, and the County of Los Angeles purchasing policies and procedures
to the extent. that such funding is made available to the District by the Department of Homeland
Security Office of Grants and Training, with funding released through the CaIEMA, for such
purpose.
2. The District will notify the City when the Dual Band Radios are ready for transfer. The
City shall arrange for the Dual Band Radios to be picked up from the District within ten (10)
business days of notification by the District. District will use the following City contact

3. Upon the acceptance of the Dual Band Radios by the City, the District shall transfer
property possession to the City of the number and type of Dual Band Radios as itemized in
Exhibit A at which time said equipment shall become the sole property of the CITY. The District
does not guarantee nor warranty the Dual Band Radios. The Dual Band radios accepted by the
City are transferred by the District on an "as is" basis with no guarantee or warranty from the
District.

4. City shall ensure Dual Band Radios transferred by the District pursuant to this MOU shall
be deployed with City personnel trained in the use of such interoperable communications
equipment in a manner consistent with the California Fire Services and Rescue Mutual Aid Plan
and in accordance with Fiscal Year 2009 UASI grant requirements.
5. Per 44 CFR, Part 13.32, the City shall ensure property records are maintained to include
a description of the property, a serial number or other identification number, the acquisition date,
the location, use and condition of the property, and any ultimate disposition data including date
of disposal. The District shall make contact with City at least once every two years to ensure a
physical inventory of the Dual Band Radios is taken and results reconciled with the property
records.
6.. City shall indemnify, defend and hold harmless the County of Los Angeles and its
Special Districts, elected and appointed officers, employees, and agents from and against any
and all liability, including but not limited to demands, claims, actions, fess, and costs and
expenses (including attorney and expert witness fees), arising from or connected with the
District's acts and/or omissions arising from or relating to this MOU and/or arising from or
relating to the use of the Dual Band Radios transferred to the City as itemized on Exhibit A to
this MOU.
