A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
FIRST AMENDMENT TO AGREEMENT NUMBER C-116286 BY AND
BETWEEN THE CITY OF VERNON AND THE CITY OF LOS
ANGELES.REGARDING THE 2008 URBAN AREAS SECURITY
INITIATIVE GRANT PROGRAM
WHEREAS, on October 19, 2009, the City Council of the City of
Vernon adopted Resolution No. 10,083 approving Agreement No. C-116286
with the City of Los Angeles (the "Agreement") setting forth the terms
and conditions governing the disbursement and use of the 2008 Urban
Area Security Initiative ("2008 UASI") grant funds by the Vernon Fire
Department for the purpose of purchasing a Self -Contained Breathing
Apparatus ("SCBA") equipment; and
WHEREAS, the City of Los Angeles and the City of Vernon seek
to amend the Agreement by extending the time of performance set forth
in the Agreement from May 31, 2011 to November 30, 2011, and to set
the final allocation for the 2008 UASI grant funds at $49,509.00; and
WHEREAS, by memorandum dated August 20, 2012, the Fire
Department has recommended that the City Council approve and authorize
the execution of a First Amendment to Agreement No. C-116286 ("First
Amendment") for the purpose of extending the time of performance under
the Agreement to November 30, 2011, and to set the final allocation
for the 2008 UASI grant funds at $49,509.00.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct,,
SECTION 2: The City Council of the City of Vernon hereby
approves the First Amendment to Agreement No. C-116286, in
substantially the same form as the copy which is attached hereto as
Exhibit A.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor or Mayor Pro-Tem to execute said Amendment for,
and on behalf of, the City of Vernon and the City Clerk, or Deputy
City Clerk, is hereby authorized to attest thereto.
SECTION 4: The City Council of the City of Vernon hereby
instructs the City Administrator, or his designee, to take whatever
actions are deemed necessary or desirable for the purpose of
implementing and carrying out the purposes of this Resolution and the
transactions herein approved or authorized, including but not limited
to, any nonsubstantive changes to the Amendment attached herein.
SECTION 5: The City Council of the City of Vernon hereby
directs the City Clerk, or the City Clerk's designee, to send two
copies of the executed First Amendment to:

SECTION 6: The City Clerk of the City of Vernon shall

FIRST AMENDMENT TO CONTRACT NUMBER C-116286 OF
CITY OF LOS ANGELES CONTRACT
BETWEEN
THE CITY OF LOS ANGELES
AND
THE CITY OF VERNON
THIS FIRST AMENDMENT to Contract Number C-116286 ("First Amendment")
is made and entered into by and between the City of Los Angeles, a municipal
corporation (the "City"), and the City of Vernon, a municipal corporation (the
"Subgrantee" or "Subrecipient").
WITNESSETH
WHEREAS, the City and the Subrecipient entered into that certain City of Los
Angeles Contract Number C-116286 (the "Agreement") related to the Fiscal Year 2008
Urban Areas Security Initiative Grant (`UASI 08"), whereby the City agreed to disburse
UASI 08 grant funds to the Subrecipient in accordance with the UASI 08 approved
budget and Subrecipient agreed to use the grant funds to address the unique planning,
equipment, training, organization and exercise needs of the area, to assist in building an
enhanced and sustainable capacity to prevent, protect against, respond to, and recover
from threats or acts of terrorism, such Agreement having a term of October 22, 2008
through February 28, 2011 with an original allocation of UASI 08 grant funds to the
Subrecipient in the amount of Two Hundred Ninety -Nine Thousand, Two Hundred
Eleven Dollars ($299,211.00), and the execution of said Agreement having been
authorized by the Los Angeles City Council (C.F. #0870901, 3131/09); and
WHEREAS, on or about December 28, 2010, the California Emergency
Management Agency ("CaIEMA") approved a reallocation of UASI 08 funds such that
Subrecipient's UASI O8 funding was decreased in the amount Two Hundred Thirty -Six
Thousand, Four Hundred Eighteen Dollars ($236,418.00) (the "Modification"), such
Modification having been authorized by the Los Angeles City Council (C.F. #08-0901,
11/16/11); and
WHEREAS, on or about June 3, 2011, CaIEMA extended the performance period
deadline for UASI 08 from May 31, 2011 to November 30, 2011 (the "Grant Extension"),
such Grant Extension having been approved by the Los Angeles City Council (C.F. #08-
0901, 11/16/11); and
WHEREAS, at the end of the applicable performance period deadline for UASI
08, Subrecipient had not expended Thirteen Thousand, Two Hundred Eighty -Four
Dollars ($13,284.00) (the "Cost Savings") of its allocated UASI 08 funds and such Cost
Savings amount being deemed a cost savings, Subrecipient's UASI 08 grant allocation
was decreased by the Cost Savings amount resulting in a total allocated amount of
UASI 08 funds to Subrecipient of Forty -Nine Thousand, Five Hundred Nine Dollars

($49,509.00), such Cost Savings modification having been approved by the Los
Angeles City Council (C.F. #08-0901, 11/16/11); and
WHEREAS, Section 505 of the Agreement provides for amendments to the
Agreement; and
WHEREAS, the City, through its Office of the Mayor, Office of Homeland
Security and Public Safety ("Mayor's Office"), which has been designated by the City to
administer the Agreement and the projects contemplated therein, and the Subrecipient
each desires to enter into this First Amendment for the purpose of amending and/or
modifying the Agreement to (a) modify Subrecipient's UASI 08 grant funding under the
Agreement to reflect the Modification and the Cost Savings, (b) extend the term of the
Agreement to November 30, 2011 in accordance with the Grant Extension and (c) make
such other changes as are required in connection with the foregoing, all as detailed
elsewhere in this First Amendment and as authorized by the Los Angeles City Council
(C.F. #08-0901, 11/16/11); and
WHEREAS, this First Amendment is necessary and proper to continue and/or
complete certain activities authorized under the Agreement.
NOW, THEREFORE, the City and Subrecipient hereby covenant and agree that
the Agreement be amended effective February 27, 2011 as follows:
1. Section 201 of the Agreement entitled. "Time of Performance" is hereby
amended in its entirety to read as stated within the quotation marks in the
following paragraph:
"The term of this Agreement shall commence on October 22, 2008 and
end November 30, 2011 and any additional period of time as is required to
complete any necessary close out activities. Said term is subject to the
provisions herein."
2. Paragraph A of Section 301 of the Agreement entitled "Payment of Grant
Funds and Method of Payment" is hereby amended in its entirety to read
as stated within the quotation marks in the following paragraph:
"The City of Los Angeles shall disburse to City of Vernon the grant amount
of Forty -Nine Thousand, Five Hundred Nine Dollars ($49,509.00) ("Grant
Amount") to be used for purchase of equipment, planning, exercises,
organizational activities, and training as described in Section 202 above.
Such Grant Amount represents the amount allocated to City of Vernon in
the UASI 08 grant and budget, as may be amended."
Such amendment decreases the original allocation under the Agreement
to reflect the Modification and the Cost Savings. The Budget (as such
term is defined in the Agreement) shall be amended accordingly to reflect
First Amendment, UASI '08

such modifications and Subrecipient's use of grant funds in connection
thereto.
Except as herein amended or modified, all terms and conditions of the
Agreement shall remain unchanged and in full force and effect by way of
this First Amendment. ,
4.. Due to the need for Subrecipient's services to be provided continuously on
an ongoing basis, Subrecipient may have provided services prior to the
execution of this First Amendment. To the extent that said services were
performed in accordance with the terms and conditions of this First
Amendment, those services are hereby ratified.
5. This First Amendment may. be executed in one or more counterparts, each
of which will be deemed an original, but all of which together will constitute
one and the same instrument. This First Amendment includes four (4)
pages which constitute the entire understanding and agreement of the
parties.

I am requesting that this item be placed on the agenda for the Vernon City Council. This is the First
Amendment to the Agreement between the City of Los Angeles and the City of Vernon in connection with
the Fiscal Year 2008 Urban Security Initiative Grant (FY08 UASI).This First Amendment extends the
performance period in the original Agreement to November 30, 2011 and sets the final allocation for UASI
08 funds at $49,509.
Please review the First Amendment and if acceptable have two copies signed by our City Representative,
City Attorney, and City Clerk.
