A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON UPDATING CITY COUNCIL MEMBERS APPOINTMENTS
TO VARIOUS AGENCIES AND/OR COMMITTEES -
WHEREAS, the City of Vernon (the "City"), is a municipal
corporation and a chartered city of the State of California organized
and existing under its Charter and the Constitution of the State of
California; and
WHEREAS, the City is a member of various Agencies and/or
Committees; and
WHEREAS, the City Council of the City of Vernon desires to
update appointments of Council Members to various Agencies and/or
Committees,
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the. above recitals are true and correct.
SECTION 2: The.City Council of the City of Vernon finds
that this action is exempt under the California Environmental Quality
Act (CEQA), in accordance with Section 15061(b)(3), the general rule
that CEQA only applies to projects that may have an effect on the
environment.
SECTION 3: The City Council of the City of Vernon hereby
appoints William "Bill" Davis as the City's representative on the
I-710 for the EIR/EIS Project Committee and W. Michael McCormick as
the.City's alternate representative.
SECTION 4: The City Council of the City of Vernon hereby
appoints W. Michael McCormick to serve as the directorate on the

Central Basin Water Association and William "Bill" Davis as the City's
alternate directorate; and reaffirms the Director of Community
Services & Water, of his designee, to serve as the.City's alternate.
SECTION 5: The City Council of the City of Vernon hereby
appoints William "Bill" Davis to serve as the City's first
representative on the Board of Directors of Gateway Cities Council of
Governments and Michael Ybarra as the alternate representative; and
SECTION 6: The City Council of the:.City of Vernon hereby
appoints W. Michael McCormick as the City's representative on the
Board of Directors of the Independent Cities Finance Authority and
Richard Maisano as the alternate representative.
SECTION 7: The City Council of the City of Vernon hereby
appoints W:.Michael McCormick as a director :on the Board of Directors
of: the Orangeline Development Authority and William "Bill" bavis.as
the alternate director.
SECTION 8: The City Council of the City of Vernon hereby
appoints.W. Michael McCormick as the City's representative on the
Board of Directors of the Southeast Cities Schools Coalition and
Michael Ybarra as the City's alternate member.
SECTION 9: The City Council of the City of Vernon hereby
appoints W. Michael McCormick to serve as the City's member on the
Board of Directors of the Southeast Community.Development Corporation
and William "Bill" Davis as the City's alternate member.
SECTION 10: The City Council of the City of Vernon hereby
appoints W. Michael McCormick to serve as the City's representative on
the Policy Board of Directors of the Southeast Water Coalition and
William,;"Bill" Davisasthe City's alternate representative... Said
Representative and Alternate shall also be the City's 're presentatives

to attend board and committee meetings held by the Replenishment
District of Southern California, Central Basin Municipal Water
District and the Authority and any other water -related meeting which
affects the City of Vernon.
SECTION 11: The City Council of the City of Vernon hereby
appoints Michael Ybarra, Richard Maisano, and Luz Martinez to serve on
the Hearing Panel for the Local Enforcement Agency for Solid Waste
Facilities in accordance with 14 CCR 18060 and Section 44308(a)(1)
of the Public Resources Code.
SECTION 12: Such appointments shall be effective until the
death, resignation, disqualification or subsequent removal by the City
Council of such representatives.
SECTION 13: Any resolutions or parts of a resolution or
minute orders in conflict with this Resolution are hereby repealed as
to the portions in conflict, only.

SECTION 14: The Interim City Clerk, or Deputy City Clerk, of
the City of Vernon shall certify to the passage, approval and adoption
of this resolution, and the Interim City Clerk, or Deputy City Clerk,
of.the City.of Vernon shall cause this resolution and the Interim City
Clerk's; or Deputy City Clerk's, certification to be entered in the
File of Resolutions of the Council of this City.

RE: Resolution to Update to Appointments of Council Members to Various Board
Seats
Recommendations
It is recommended that the City Council find that adoption of the resolution proposed in this staff
report is exempt under the California Environmental Quality Act (CEQA) in accordance with
Section 15061(b)(3), the general rule that CEQA only applies to projects that may have an effect
on the environment.
Due to the reorganization of the City Council over the past couple of years, it is necessary to
update membership of the various boards on which Council members serve. It is recommended
that the City Council appoint delegates and alternates to the following boards and memorialize
said appointments, as follows, by adopting the attached resolution:
I-710 EIR/EIS Project Committee. Appoint as the delegate and as
the alternate to update previous appointments made pursuant to Resolution No. 9936,
which appointed William Davis as the delegate and Michael McCormick as the alternate.
2. Central Basin Water Association. Appoint as the delegate and as
the alternate to update previous appointments made pursuant to Resolution No. 9925,
which appointed Hilario Gonzales as the delegate and Michael McCormick and Richard
Maisano as the alternates. The Director of Community Services & Water, or his
designee, is also an alternate.
3. Gateway Cities Council of Governments. Appoint as the delegate and
as the alternate to update previous appointments made pursuant to Resolution
No. 9929, which appointed William Davis as the delegate and Hilario Gonzales as the
alternate.
4. Independent Cities Finance Authority. Appoint as the delegate and
as the alternate to update previous appointments made pursuant to Resolution
No. 9935, which appointed Michael McCormick as the delegate and Richard Maisano as
the alternate.
5. Orangeline Development Authority. Appoint as the delegate and
as the alternate to update previous appointments made pursuant to Resolution No.
9937,which appointed Michael McCormick as the delegate and Richard Maisano as the
alternate.
6. Southeast Cities Schools Coalition. Appoint as the delegate and as
the alternate to update previous appointments made pursuant to Resolution No. 9932,
which appointed Michael McCormick as the delegate and William Davis as the alternate.
7. Southeast Community Development Corporation. Appoint as the delegate
and as the alternate to update previous appointments made pursuant to
Resolution No. 9934, which appointed Hilario Gonzales as the delegate and McCormick
as the alternate.
8. Southeast Water Coalition. Appoint as the delegate and as the
alternate to update previous appointments made pursuant to Resolution No. 9933, which
appointed Hilario Gonzales as the delegate and Michael McCormick and Richard
Maisano as the alternates.
9. Vernon Solid Waste Hearing Panel. Appoint and to
update previous appointments made pursuant to Resolution No. 10,014, adopted in July
2009, in which all five then current members of the City Council were appointed. Only
three Council members need to be appointed.
Background
Board Overviews:
I-710 EIR/EIS Project Committee — Evaluates the freeway corridor, parallel arterials and
other elements of the system's infrastructure, including good movement and an analysis
of quality of life impacts on local communities, including public health.
2. Central Basin Water Association (CBWA) — Composed of water rights holders in the
West Coast Basin. CBWA membership includes municipalities and private owners. This
association provides a forum to members to discuss current water rights issues and
policies.
3. Gateway Cities Council of Governments — For the purpose of engaging in regional and
cooperative planning and coordination of government services and responsibilities to
assist its member in the conduct of their affairs for the collective benefit of cities in the
Southeast Los Angeles County area.
4. Independent Cities Finance Authority — Joint Powers Agreement with several cities for
the purpose of providing low-cost sources of financing for the acquisition, construction,
installation, and/or equipping of public capital improvements.
5. Orangeline Development Authority — A Joint Powers Agency and approving the City's
participation as a voting member in the Authority. Authority was established to deploy
the Orangeline high-speed maglev system in Southern California.
6. Southeast Cities Schools Coalition — Joint Exercise of Powers Agreement with the Cities
of Bell, Cudahy, Huntington Park, Maywood, South Gate, and Vernon (collectively, the
"Southeast Cities"), creating the Southeast Local Educational Authority for the purpose
of focusing the common powers and resources of the Southeast Cities to effectuate and
improvement in the levels of education of their residents.
7. Southeast Community Development Corporation— Creation with the Cities of Bell, Bell
Gardens, Commerce, Cudahy, Huntington Park, Maywood, South Gate, and Vernon to
promote activities relating to business attraction, business retention, job training, job
creation and various social programs.
8. Southeast Water Coalition — Created in response to the inaction by the United States
Environmental Protection Agency to commence clean-up of the San Gabriel Basin and
the Whittier Narrows area, the outlet of the San Gabriel Basin into the Central Basin.
9. Vernon Solid Waste Hearing Panel — The Vernon Health and Environmental Control
Department serves as the Local Enforcement Agency for Solid Waste Facilities in the
City of Vernon. Pursuant to Section 44308 of the Public Resources Code, the City
Council may appoint three of its members to serve as the Hearing Panel for all hearings
conducted pursuant to Chapter 4 of the Public Resources Code. The hearing panel is
available to convene and provide resolution to solid waste related issues and conflicts that
may arise from within the Local Enforcement Agency's purview.

Ken. Thank you for speaking to me today. Here is my thinking and how I would like to
resolve the problem with this entity arising from the fact it is inactive but undissolved.
First, the entity is still validly in existence and it complies with state law by having a
conflict of interest code.
Second, the entity is inactive and I have not been able to convene a quorum of former
board member to adopt a resolution to dissolve the entity under its joint powers
authority agreement.
Third, I seriously doubt that the Board of Supervisors has the authority to dissolve the
entity's conflict of interest code, because state law requires one and the Board's
capacity as the reviewing body does not explicitly state it can dissolve the entity's
conflict of interest code.
Fourth, my secretary and I will seek to ascertain the identity of the last Board Members
from each of the five participating cities. Then, we want to ascertain whether they filed
a "leaving office statement." If not, we will ask each of them to do so and file them with
you.
Fifth, I will ask each current Board Member to file resignations of their Board positions
and a leaving office statement and file those with you.

Once the above is done, each prior Board Member will have complied with the code
and no further filings will be necessary because there are no Board Members.

Morning Mr. Gutierrez,
Since you have been unsuccessful to convene a meeting of the Southeast Local Educational Authority (Authority) so as to
dissolve themselves and their conflict of Interest code, I would like to propose another alternative.
If you are in agreement with this suggestion then we can proceed in dissolving their conflict of interest code. If not then
each person that is a designated position within the code will have to complete Annual Statements (Form 700's) until
such time that they finally decide to meet to dissolve themselves.
If you could provide a letter on your letterhead stating the following:
• The Authority is no longer meeting and has not met since (date);
• You have exhausted efforts to get the Authority to meet to complete the dissolution of their Authority and their
conflict of interest code;
• The Authority has no financial assets that would require them to be in existence; and
• You are requesting as their general counsel to dissolve the Authority's conflict of interest code.
I believe we can then proceed in dissolving their conflict of interest code and remove this obstacle. If you are in
