Redevelopment Agency, a public entity designated under California Health & Safety
Code section 34173 and by the City of Vernon, acting as the Successor Agency of the
former Vernon Redevelopment Agency, pursuant to California Health & Safety Code
section 34173(e) and 34173(8), ("Grantor"), to PACIFIC BOULEVARD VERNON CA,
LLC, a Delaware limited liability company ("Grantee").
B. WHEREAS, Grantor holds legal title to an undivided interest in that certain
j real property located in the City of Vernon, County of Los Angeles, State of California,
bearing the common street addresses 4850, 4900, 5000 and 5050 Pacific Boulevard,
Vernon, California 90058 and more particularly described in Exhibit A, attached hereto
and made a part hereof, describing certain parcels of real property (the "Real Property")
held by the Grantor and subject to disposition pursuant to this Grant Deed. The Real
Property with the conditions set outp=inbelow shall be referred to as the "Property."
C. WHEREAS, Grantor teas_proposed a long-range property management plan
on July 20, 2013 under the authorization of lfie Z>ve*ght Board to the Successor Agency
to the former Vernon Redevelopment which was approved by the State of California
Department of Finance (the "Plan"). The PMff was submitted as part of the dissolution
required under AB XI 26, as amended (the "Dissolution Statutes") and is a public
document available for inspection at the Office of the Secretary of the Grantor, located on
the second floor, Vernon City Hall, 4305 Santa Fe Avenue, Vernon, California 90058.

Grantee pursuant to the strict terms of the Plan and the Dissolution Statutes and the
Grantee desires to accept said conveyance from the Grantor subject to said terms.
FOR VALUABLE CONSI'DEMTION, the receipt and sufficiency of which are
hereby acknowledged, the Granoor grants to jarantee all of Grantor's rights, interests, and
estate to the Property conditioned uponrtheiferrAp 4this Grant Deed set out below:
1. Grantee covenants and agrees for itself, its'succ ssors, its assigns, and all persons
claiming under or through them that there shall be no discrimination against or
segregation of any person or group of persons on account of sex, sexual
orientation, marital status, race, color, creed, religion, national origin or ancestry
in the sale, lease, sublease, transfer, use, occupancy, tenure, or enjoyment of the
Property, nor shall Grantee itself or any person claiming under or through it,
establish or permit any such practice or practices of discrimination or segregation
with reference to the selection, location, number, use or occupancy of the Property
by, for, or with any tenants, lessees, sublessees, subtenants, or vendees on or about
the Property. The foregoing covenants shall run with the land.
2. All deeds, leases or contracts made relative to the Property, improvements thereon,
or any part thereof, shall contain or be subject to substantially the following
nondiscrimination or nonsegregation clauses:

a. In deeds: "The grantee herein covenants by and for himself or herself, his or
her heirs, executors, administrators, and assigns, and all persons claiming
under or through them, that there shall be no discrimination against or
segregation of, any person or group of persons on account of any basis
listed in subdivision (a) or(d) of Section 12955 of the Government Code, as
those bases are defined in Sections 12926, 12926.1, subdivision (m) and
paragraph (1) of subdivision (p) of Section 12955, and Section 12955.2 of
the Government Code, in the sale, lease, sublease, transfer, use, occupancy,
tenure, or enjoyment of the premises herein conveyed, nor shall the grantee
or any person claiming under or through him or her, establish or permit any
practice or practices of discrimination or segregation with reference to the
selection, location, pumber, use or occupancy of tenants, lessees,

to housing for older persons, as defined in Section 12955.9 of the
Government Code nor be construed to affect Sections 51.2, 51.3 51.4,

3. All conditions, covenants and restrictions contained in this Grant Deed shall be
covenants running with the land, and shall, in any event, and without regard to
technical classification or¢esignation, legal or otherwise, be, to the fullest extent
permitted by law and �quity„binding fir the benefit and in favor of, and
enforceable by Grantor, its successors Vd hssigns,rand the City of Vernon and its
successors and assigns, Nainst+Grlinteedi, ins sd2 c�ssors and assigns, to or of the
Property conveyed herein er.any portion thereof or any interest therein, and any
party in possession or occupancy of said Property or portion thereof.
4. The covenants against discrimination set forth in Sections I and 2 of this Grant
Deed shall remain in effect in perpetuity.
5. In amplification and not in restriction of the provisions set forth hereinabove, it is
intended and agreed that Grantor shall be deemed a beneficiary of the agreements
and covenants provided hereinabove both for and in its own right and also for the
purposes of protecting the interests of the community. All covenants without
regard to technical classification or designation shall be binding for the benefit of
Grantor and City of Vernon, its successor or assigns, and such covenants shall run
in favor of Grantor and City of Vernon, its successor or assigns, for the entire
period during which such covenants shall be in force and effect, without regard to
whether Grantee is or remains an owner of any land or interest therein to which

such covenants relate. Grantor and City of Vernon, its successor or assigns, shall
each have the right, in the event of any breach of any such agreement or covenant,

agreement or covenant.
